2023年4月19日发(作者：员工福利计划)授权书——是由当事人预备，及赋与一位他信任的人之一项权力——当他在
精神或健康上出现问题，以致不能打理他个人财务时，替他作出财务上之决定，
如买卖物业、银行存支、交税及交其他单据。授权书是可以即时生效，又或者
可以指明有事故发生後才生效，直至当事人去世之时为止。假如没有事故发生的
话，当事人仍然可以自己掌管自己的财务。有法人授权书、委托授权书等等

在法律英语中，Power of Attorney和Proxy 均可用作表达授权的委
托书，区别在于Power of Attorney所指的被委托人应为律师，即具有律
师身份，而Proxy则无此种规定，即被委托人一般不需具有律师身份。

4. Intellectual Property 知识产权
Except as expressly authorized by the Manufacturer, the
Distributor shall have no rights in respect of any trade names or
trade marks ud by the Manufacturer in relation to the Products of
the goodwill associated therewith, and the Distributor hereby
acknowledges that, except as expressly provided in this Agreement,
it shall not acquire any rights in respect thereof and that all such
rights and goodwill are, and shall remain, vested in the Manufacturer.

5 Reprentation and Warranty 声明和保证
Each Party hereby reprents and warrants that neither the
execution and delivery of this Agreement, nor the consummation of
the transaction contemplated hereunder, nor compliance with any of

in a breach of, constitute a default (or an event that, with notice
or lap of time, or both, would constitute a default) under, or

contract or other agreement or to which such Party is bound.
6. Term and Termination 期限与终止

Either Party shall have the right to terminate this Agreement
as of right and without judicial recour, upon giving notice to the

7. Non-Assignment 不可转让
Neither Party shall have the right to assign the benefit of this
Agreement (or any part of it), without the prior written approval

8. Applicable Law 合用法律

This Distribution Agreement shall be construed in all respects
in accordance with the law of HongKong and the A hereto agrees to

9. Miscellaneous杂项条款
The Appendices are the integral part of this Agreement. The
