complementary to each other, is the outcome of the two sides jointly combating

trade protectionism.

In the past year, confronted with the rious impact of the international financial

crisis, the Chine government has taken timely and resolute steps to curb the crisis,

comprehensively implementing a stimulus package to maintain a fast and stable

economic development, thus achieving the economic upturn in a short period of time.

China’s GDP last year incread 8.7 percent year on year, with its residents, income

付款条件：买方所开信用证不得増加和变更任何未经卖方事先同意的条款。若信用证与合同

条款不符，买方有责任修改，并保证此修改之信用证在合同规定的装运月份前至少15天送

 In the Buyer’s L/C, no terms and conditions shall be added or altered without

prior connt of the Sellers. The Buyers must amend the L/C if it is

inconsistent with the stipulations of this contract, and the amendment must

 PAYMENT：The Buyers shall open with a bank acceptable to the Sellers an

irrevocable, Sight Letter of Credit to reach the Sellers 30 days before the

month of shipment, valid for negotiation in China until 15th days after the

month of shipment.

Upon first prentation the buyer shall pay against documentary draft drawn by

ller at sight. The shipping documents are to be delivered against payment only.

Upon first prentation the buyer shall accept against documentary draft drawn by

 The buyer shall open through a bank acceptable to the ller an irrevocable

sight letter of credit to reach the ller 20 days before the latest date

of shipment, stipulating that 50% of the invoice value available against

clean draft L/C at sight, while the remaining 50% on D/P at sight on

collection basis. The full t of shipping documents shall accompany the

collection draft and shall only be relead after full payment of the full

invoice value, the shipping documents shall be held by the issuing bank at

the ller’s disposal.

 买方须于2008年5月20日前将不可撤销的即期付款信用证开到卖方。该信用证于

装运日后 15 天在中国议付有效。买方未在规定的时间内开出信用证，卖方有权发

出通知取消本合同，或对因此遭受的损失提出索赔。

 TERMS OF PAYMENT: By irrevocable sight L/C to reach the ller before May

20, 2008, and to remain valid for negotiation in China until 15 days after

the time of shipment. The buyer shall establish a letter of credit before

the above-stipulated time. Failing which, the ller shall have the right

to rescind this contract upon the arrival of the notice at buyer, or to lodge

a claim for the direct loss sustained, if any.

商品检验：买卖双方同意以装运口岸中国进出口商品检验局提供的检验证书，作为品质和数

Commodity Inspection:

It is mutually agreed that the Certificate of Quality and Quantity issued by the

Chine Import and Export Commodity Inspection Bureau at the port of shipment shall

be taker as the basis of delivery.

装船通知：卖方在货物装船后，立即将合同号、品名、数量、毛重、净重、发票金额、提单

号、船名及装船日期以传真形式通知买方。

Shipping Advice:

The Sellers shall, immediately upon the completion of the loading of he goods, advi

by fax the Buyers of the contract number, commodity, quantity, gross and met weight,

invoiced value, bill of loading number, name of vesl and sailing date etc.

 索赔：有关质量的索赔，应于货到目的地后三个月内提出，有关数量的索赔，应于

货到目的地后30天内提出，提出索赔时，买方须提供卖方认可的公证机构出具的检

验报告，但属于保险公司或轮船公司责任范围内者，卖方不负任何责任。

Claims concerning quality shall be made within 3 months and claims concerning

quantity shall be made within 30 days after the arrival of the goods at destination

Claims shall be supported by a report issued by a reputable surveyor approved by

the Sellers, claims in respect of matters within the responsibility of the insurance

company or of the shipping company will not be considered or entertained by the

Sellers.

不可抗力：如因战争、地震、水灾、火灾、暴风雨、雪灾或其他不可抗力事故所致，不能如

期交货或不能交货时，卖方不负任何责任。但卖方必须向买方提供由中国国际贸易促进委员

会或其他有关机构所出具的证明。

Force Majeure: The Sellers shall not be responsible for late delivery or non-delivery

of the goods due to the Force Majeure like war, earthquake, flood, snowstorm, etc.

However, in such ca, the Sellers shall submit to the Buyers a certificate issued

by the China Council for the Promotion of International Trade or other related

organization as evidence.

 仲裁：因执行本合同所发生的或与本合同有关的一切争议，双方应友好协商解决，

若协商不能获得解决，则应提交北京中国国际贸易促进委员会对外经济仲裁委员会，

根据该仲裁委员会的程序进行仲裁，仲裁裁决是终局的，对双方均有约束力。

Arbitration: All disputes arising from the execution of or in connection with this

contract shall be ttled through amicably negotiation if no ttlement can be

reached through negotiation, the ca shall then be submitted to the Foreign Trade

Arbitration Commission of China Council for the Promotion of the International Trade,

Beijing, for arbitration in accordance with its provisional rules of procedure. The

arbitral award is final and binding upon both parties.

其他：对本合同的任何变更和增加，公在以书面经双方签字后，方为有效，任何一方在未取

得对方书面同意前，无权将本合同规定之权利及义务转让给第三者

 Other Conditions: Any alterations and additions to the contract shall be

valid only if they are made out in writing and signed by both parties. Neither

party is entitled to transfer its right and obligation under this contract
