6)Maketheplanformerger,division,dissolutionorchangeintheformofthecompany;

8)Determinetherecruitmentordecruitmentaswellastheremunerationof

managerofthecompany,anddeterminetherecruitmentordecruitmentaswellas

Article20Theboardofdirectorshasachairmanandmayhaveonedeputychairmanif

Article21Themeetingofboardofdirectorsshallbeconvenedandpresidedoverbythe

hairmanisunableorfailstoperformtheduties,thedeputy

toperformtheduties,thedirectorelectedbymorethanhalfofallthedirectorsshallconveneandpresidethemeeting.

Article22Thevalidmeetingofboardofdirectorsshallhavetheattendanceofatleast

andtheentrustedpersonshallperformtherightsstatedintheletterofauthorization.

(II)Implementtheresolutionsoftheboardofshareholdersandboardofdirectors;

(III)Exercitheauthoritiesoflegalreprentativeasspecifiedinarticlesofassociationofthecompany.

Article24Thecompanyhasamanagerwhorecruitmentordecruitmentisdeterminedby

(II)Exercispecialadjudicationanddispositionrightsforthemattersofthecompany

incaofwar,extraordinarilyriousnaturaldisastersandotheremergencies,inwhich

theadjudicationanddispositionrightsshallbeinaccordancewiththeinterestsofthe

company,andthelegalreprentativeshallreportthattotheboardofshareholdersandboardofdirectors.

Article28Ifthelegalreprentativecannotactasthelegalreprentativeofthe

companyaccordingtothelaws,regulations,provisionsoftheStateCouncilorotherconditions,theboardofdirectorsshallremovehis/herpost.

Article37Thefinancialdepartmentofthecompanyshallsubmitthefinancialstatements,

annualbalancesheet,incomestatementandtheliketotherelevantgovernment

administrativedepartmentsaccordingtotherelevantmanagementrulesandsystemsofthePeople'sRepublicofChina.

Article38Theoperationandfinancialmanagementofthecompanyshallbesubjecttothe

supervisionofgovernmentdepartments,industryandcommerce,taxation,customsandotherorganization,andprovideconvenience.

Article39ThecompanyshallpaythevarioustaxesaccordingtotherelevantlawsandrulesoftheChina.

Article40Allforeignexchangemattersofthecompanyshallbehandledaccordingtothe

ProvisionalRegulationsforExchangeControlofthePeople'sRepublicofChinaand

relevantprovisions,andthecompanyshallsolvetheproblemofbalanceinforeignexchangebyitlf.

Chapter7DistributionofProfit

Article41Thecompanyshallwithdrawrervefunds,enterpridevelopmentfund,workers

andstaffbonusfundandwelfarefundsfromtheprofitaftertax,whereintheproportion

profitofthecompanyafter

Article45Thestaffrequiredbythecompanycanberecruitedopenlyaftertheapproval

oflocallaboradministrativedepartment,andthecompanycanrecruitworkersonalectivebasisbyinterview.

Article46Thecompanyhastherighttogivethestaffbreakingthedisciplinesa

disciplinarywarning,demeritrecordingandsalaryreductionaccordingtorulesand

regulationsofthecompany,andevendismissthestaffwithriousconditionsandreporttheconditiontothelaboradministrativedepartmentforrecord.

Article47Thecompanyshallsignalaborcontractwitheverystaff,whereinthewages,

insurancecompanyofChina,whereinthetypes,thevalueanddurationofinsuranceshallbedeterminedaccordingtotheregulationsoftheinsurancecompany.

Article50Businessoperationperiodis15years,whichcountedsincetheindustrialandcommercialbusinesslicenissued

shouldpropotheclearingprocedure,principle,andclearingtocompanyproperty,andinformontime.

Article54Pendingcompletionofliquidation,theforeigninvestorshallnotdispoof

theastsoftheenterpri,exceptforthepurposofcarryingouttheliquidation.

Article55Afterclearing,theenterprishallthengothroughtheproceduresof

nullifyingitsregistrationwiththeadministrationsforindustryandcommerce,andhandinitsbusinesslicenforcancellation.

Article56TheamendmenttotheArticlesofAssociationshallbeunanimouslyagreedand

decidedbytheboardofdirectorsandsubmittedtotheoriginalexaminingandapprovingauthorityforapproval.
