以电影为代表的版权产业开始成为我国国民经济的支柱产业，使得电影版权证券化融资成为了可能。源自好莱坞电影融资模式的电影版权证券化在欧美发达国家已经相当成熟，世界知识产权组织WIPO将其视为新的发展趋势，但在我国还处于探索阶段。本文从法学视角，通过构建电影版权证券化法律问题模型，对于提高电影版权融资能力，促进文化创新，乃至建设创新型国家都具有重要意义。
近些年国内对知识产权证券化的研究呈井喷式增长，但都局限于国外知识产权证券化制度和理论的引进，缺乏具体细致深入的研究，具体到电影版权领域更是鲜有人关注。本文以电影版权证券化为研究对象，以“法律模型”为研究视角，并结合我国法律现状，构建预测未来电影版权证券化的法律问题模型，并提出相应的立法建议。第一部分，介绍电影版权及证券化的基本概念、特征、流程及其法律关系，理清电影版权证券化的本质是债权证券化；第二部分，重点构建电影版权证券化法律问题模型，
按照证券化的流程分为准备阶段、实施阶段、监管阶段，并分析预测每个阶段可能出现的法律问题：电影版权权利瑕疵、审查制度限制、未来债权让与问题、SPV问题、真实销售问题、电影完片担保、债券违约、电影版权登记问题、信息披露、投资者保护、内幕交易、集资诈骗等；第三部分，结合国际上知识产权证券化集中型和分散型两类立法模式，提出我国证券化立法应选择集中立法模式和政府导向型立法；第四部分，构建法律模型的目的就是对立法提供借鉴。对法律模型中现有法律未规定的问题，提出了相关的立法建议来应对，如将资产支持证券纳入证券范畴、未来债权允许转让、建立电影版权统一登记制度、实行电影分级制度等。

Abstract
The film, as the reprentative of the copyright industry, has began to become a pillar industry in the national economy, which makes the film copyright curitization financing possible. This financing model derived from Hollywood is already quite mature in Europe and developed countries. World Intellectual Property Organization (WIPO) regarded it as a new trend, but in China, it is still in the exploratory stage. From the legal perspective, by building legal issues model of film copyright curit
ization, this article in both improving the financing capacity of the film copyright and promoting cultural innovation, as well as building an innovative country are of great significance.
Domestic studies of the intellectual property curitization skyrocketed over the years, which however are limited to introduce the foreign system and theory of intellectual property curitization therefore lack specific and detailed in-depth rearch. Specific to the field of film copyright there is rarely concern. This paper, taking film copyright curitization as the rearch object and Law model as rearch perspective, combined with the legal existing status quo of China, plans to build a model to predict the future legal issues of the film copyright curitization, which in addition will bring forward corresponding legislative proposals. The first part introduces the basic concepts, features, process and legal relations of the film copyright curitization, which aims to clarify the legal nature of curitization is debt curitization. The cond part focus the building of the model of film copyright curitization bad on legal issues. In accordance with the curitization process, it is divided into the preparatory pha, implementation pha, and the regulatory stage. The third part divides domestic and overas' intellectual property curitization legislation into two types of centralized and decentralized and propos that our legislation would be better to choo the types of centralized legislation and government-oriented legislation model. Then the paper predicts and an
alyzes the legal issues that may ari at each stage, which may include copyright defects of film, censorship restrictions ,future debts transferring issues , SPV issues, real marketing problems, movie accomplishment guarantees, bond defaults, film copyright registration issues, information disclosure, investor protection, insider trading, and fraudulent fund-raising. The fourth part in the basis of establishment of the legal model, put forward the relevant legislative proposals to deal with the problem that existing law does not stipulate. For example, ast-backed curities should be included in the range of curities; future film copyright transferring should be allowed; a unified registration system should be established; the film ratings system should be established, etc.
