背景：目前在市场出现同一项目多家合作伙伴跟踪不报备，出现相同产品多重报价，甚至出现用户打电话到德国工厂询价，导致资源重复投入，损伤合作伙伴的利益。
Background: In the current market there ud to be very often that many distributors followed one same project without reporting the project to us, thus our products were offered repeatedly. And sometimes, even the end-ur called Novelis Germany trying to get the offer directly. For above mentioned, it lead to the repeatedly devotion of the limited resources.
目的：为了更好的保护合作伙伴的利益，加大项目配合和资源投入的效率
Intention: T o protect our partner’s benefit, strengthen the cooperation in projects and improve the efficiency of devoted resources.
一、报备规则Project report system
1、保密原则Secrecy Principle
在不出现项目重复时，富尔金属控股有限公司不向其他第三方代理机构透露有关项目信息。在出现项目重复时，富尔金属控股有限公司只限于告诉第三方此项目已经由某一家代理商申报。
富尔金属控股有限公司郑重承诺对渠道的具体项目内容信息严格保密。
If the project was reported independently, FULLMETAL should not leak any information to any other third parties. For the repeatedly reported project, FULLMETAL can only relea the project name and the follower.英语故事视频

2、优先支持原则 Preferential Support to The First-In
合作伙伴项目报备成功，富尔金属控股有限公司视项目的大小情况将优先提供以下支持：
A 厂商优先授权
B 该项目的最低进货价和项目价格保护
C 方案支持与现场售前支持

D 销售经理或工厂亚洲区经理的现场攻单
E 根据项目情况的其它支持（如样品、成功项目参观、工厂考察等）
For the distributor first successfully reporting a project, FULLMETAL will provide the special support bad on the different projects:
A Project Authorization priority
B Lowest offer and protection on project price
C Pre-sales and solution support
D On-site support from the sales manager of Novelis and FULLMETAL

3、实时考核原则Timely Check-Up
为保证项目报备的公正性，富尔金属控股有限公司定期对授权代理商所报备的项目进行考核，包括：
A 通过电话访问各关联方（设计师，顾问公司，业主，总包单位，施工单位等）；
B 与授权经销商一起拜访各联方
C 通过其它行业内渠道了解项目真实的进展情况
For the impartiality, FULLMETAL will recheck up the reported project by means of:
A Telephone call with all related parties (Architect, consultant, owner,contractor, Construction Company)
B Visit all related parties with distributors
C Cross-check the truth of project progress through other inside channels
4、合作补偿原则Compensation for Cooperation
由于项目的不确定因素，如果有以下情况出现：
A 项目本身存在跨地域询价与采购；
B合作伙伴资质不够；
C 合作伙伴客户只有单一的与建筑各关联方之一的合作关系;
D 项目竞争激烈；
E其它影响项目结果的因素；
富尔金属控股有限公司和报备合作伙伴共同商议是否引入其它合作伙伴；如果引入其它合作伙伴，并且项目由新引入合作伙伴成交并下单成功，富尔金属控股有限公司则给报备的合作伙伴一定补偿金，补偿金的多少则根据合作伙伴前期的投入、成交产品和成交金额（限富尔金属控股有限公司所代理销售的部分）决定，并由合作双方商议解决。如双方协商不成，由富尔金属控股有限公司根据双方实际的工作情况做出决定。
If there appears any following conditions due to:
A Non-local material purcha;
B Higher qualification request from the owner,
C Weak public relationship with only one of the project parties,
D Drastic competition
E Other factors which lead the different result

FULLMETAL and the project follower will discuss whether to cooperate with new partners. If new partners join and we finally win the project and make the order successful, FULLMETAL will pay the compensation to the old partner. The compensation will come from the sales turnover of this project and will ba on the partner’s cost, order account and the payment terms, and it will be decided by both parties of FULLMETAL and the old partner. FULLMETAL rerves the right to finally decide the amount if both two partie s can’t make an agreement.
二、操作方法 Operation Procedures
1、项目报备Project Report：
授权代理商应在第一时间通过邮件的形式向富尔金属控股有限公司申报项目。邮件地址：

为项目的保密性，授权代理商在报备时，邮件中只需注明项目名称，所在城市。其他核心内容须以附件形式（见表格）向富尔金属控股有限公司申报。富尔金属控股有限公司在收到邮件后五个工作日内给予回复。
如果富尔金属控股有限公司确认此项目没有人报备，刚报备成功。
如果已经有人报备，富尔金属控股有限公司应通过邮件告知原报备人的报备时间，并转发相关不含核心内容的邮件以佐证。
Authorized dealer should report the project to FULLMETAL through e-mail timely. E-mail address: ******************
Concerning the project confidentiality, the dealer can only indicate the project name, located city in the e-mail. Other core information should be submitted by attachment. FULLMETAL should reply the e-mail within 5 working days.
FULLMETAL will confirm the result if there is no other dealer who have reported the same project before.
If FULLMETAL find out other dealers have reported the same project, FULLMETAL should forward the e-mail earlier reporting the project without core information to the new-joiner as an evidence. 2、项目报备取消 Project Report Cancellation
代理商应当积极主动的通过邮件的方式与富尔金属控股有限公司沟通，说明项目的进展情况。在下面情况下，代理商的项目报备将被取消：
A代理商主动要求取消的；
B 单个代理商同时报备的项目多于20个的部分；
C 项目设计发生本质性的变更，不用或极少用铝板/带时或改用低端产品；
D 项目因外界因素影响停工或闲置/料尾两年以上；
E 恶意拖欠富尔金属控股有限公司货款超过三个月以上的。
All the distributors should actively keep contact with FULLMETAL to report the updated project information. Nonetheless the project will be cancelled for any following conditions:
A The authorized dealer asks to cancel the project,
B For the projects which are beyond the 20 projects limitation for one distributor,
C The project is finally decided to u other materials or there is quite less alu panels;
D The project will be postponed at least 2 years for the economic reason,
E The dealer has overdue in hostile manner for more than 3 months,

富尔金属控股有限公司根据项目的进展情况及各方需要不同，按要求提供项目授权。
授权书有效期为签字盖章之日起两年整。分为中文繁体与英文两份。
在满足以下情况下，授权代理商可以申请项目授权书：
A 已经报备了项目并得到富尔金属控股有限公司的确认；
but和however的区别B 已经自付费用向工厂申请了样品；
C 已经多次与工厂或富尔金属控股有限公司人员一起拜访各关联方；
D有关项目攻关已取得实质性成果或逼近成交阶段，可提供最终的，不可变的详细规格与数量等，

富尔金属控股有限公司先期提供授权书的传真件或复印件或扫描件。在合适的时候再提供原件。
FULLMETALC will issue the authorization letter (English and Chine) to the distributor bad on the
requests and project status. The validity of the authorization will last two years from the signature date.
Bad on the conditions below, the distributor can ask for the authorization letter:
A The project has been reported and also been confirmed by FULLMETAL,
巨擘B The distributor has paid the cost to apply for sample from Novelis.
C The distributor has visited related projects parties many times with the sales from Novelis or FULLMETAL;
D The distributor has obtFULLMETALed the detailed inquiry from the ur;
E Other factors that Novelis or FULLMETALC decide to issue the letter.
4、项目授权取消Cancellation of Authorization
为防止部分经销商在得到项目授权后不跟踪或有其他无益于产品推广的形为，在以下情况下，富尔金属控股有限公司有权终止项目授权：
A 长时间对项目进行情况不跟踪的；
B 未经同意，推广非富尔金属控股有限公司产品的；
C 现竞争对手合作的；
D 泄露工厂价格与技术信息的;
E 恶意拖欠富尔金属控股有限公司货款超过六个月以上的；
F 恶意参与非授权项目竞争的;
G 富尔金属控股有限公司或工厂认为有可能影响产品推广的其他行为
以上行为严重的，在与工厂协商之后，将取消经销商的代理资格.
In order to protect the benefit of Novelis and FULLMETALC, FULLMETAL can cancel the authorization if we find our distributor:
从不放弃英文
A Does not provide updated information for a long time;
B Promotes other product without permission;

E Has overdue in hostile manner for more than 6 months;
F Competes for the projects without authorization;
G Other factors
FULLMETAL will blacklist the dealer if any of his above mentioned actions is rious and impacts execrably.
