This Contract is signed on the mutuality voluntary basis and on the basis of mutuality equality by and between the following Party A and Party B in accordance with the “Labor Law of the People's Republic of China" and the “Labor Contract Law of the People’s Republic of China”.

1. Term of the Contract
Article 1. The term of this contract is for 2 years and shall commence on 1st June, 2014, and shall continue until 31st May, 2016, unless earlier terminated pursuant to

2. Job Description
Article 2. Party A agrees to employ Party B as International Project Manager in International Division of XXX.
Main responsibilities are as below:
Meanwhile, Party B shall abide by the following:
1. During performing the contract, Party B shall devote whole time attention
to the company business, and unless agreed with Party A in writing, Party
B shall not engage in any other assignment or work, whatever for personal

第三条乙方应按照甲方的要求，按时保质、保量、经济、安全地完成规定的岗位工作。第四条乙方同意在甲方安排的工作地点中国XX省XX市、印度（印度国内地域不限）从事工作。根据甲方的工作需要，经甲乙双方协商，可以变更工作地点。
3. Working Hours, Rest and Vacations
Article 5. In accordance with the laws and regulations of the People's Republic of China (PRC), Party B works according to system as listed below:
1. Standard working hours system: Party B works no more than 8 hours daily,
and no more than 40 hours weekly on average. Party A ensures that
Party B has the right to enjoy two days (Saturday and Sunday) off a week.
2. Due to work requirement, after consulting with Party B, Party A is entitled
to require Party B to work overtime, but the daily overtime should not
exceed one hour. If Party A needs to extend Party B’s wor king time due to
special reasons, the overtime should not exceed 3 hours per day or 36离开的英文

3. If Party B falls ill or suffers non-work related injuries during the contract
period, he shall enjoy sick leaves.
4. Party B may ask for leave at any time upon the emergency occurrence.

by Party A, under which Party A shall not deduct Party B’s salary.
三、工作时间和休息休假
第五条甲方根据中华人民共和国的有关规定安排乙方执行以下工作制。
1. 执行定时工作制，甲方安排乙方每日工作时间不超过8小时，平均每周不超
过40小时。甲方保证乙方每周周六及周日休息两日。
2. 甲方由于工作需要，经与乙方协商后可以延长工作时间，一般每日不得超过
1小时，因特殊原因需要延长工作时间的，在保障乙方身体健康的条件下，
每日不得超过3小时，每月延长工作时间不得超过36小时。
3. 乙方享有因患病或非因工负伤的医疗期的病假。
4. 乙方若遇突然情况，随时可以请假，但一年内假期不得超过15天，若一年
内假期未超过15天，甲方不能以此克扣乙方薪资。
4. Salary for Labor
Article 6. Party A shall pay Party B salary in USD currency on monthly basis. Payment of monthly salary shall be paid at the end of month.
Party A shall pay Party B pre-tax salary RMB XXX per month. Total RMB XXX
per year (pre-tax). Party B's personal income tax shall be borne by Party B
himlf, and Party A shall rve as the withholding agent of the individual
income tax of Party B.
Above mentioned salary for labor includes the other compensation which Party
A shall pay to Party
B after this contract is terminated.
Party A may pay Party B pre-tax year-end incentive bonus RMB XXX
depending on Party B’s per formance, and relevant individual income tax shall
be borne by Party B himlf/herlf. Party A shall rve as the withholding
agent of the individual income tax of Party B. This article of year-end bonus
shall be subject to Party A’s appraisal to Party B’s performance and shall be
finalized only after both parties’ negotiation.
Meanwhile, Party B shall declare all above income to Indian local government.
Party B will not enjoy any other allowance or benefits, whatsoever unless
mutually agreed.
四、劳动报酬
第六条甲方（或甲方指定的单位）以货币形式按月支付乙方工资，发薪日为当月的月底。
甲方支付给乙方的月薪为税前xxx元/月，本合同一年总共为税前XXX元，所涉
及税金由乙方承担，甲方代为交税。
上述劳动报酬包含解除本劳动合同时甲方支付给乙方的其它费用。
工作和绩效挂钩，工作出色时乙方可获得甲方税前XXX元的年终奖励，所涉及
税金由乙方承担，甲方代为交税。但本年终奖励条款需由甲方对乙方的劳动成果
进行衡量及评价，并经双方商议后才能决定。
上述所列乙方的所有劳动报酬，乙方同时必须在印度境内向印度政府申报该收入。
除非甲乙双方相互协商，乙方不再享有任何其他的津贴或福利。
5. Travel Expens
Article 7. Party B shall perform below travel expens standard agreed by both parties.
Party B shall be reimburd travel expens incurred in connection with the
business activities of the company against vouchers (including transportation &
accommodation invoices) according with the company rules.
gmanInland of India and international travels will be by economy class as per
company rules. India and China travel will be reimburd RMB XXX per day,
International travel (excluding India and China) will be reimburd RMB XXX
per day.
Party A will reimbur Party B the mobile and residential phone fee according
to the actual amount on the bill nt by Party B every month, but the maximum
