Feasibility Study Contract
This Contract (hereinafter referred to as “the Contract”) is made and entered into on ____ (date) by and between ____ (name of the party A), a corporation incorporated under the laws of ____ (state or country), with its principal place of business at ____ (address), ____ (city), ____ (state or country), and ____ (name of the party B), a corporation incorporated under the laws of ____ (state or country), with its principal place of business at ____ (address), ____ (city), ____ (state or country), collectively referred to as the Parties and individually referred to as the Party.
WHEREAS, Party A desires to engage the rvices of Party B to perform a feasibility study (hereinafter referred to as “the Study”) for ____ (brief description of the project);
WHEREAS, Party B reprents that it has the experti and experience necessary to p
erform the Study to the satisfaction of Party A;
NOW, THEREFORE, in consideration of the mutual covenants and promis contained herein, the Parties agree as follows:
1. Scope of Work
1.1. Party B shall perform the Study in accordance with the Scope of Work attached hereto as Appendix A.
2. Payment
2.1. Party A agrees to pay Party B the sum of ____ (amount in words) dollars ($_____) for the Study.
2.2. Payment shall be made in accordance with the payment schedule attached hereto as Appendix B.
3. Confidentiality
3.1. During the term of this Contract and thereafter, Party B agrees to hold all information relating to Party A’s business and operations, including but not limited to financial information, trade crets, and other proprietary information, in strict confidence and not to disclo such information to any third party without Party A’s prior written connt.
4. Ownership of Work Product
4.1. Any and all work product, including but not limited to reports, data, and analys, created by Party B in the cour of performing the Study shall be the exclusive property of Party A.
5. Termination
5.1. Either Party may terminate this Contract at any time and for any reason by giving written notice to the other Party.
5.2. Upon termination, Party B shall submit to Party A all work product created by Party
B in the cour of performing the Study.
6. Governing Law
6.1. This Contract shall be governed by and construed in accordance with the laws of ____ (state or country).
7. Entire Agreement
7.1. This Contract constitutes the entire agreement between the Parties with respect to the subject matter hereof and superdes all prior negotiations, understandings, and agreements between the Parties.
8. Counterparts
8.1. This Contract may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
