CONFIDENTIALITY UNDERTAKING
保密承诺书
Dear Sirs：
•Whereas China Huanqiu Contracting and Engineering Corporation (“HQCEC”, having offices at Beijing, China) (hereinafter referred to as CONTRACTOR) have been awarded a contract by PDV CUPET S.A. (hereinafter referred to as CUVENPETROL), a joint venture between COMERCIAL CUPET S.A. and PDVSA Cuba S.A., both located and registered under the laws of the Republic of Cuba, relating to the Basic and Front End Engineering De
sign Services for the expansion of the existing Camilo Cienfuegos Oil Refinery in Cuba (hereinafter referred to as the PROJECT);
中国寰球工程公司（“HQCEC”，位于中国北京）（以下简称“承包商”）已获得PDV CUPET S.A.（以下简称“CUVENPETROL”）公司关于古巴卡米洛西恩富戈斯炼油厂改扩建项目（以下简称“项目”）的基础及前期工程设计服务的承包合同，其中PDV CUPET S.A.是由COMERCIAL CUPET S.A.公司和PDVSA Cuba S.A.公司组成的一家合资公司，均注册并位于古巴境内。
•Whereas CONTRACTOR has received and will receive certain CONFIDENTIAL INFORMATION (as defined below) for the execution of the PROJECT from CUVENPETROL, and from AXENS S.A., UHDE GMBH, LURGI GMBH, CHINA PETROCHEMICAL TECHNOLOGY CO. LTD. (hereinafter collectively referred to as LICENSORS) and has signed with CUVENPETROL and LICENSORS Confidentiality Agreements in order to protect said CONFIDENTIAL INFORMATION as hereinafter defined;
承包商在项目执行中已收到并将继续获得了由CUVENPETROL公司、AXENS S.A.公司、UHDE GMBH公司、LURGI GMBH公司、中国石油化工科技有限公司（以下统称“授权方”）提供的一些保密信息（定义如下），为保护上述“保密信息”承包商与CUVENPETROL公司和授权方签署了保密协议。
•Whereas CONTRACTOR is interested in receiving from your company, (hereinafter referred to as the "RECEIVING PARTY"), quotations and possible supply of equipment/materials and/or engineering rvices and/or construction labor and/or consultancy rvices (hereinafter referred to as ACTIVITIES), in connection with the implementation of the PROJECT;
承包商有兴趣接收贵公司（以下简称“接收方”）在有关项目实施时提供的报价、可能供应的设备、材料和/或工程服务、建筑工人、顾问服务等（以下简称“各项活动”）
•Whereas for the purpo of permitting RECEIVING PARTY to provide quotations and possibly to perform above said ACTIVITIES, it is necessary for CONTRACTOR to disclo to RECEIVING PARTY certain of the CONFIDENTIAL INFORMATION as herein
after defined.
为了接收方能够提供报价并执行上述的各项活动，承包商有必要向接收方提供一些特定的保密信息。
•Therefore, CONTRACTOR is prepared to make such disclosure to RECEIVING PARTY provided that RECEIVING PARTY hereby agrees the following:
因此，只要接收方同意以下条款，承包商则愿意向接收方提供必要信息：
1."CONFIDENTIAL INFORMATION" shall mean, but are not limited to: (i) the contents of the ACTIVITIES documents and any information provided pursuant to this Confidentiality Undertaking or the ACTIVITIES documents; (ii) any information and/or documents relating to the PROJECT, including but not limited to CONTRACTOR and LICENSORS technology, or that was developed in connection therewith, and (iii) any other information and/or documents supplied to RECEIVING PARTY that is marked, or is otherwi indicated to be, confidential.
“保密信息”指的是但不限于：（i）各项活动的文件内容和根据此保密承诺书提供的任何资料或各项活动文件（ii）有关该项目的任何信息和/或文件，包括但不限于承包商和授权方的许可技术，或者说是与其有关的延伸，以及（iii）任何提供给接收方的信息和/或被标记的文件，或用他方式进行标识的，均需保密。
2.The RECEIVING PARTY shall treat the CONFIDENTIAL INFORMATION in the same manner as it treats its own confidential information and shall not, without the prior written connt of the CONTRACTOR, reproduce or u the CONFIDENTIAL INFORMATION for any other purpo than the PROJECT.
接收方在处理保密信息时应当作对待自己内部的保密信息一样，未经承包商事先书面同意，接收方不得复制或用于此项目以外的其他目的。
3.The RECEIVING PARTY shall only disclo CONFIDENTIAL INFORMATION to tho of its employees who have a need to know it for the PROJECT, who have been informed of the obligations of confidence and non-u under this Confidentiality Undertaking and who are bound to the RECEIVING PARTY by obligations of non-u and crecy no less
stringent than tho contained in this Confidentiality Undertaking. RECEIVING PARTY shall be responsible for the said employees' compliance with the provisions of this Confidentiality Undertaking.
接收方只能向其有需要了解该项目的员工透露保密信息，其员工应被告知根据本保密承诺书有义务保密并不做他用，或接收方保证不低于本保密承诺书所载的义务和不做他用。接收方将负责上述雇员严格遵守本保密承诺书的规定。
4.The RECEIVING PARTY will not disclo the CONFIDENTIAL INFORMATION either in whole or in part, to any third party (including but not limited to its Affiliates and Subcontractors) without the prior written connt of the CONTRACTOR. If the RECEIVING PARTY is authorized to disclo, it shall be a condition of such disclosure that prior to any disclosure, such third party enters into an appropriate agreement with the RECEIVING PARTY, whereby the terms of the prent Confidentiality Undertaking shall be respected and agreed upon by said third party.
接收方事先未经承包商的书面同意，不得向任何第三方（包括但不限于其隶属机构和分包
商）透露无论是全部或部分保密信息。如果接收方被授权可以透露，在此之前，该第三方应与接收方签订合适的协议并充分尊重本保密承诺书的条款，并同意作为本保密承诺书中所说的第三方。
5.The above restrictions concerning the u and disclosure of CONFIDENTIAL INFORMATION shall not apply to any information which RECEIVING PARTY can demonstrate:
