LIMITED PARTNERSHIP AGREEMENT

This Limited Partnership Agreement (“Agreement”) is entered into and effective on April 16, 2014 and among the Persons listed as Partners on Schedule A hereto.

WHEREAS, the Partners have caud a Certificate of Limited Partnership to be filed with the Washington Secretary of State forming a limited partnership under the name “PATH TOWER SEATTLE, LP”(the “Company” or “Partnership”);

WHEREAS, the Company was formed for the sole purpo of investing in the Project (defined below); and

WHEREAS, the Partners desire to t forth certain understandings and agreements among them with respect to the affairs of the Company and the conduct of its business;

NOW, THEREFORE, in consideration of the mutual covenants and promis t forth herein, the parties hereby agree as follows.

DEFINITIONS
定义
Capitalized terms ud in this Agreement shall have the meaning t forth below. Other terms defined throughout this Agreement shall have the meanings respectively ascribed to them.

“Act” means the Washington Uniform Limited Partnership Act, as amended from time to time.

“Administrative Fee”means the amount paid by Limited Partners to the General Partner for expens incurred by the General Partner in connection with the offering of Units, including legal, accounting and administrative expens, commissions, and fees related to the offering of Units and payment to one or more foreign brokers, investment advisors, or other parties in connection with the sale of Units.

“Affiliate” means, with respect to any Partner, any Person: (i) who owns more than 50% of the voting interests in the Partner; or (ii) in which the Partner owns more than 50% of the voting interests; or (iii) in which more than 50% of the voting interests are owned by a Person who has a relationship with the Partner described in clau (i) or (ii) above, or (iv) who otherwi controls, is controlled by, or is under common control with, another Person.

“Agent” means any officer, director, employee, trustee, partner, agent, or reprentative of a Partner acting for or on behalf of such Partner or the Company.

“At-Risk Period” means the period of time commencing upon a Limited Partner’s admission to the United States as a lawful conditional permanent resident and ending upon the end of conditional residence for such Limited Partner in keeping with expresd USCIS policy at the time.
“风险期”指的是自某有限合伙人被准许作为合法的附条件的永久居民进入美国开始，至该有限合伙人有条件居住结束时（具体应与当时公布的USCIS的政策保持一致）的整个时间段。
“Available Cash “means funds provided from operation of the Company, without deductions for depreciation, but after deducting funds ud to pay all expens and debts of the Company, administrative operational expens, capital improvements, and less the amount t aside by the General Partner, in the exerci of its sole discretion, for rerves.

“Bankruptcy” means, with respect to any Partner: (i) an assignment for the benefit of creditors; (ii) a voluntary petition in bankruptcy; (iii) adjudication as a bankrupt or insolvent; (iv) the filing of a petition or answer eking any reorganization, arrangement, composition, readjustment, liquidation or similar relief under any statute, regulation or law; (v) the filing of an answer or other pleading admitting or failing to contest the material allegations of a petition filed against the Partner in any proceeding of this nature; (vi) eking, connting to, or acquiescing in the appointment of a trustee, receiver, or liq
uidator of such Partner’s properties or of all or any substantial part of the Partner’s properties; or (vii) any proceeding against the Partner eking reorganization, arrangement, composition, readjustment, liquidation, dissolution, or similar relief under any statute, law, or regulation, continues for ninety (90) days after the commencement thereof, or the appointment of a trustee, receiver, or liquidator for the Partner or all or any substantial part of the Partner’s properties without the Partner’s agreement or acquiescence, which appointment is not vacated or stayed for sixty (60) days or, if the appointment is stayed, for sixty (60) days after the expiration of the stay during which period the appointment is not vacated.

“Borrower” means Potala Tower Seattle, LLC, a Delaware limited liability company that will u proceeds from the Loan from the Company to further the Project.

“Capital Account” shall have the meaning t forth in Section 2.3.

“Capital Contribution” or “Contribution” means the total amount of cash and the fair market value of any other asts contributed (or deemed contributed under Regulation Section 1.704-1(b)(2)(iv)(d)) to the Company by a Partner, net of liabilities assumed or to which the asts are subject.

“Code” means the Internal Revenue Code of 1986, as amended, or any corresponding provision of any succeeding law or any corresponding provision, and all applicable Treasury Regulations.

“Company Minimum Gain” is defined in Regulations Sections 1.704-2(b)(2) and 1.704-2(d).

“Contributed Property” means any property contributed (or deemed contributed under Code §708) to the Company at any time or from time to time.

“Deficit Capital Account”means the situation whereby the Company has distributed to a Partner distributions in excess of such Partner’s Capital Account.

“Depreciation”means, for each Fiscal Year, an amount equal to the depreciation, amortization, or other cost recovery deduction allowable with respect to an ast for such Fiscal Year, except that if the Gross Ast Value of an ast differs from its adjusted basis for U.S. federal income tax purpos at the beginning of such Fiscal Year, Depreciation shall be an amount which bears the sam静静的风

“Economic Interest”means a Person’s share of the Profits and Loss of, and the right to receive distributions from, the Company.
