The Board of Directors of China Fangda Group Co., Ltd. (“The Company” hereinafter) rved the circular of meeting in terms of writing and fax on July 23, 2010. The 20th meeting of the 5th term of Board of Directors was held in the meeting room of the Company in the afternoon of August 5, 2010. The meeting was hosted by Chairman Xiong Jianming. 6 of the 7 directors prented the meeting, independent director Xiong Jianwei abnted the meeting for business engagement, and he entrusted independent director Wang Shengguo to vote on the meeting and issue the independent opinion. The meeting is complying with the provisions t out by the Company Law and the Articles of Association of the Company. The resolutions adopted by the meeting as the followings:
The proposal on purchasing of land:
It is propod to purcha the pieces of lands located in the city of Dongguan and Shenzhen by the Company or its subsidiaries. The land will be ud to build the production bas of the Company. The purchasing will be not over RMB90 million, and the executive team of the Company is authorized to handle the operations related to the land purchasing.
