反腐败、反贿赂及反洗钱承诺书
Anti-Corruption, Anti-Bribery and Anti-Money Laundering Undertakings
1.分包商（或供货商/卖方）承诺在执行本采购/分包合同过程中，或在与本采购/分包合同有关的交易过程中，将遵守所有本采购/分包合同适用的或项目所在国国家颁布的, 与反腐败、反贿赂及反洗钱有关的法律、法规、规章、或政府命令。
Subcontractor (or Supplier/Vendor) agrees and undertakes that in connection with this Subcontract and the transactions contemplated by this Subcontract, it will comply with all applicable laws, rules, regulations, decrees and/or official governmental orders of the country by who laws this Subcontract is governed and any country in which the Work is performed relating to anti-corruption, anti-bribery and anti-money laundering.

As a matter of corporate policy, Contractor (or Purchar/Buyer) expressly prohibits payment of bribes and also payment of any so-called “facilitation” or 教师节画画“grea要结果” payments in connection with the Contractor (or Purchar/Buyer)’s business operations by any subcontractor, supplier or agent engaged to provide goods or rvices to the Contractor (or Purchar/Buyer). Subcontractor (or Supplier/Vendor) agrees, undertakes and confirms that it, and each of Subcontractor Group, has not made, offered, promid to make or authorized the making of, and will not make, offer, or promi to make, or authorize the making of, any payment or other transfer of any financial or other advantage or anything el of value, including without limitation the provision of any funds, rvices, gifts or entertainment, directly or indirectly to:-

any political party, official of a political party, or candidate for public office;
(e)为了向前述人员行贿而通过的代理人或中间人；
any agent or intermediary for payment to any of the foregoing; or
(f)任何其他人员
any other Person,
如果目的是在采购/分包合同执行过程中、与采购/分包合同有关的商业往来中，或在与承包商的任何商业交易中，获取、影响或酬谢采购/分包合同授标，或为了任何不正当的利益、目的，如果分包商（或供货商/卖方）的行为违反了任何适用于承包商（或买方）或分包商（或供货商/卖方）的反贿赂或反洗钱法律规范的要求。分包商（或供货商/卖方）承诺，一旦发现任何违反本条规定的行为，将立即通知承包商（或买方）。
长大英文for the purpo of obtaining, influencing or rewarding the award of this Subcontract or for any improper advantage or for any improper purpo or where it would be improper for the Person to accept such an advantage, in connection with the performance of this Subcontract and the transactions contemplated hereunder or in connection with any other
business transactions involving the Contractor (or Purchar/Buyer), or in any other connection, if and to the extent that to do so is or would be in violation of or inconsistent with the principles or requirements of any anti-bribery or anti-money laundering laws applicable to Contractor (or Purchar/Buyer) or to Subcontractor (or Supplier/Vendor). Notwithstanding the foregoing undertakings, Subcontractor (or Supplier/Vendor) agrees to notify Contractor (or Purchar/Buyer) promptly upon discovery of any instance where Subcontractor (or Supplier/Vendor) has failed to comply with any provisions of this Clau 2.0.
3.分包商（或供货商/卖方）承诺在本采购/分包合同执行过程中以及在项目所在国与承包商（买方）进行的任何商业往来，分包商（或供货商/卖方）集团将：
Subcontractor (or Supplier/Vendor) agrees and undertakes that in connection with this Subcontract and in connection with any other business transactions involving Contractor (or Purchar/Buyer) in any country in which the Work is performed Subcontractor (or Supplier/Vendor) Group:-
(a)适用有效的披露控制及流程
will apply effective disclosure controls and procedures;
(b)在采购/分包合同有效期内并至少在合同到期或终止后3年内保存账簿、记录及账目，上述账簿、记录及账目应当详细、准确且公正地反应所进行的交易及对资产的处置情况；并且
will maintain throughout the term of this Subcontract and for at least three (3) years following its expiration or termination books, records, and accounts which, in reasonable detail, accurately and fairly reflect the transactions undertaken and the disposition of asts; and
(c)建立一个内部财务控制系统，以便确保对所有交易做出正当的授权、记录，并确保不会违反所适用的管辖法律关于反腐败的规定。
will maintain an internal accounting controls system that is sufficient to ensure the proper authorization, recording and reporting of all transactions and to provide reasonable assur
ance that violations of the anti-corruption laws of the applicable jurisdictions will be prevented, detected and deterred.
4.分包商（或供货商/卖方）同意，业主以及/或者承包商（买方），或通过授权代表，有权利检查及审计任何与分包商（或供货商/卖方）履行合同义务有关的账簿、记录，并有权复印此类账簿、记录，费用由分包商（或供货商/卖方）承担。
Subcontractor (or Supplier/Vendor) agrees and acknowledges that the Owner and/or Contractor (or Purchar/Buyer), itlf or through its duly appointed reprentatives, shall have the right to inspect and audit any and all books and records of Subcontractor (or Supplier/Vendor) relating to Subcontractor (or Supplier/Vendor)’s compliance with its obligations under this Clau 2.0, and to make copies, at Subcontractor (or Supplier/Vendor)’s expen, of any such books and records.舞蹈创编
