INDUSTRY-ACADEMIC CONSULTING AGREEMENT
This Agreement is made 天云山风景区this _____ day of _________, 201_7_, by and between 个人综合素质评价 (the “Company”), a corporation organized and existing under the laws of the 梭罗瓦尔登湖 , and (the “Consultant”), an employee and faculty member of , an educational institution and charitable corporation located in 红苹果图片 (“XXX”).
WHEREAS, the Consultant, as a member of the faculty at XXX (“XXX”), is permitted to perform limited consulting rvices for companies, subject to the terms of Consultant’s employment relationship with XXX and the applicable policies and procedures of f8键有什么作用 ps把人p掉and ;
WHEREAS, the Company desires that the Consultant provide advice and assistance to the Company in his or her area of experti; and
WHEREAS, the Consultant desires to provide such advice and assistance to the Company under the terms and conditions of this Agreement;
NOW, THEREFORE, the Company and the Consultant hereby agree as follows:
1. Consulting Services
(a) Subject to the terms and conditions of this Agreement, the Company hereby retains Consultant as a consultant and technical advisor to perform the consulting rvices specifically t out in Exhibit A attached to this Agreement and made a part hereof (hereafter referred to as the “Services”), as said Exhibit may be amended in writing from time to time, and Consultant agrees, subject to the terms and conditions of this Agreement, render such Services during the term of this Agreement. Such rvices shall be limited to the area of experti described in Exhibit A (the “Field”), as amended in writing from time to time. Consultant shall render rvices hereunder at such times and places as shall be mutually agreed by Company and Consultant. Consultant’s commitment hereunder shall not exceed ___30___days per __year____.
(b) It is understood that the purpo of the Consulting is to provide periodic review and advice relevant to certain Company matters, and that neither Consultant nor Company wil
l benefit if Consultant provides inaccurate advice or commentary bad on insufficient information. To that end, Company shall provide Consultant, in advance of meetings, with accurate, unbiad and sufficient information for him to review the subject matter thereof, and shall promptly provide further information that Consultant reasonably deems relevant to forming any pertinent conclusions relevant to the matter for discussion. It is expressly understood that Consultant has no fiduciary obligation to Company, but instead a contractual one described by the terms of this Agreement; that Consultant’s role is to provide independent advice uninfluenced by commercial concerns; and that rvice as a Consultant does not require him to be an advocate for Company or its products in any forum, public or private. Company expressly agrees that under no circumstances will this role be compromid or inaccurately reprented.
2. Compensation and reimburment.
In consideration of the rvices to be provided by Consultant to the Company hereunder, the Company shall pay to Consultant a fixed compensation of RMB 什么酸奶好. The Company
shall have the complete rights to expen any grant obtained with assistance from the Consultant. In addition, the Company shall reimbur Consultant for reasonable travel and other expens Consultant incurs in connection with performing the Services. To obtain reimburment, Consultant shall submit to the President of the Company, or his or her designee, an invoice describing rvices rendered and expens incurred under this Agreement. Company shall provide any documentation requirements and any travel policy restrictions to consultant in writing in advance, or be foreclod from relying on such requirements and restrictions to deny reimburment. The Company shall pay to Consultant invoiced amounts within thirty (30) days after the date of invoice. Company will accommodate Consultant’s request to arrange, at Company’s expen, for all of Consultant’s travel and accommodations in connection with such meetings if they occur outside the San Francisco metropolitan area.
3. Independent contractor status.教师工作表现
The parties agree that this Agreement creates an independent contractor relationship, not
an employment relationship. The Consultant acknowledges and agrees that the Company will not provide the Consultant with any employee benefits, including without limitation any employee stock purcha plan, social curity, unemployment, medical, or pension payments, and that income tax withholding is Consultant’s responsibility. In addition, the parties acknowledge that neither party has, or shall be deemed to have, the authority to bind the other party.
4. Indemnification
Notwithstanding any other term of this Agreement, Company shall indemnify, defend and hold harmless Consultant, and XXX, its corporate affiliates, current or future directors, trustees, officers, faculty, medical and professional staff, employees, students and agents and their respective successors, heirs and assigns (the “Indemnitees”), against any claim, liability, cost, damage, deficiency, loss, expen or obligation of any kind or nature (including without limitation reasonable attorneys’ fees and other costs and expens of litigation) incurred by or impod upon the Indemnitees or any one of them in connection
with any claims, suits, actions, demands or judgments arising out of this Agreement (including, but not limited to, actions in the form of tort, warranty, or strict liability).
