NOW, THEREFORE, FMIC and hereby agree as follows:

“Confidential Information” shall mean (i) all information disclod in tangible form by the Disclosing Party and marked “confidential” or “proprietary”, and (ii) all information disclod orally or otherwi in intangible form by the Disclosing Party and designated as confidential or proprietary at the time of disclosure. Confidential Information may include, without limitation, computer programs, code, algorithms, names and experti of employees and consultants, know-how, formulas, process, ideas, inventions (whether patentable or not), schematics and other technical, business, financial and product development plans, forecasts, strategies and information.
保密信息应指:(i)所有由披露方以有形方式并标示“保密”或者发生火灾“专有”的信息,和(ii一道弧线)所有由披露方以口头或者其它无形方式披露并在披露时明确是保密的或者是专有的所有信息。保密信息包括但不限于:计算机程序、代码、计算公式、雇员与顾问的名字与技术专长、专有技术、公式、流程、构思、发明(无论是否申请专利)、图表和其它技术、商业
、财务以及产品开发计划、预测、战略的信息。
2. 0 Confidentiality Obligation 保密义务
The Receiving Party agrees to protect the Confidential Information by using the same degree of care, but not less than a reasonable degree of care, to prevent the unauthorized u, dismination or publication of the Confidential Information as the Receiving Party us to protect its own confidential or proprietary information of a like nature. The Receiving Party shall limit the u of and access to the Disclosing Party’s Confidential Information to the Receiving Party’s employees or independent contractors who have: (i) a need to know and have been notified that such information is Confidential Information for the purpo t forth herein; and (ii) entered into binding obligations of confidentiality no less restrictive than tho of this Agreement.

3.0 Term 保密期限
The Receiving Party’s obligation to protect Confidential Information hereunder shall expire years from the date of each such disclosure of Confidential Information, except when such Confidential Information disclod by the Disclosing Party is source code, in which ca the Receiving Party’s obligations to protect such Confidential Information shall be perpetual.
接受方保护本协议项下保密信息的期限为 年,自各项保密信息披露之日起算;若披露方披露的保密信息是源代码,则接受方对此类保密信息应承担永久保密义务。

4. 0 Exclusions 除外条款
Confidential Information shall not include Confidential Information that: (i) is or becomes a matter of public knowledge through no fault of the Receiving Party; or (ii) was rightfully in the Receiving Party’s posssion prior to receipt from the Disclosing Party; or (iii) was r
ightfully disclod to the Receiving Party by another person without restriction; or (iv) is independently developed by the Receiving Party without access to such Confidential Information. The Receiving Party may disclo Confidential Information pursuant to any statutory or regulatory authority or court order, provided the Disclosing Party is given prompt prior written notice of such requirement and the scope of such disclosure is limited to the extent possible.
