CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENT

2.1 In consideration of the provision of Confidential Information by the Disclosing Party, the Receiving Party shall:
2.1.1 Keep the Confidential Information in strict crecy and confidence;
2.1.2 Not u the Confidential Information for any purpo, whether commercial or non-commercial, other than the Agreed Purpo;
2.1.3 Neither disclo nor permit the disclosure of any Confidential Information to any third party, except for disclosure to Authorid Persons (as defined hereunder) in accordance with Article 3, or to a court or other regulatory or administrative body in accordance with Article 4; and
2.1.4 Take proper and all reasonable measures to ensure the confidentiality of the Confidential Information.
3. Disclosure to employees

3.1.1 reasonably need to receive the Confidential Information to enable the Receiving Party to achieve the Agreed Purpo; and
