买卖双方在平等、互利原则上，经充分协商一致，按照以下条款和条件签订本合同，以供共同遵守和履行。
This sales contract is made by and between the Buyer and the Seller after sufficient negotiation whereby the Buyer agrees to buy and the Seller agrees to ll on the basis of equality & mutual benefit, as specified in accordance with the conditions stipulated below for mutual abidance and implementation.

第四条 包装标准、费用承担
货物由卖方根据货物特性、运输方式及长途远洋运行的要求，按照 标准，安排包装方式。必须作到防潮，防锈，防护周密，包装紧凑，牢固可靠，开箱方便，经济合理，美观大方。确保货物装卸运输、仓储、保管不损不毁不降低质量，费用由卖方承担。由于
包装不良而造成货物残损和灭失的应当由卖方负责赔偿。
Article 4. Packing standard and allocation of costs
The mode of packing on goods will be arranged by Seller as per YB/T036·21-92 standard according to characteristic of the goods, mode of transportation and requirements to long-distance ocean shipping. It must be damp proof, rustproof, rigorous defending, compact packing, fastness & reliable, convenient opening, economic & reasonable, nice looking and decent. Make sure the loading, unloading, transporting, storing, keeping of the goods to be free of damage, destroy and debasing quality. The cost will be on Seller’s account. The deformity and destroy to the goods due to the weak packing shall be borne and compensated by Seller.

第六条 装运/SHIPMENT
6.1装运船只、装运日期由买方确定。买方确定后通知卖方。卖方按照所确定的船只和装运日期准备货物及办理货物的各种出口手续，费用由卖方承担。
Article 6. Delivery vesl and delivery date
Delivery vesl and delivery date will be decided by Buyer. The Buyer shall inform the same to Seller after confirmation. The Seller shall prepare the goods and transact the related export procedures as per the nominated vesl and delivery date, the cost will be on Seller’s account.

第七条通知
货物装上船后，卖方在48小时内以电传方式将货物名称、合同号、货物数量、收（发）货人、货船名称、目的港和货船离港日期通知买方。
Article 7. Notification
The Seller shall notify the commodity name, contract number, goods quantity, consignee (shipper), vesl name, destination port and vesl departure date to Buyer by telex within 48 hours after loading the goods on the vesl.
第八条 货物交付时间地点
合同签订后，卖方收到预付款次日起____日内，交付货物。交付地点为中国卖方营业地。
Article 8. Delivery time and delivery place
The ller shall deliver the goods within days after signing the contract from the morrow of receiving the advance payment. The delivery pace is Seller’s business place in China.
第九条 保险
货物保险由买方负责，并承担费用。
Article 9. Insurance
The Buyer will bear the insurance of the goods. The cost is on Buyer’s account.
第十条 付款方式
以电汇方式付款。
合同签订后次日，买方支付给卖方合同标的价款总额____%的预付款，计人民币______________元（折合美元______________）。余款在货物验收后一次性付清。
