SUBLEASE AGREEMENT |

This Sublea Agreement (this “Sublea”) is entered into as of the 01 day of July, 2022 (the “Effective Date”) by and among xxx and xxx, (collectively, “Tenant”) and xxx (“Subtenant”). Each Tenant and Subtenant may be referred to individually as a “Party” and collectively as the “Parties.”
1. Premis. The premis subject to the Sublea is with two (2) bedroom(s) and one (1) bathroom(s) located at xxx (the “Premis”).
2. Lea. Tenant entered into a Lea Agreement with Mason Management Residual (“Landlord”) for the rent and u of the Premis (the “Original Lea”). This Sublea is subordinate to and will be at all times subject to the Original Lea. The Original Lea is hereby incorporated by reference.
3. Agreement to Sublea. Tenant agrees to lea to Subtenant and Subtenant hereby ag
rees to temporarily accept from Tenant for the term specified below, and upon all the conditions t forth herein, that portion of Tenant’s interest in the Premis, including improvements.
4. Term. This Sublea will be for a term beginning on xxx and ending on xxx (the “Term”).
5. Rent. Subtenant will pay to Tenant the total sum of $2,000.00 for the Term, payable in advance in monthly installments of $2,000.00 due on the 1st day of each month during the Term ("Rent"). The first Rent payment is payable to Tenant when Subtenant signs this Sublea. Rent will be paid directly to Tenant at the address stated in the Notices ction herein (or to such other places or persons as directed by Tenant) by mail or in person by and will be payable in U.S. Dollars. Tenant will be responsible for paying the Rent on the Original Lea to Landlord.

7. Utilities. Subtenant is responsible for payment of all utility and other rvices for the Premis that are to be paid by Tenant under the Original Lea for the Term, including with the exception of electric, gas, heat, internet, which is paid for by Landlord.
8. Tenants Failure to Give Posssion. In the event Tenant is unable to deliver posssion of the Premis to Subtenant on the start date of the Term, Tenant will not be subject to any liability for such failure, the validity of this Sublea will not be affected, and the Term will not be extended. Subtenant will not be liable for Rent until Tenant gives posssion of the Premis to Subtenant; provided, however, that if Tenant does not give posssion of the Premis to Subtenant within 3 days from the start date of the Term, Subtenant may cancel this Sublea by notice in writing to Tenant.
9. Holdover Tenancy. Unless this Sublea has been extended by mutual written agreement of the parties, there will be no holding over past the Term under the terms of this Sublea under any circumstances. If it becomes necessary to commence legal acti
on to remove Subtenant from the Premis, the prevailing Party will be entitled to attorney’s fees and costs in addition to damages.
10. U of Premis. The Premis will be occupied only by Subtenant and ud only for residential purpos. Subtenant agrees not to u the Premis for any unlawful or hazardous purpo.
11. Condition of Premis. Subtenant has examined the Premis, including all appliances and fixtures, and acknowledges that they are in good condition and repair, normal wear and tear excepted, and accepts them in its current condition. At the end of the Term, Subtenant agrees to surrender and deliver to Tenant posssion of the Premis, including all appliances and fixtures, in as good a condition as they were at the commencement of the Term, reasonable wear and tear excepted. Subtenant will be liable to Tenant for any damage occurring to the Premis and any damage to or loss of the contents thereof which are done by Subtenant or Subtenant’s guests or invitees.
12. Maintenance and Repairs. Subtenant will maintain the Premis, including the grou
nds (if the Premis is a hou) and all appliances and fixtures, in clean, sanitary and good condition and repair. Subtenant shall not paint, otherwi redecorate, add or change locks, or make any other alterations to the Premis without the prior written connt of Tenant. Subtenant will not remove Tenant’s or Landlord's appliances and fixtures, from the Premis for any purpo. If repairs other than general maintenance are required, Subtenant will notify Tenant for such repairs. In the event this Sublea includes shared common areas, appliances, fixtures and furnishings, Subtenant shall be entitled to the reasonable u thereof and shall be responsible for repairing or replacing the foregoing in the event they are damaged or missing due to any act or omission of Subtenant.
