2、交付条款TERMS OF DELIVERY:CIF
术语“CIF”应按照国际商会ICC出版的国际贸易术语解释通则即INCOTERMS,2000版进行解释,除非本合同中另有规定;
The terms “CIF” shall be subject to the “International Rules for the Interpretation of Trade Terms” INCOTERMS, 2000 provided by International Chamber of Commerce ICC unless otherwi stipulated herein.

7、包装Package：所供货物由卖方：□整机包装 □铁框架包装 □集装箱 □散件包装 □滚装裸机包装 □其他方式包装,适合远洋及内陆运输,以确保货物安全到达目的地;
Goods provided shall be packed by the Seller in the form of: □packing in its entirety □packing with steel frame □packing in container □packing in bulk □packing in rollon expod □packing in other forms, which shall be suitable for long distance a and inland shipment, ensuring the safe arrival of goods to destination.
8、唛头Shipping mark：发运前 10 天内,由买方通知卖方,如未收到,将视为没有;
The Buyer shall notify the Seller issues regarding the mark within 10 days prior to shipment. Or, it will be regards as not mentioned.
9、保险Insurance: 卖方应购买相当于发票价值110%的一切险;
Covering all the risks for 110% of the Invoice value to be effected by the Seller.
10、付款条款Terms of payment
签约双方一致同意,付款方式应按照 的规定进行;

10.6 11、装运条款Terms of shipment
货物装船后五5个工作日内,卖方应就此告知买方并以邮件方式向买方发出装运通知,通知中须载明合同编号、货物名称、货物数量或总重量及发票金额等;
The Seller shall inform the Buyer within five 5 working days upon the completion of the loading of the goods, give a shipping advice to the Buyer by E-mail including the Contract number, name of goods, quantity or total weight, invoice value etc.

12、保修条款Terms of repair guarantee
卖方保证所供货物与合同规定的质量、规格和性能相一致并符合卖方企业标准;在货物正确
安装、正常操作和维修情况下,卖方对合同货物的正常使用给予 12 强化思想 个月或工作 1200 个小时的保修期,以先到者为准;此保修期从货物到达目的港之日起计算
The Seller shall ensure that goods provided shall be consistent in terms of quality, spec and performance with the Contract requirement and be in compliance with the corporate criterion of the Seller. The Seller shall ensure a repair guarantee period of 12 months’ or 1200 hours' operation the earlier shall prevail for contractual goods under normal u, subject to the condition that goods said have been installed correctly, operated and rviced normally. The repair guarantee period shall be calculated from the arrived time of goods to destination port.
13、索赔Claim
买方在本合同保修期之内提出索赔,且经卖方确认卖方对货物的质量负有责任时,卖方提供符合合同规定的规格质量和性能的新部件替换有瑕疵部件,并承担国内运费;新部件由买方负责更换;
In the event that the Buyer claims the Seller within the repair guarantee period and it has been confirmed by the Seller that he shall be responsible for the quality problem, the Seller shall, while bearing the country transportation freight, provide replacement parts consistent with Contract requirement in terms of spec, quality and performance. The said replacement parts shall, if any, be replaced by the Buyer.
14、不可抗力Force Majeure
如签约双方中任何一方受到不可抗力所阻,履约期限则按照不可抗力影响履约的时间作相应延长;受阻方应在不可抗力发生和终止时尽快电告另一方,并在事件发生后15天内将主管机构出具的事故说明书挂号航空邮寄给另一方认可;如不可抗力持续时间超过60天,双方将协商继续履行或终止本合同;
On condition that any party hereto is confronted with Force Majeure, the performance period hereof shall, on the basis of and considering the period affected by the Force Majeure, be respectively extended. The affected party shall, u
pon the occurrence and termination of the said Force Majeure, notify the other party instantly and nd by registered airmail Force Majeure Accident Description certified and issued by authority to the other party for connt within 15 days form the date of occurrence. Both parties hereto shall, in the event that the Force Majeure lasts for more than 60 days, negotiate to continue or terminate the performance of the Contract.
