2. IDENTIFICATION

3. RIGHTS AND OBLIGATIONS

3.5 The Buyer shall inspect the goods upon receipt and notify the Seller of any defects within [Number of Days] days of receipt of the goods.

4. PERFORMANCE

4.1 The Seller shall deliver the goods to the Buyer in accordance with the delivery terms t out in the Annexure.

4.3 The Seller shall deliver the goods in accordance with the delivery terms t out in the Annexure. Delivery shall be deemed to have occurred at the time when the goods are delivered to the port of shipment or the buyer’s designated place of delivery.
卖方将按照附件所列交货条款向买方交付货物。交货视为在货物交付运输港口或买方指定交货地点的时刻实现。
4.4 Any delay or failure of the Seller to deliver the goods shall not give ri to any right of the Buyer to terminate the Contract or claim damages unless such delay or failure is due to the Seller’s wilful misconduct or gross negligence.
