英文版租赁合同
  本租赁合同由下述双方于 年 月 日于中华人民共和国北京市签订:
  This lea agreement, dated the [ ] day of ,2007, Signed in Beijing, People‘s Republic of China by the following parties.
  一、 出租人: (以下简称“甲方”)
  Landlord:(hereinafter referred to as Party A)
  二、 承租人: (以下简称“乙方”)
  Tenant: (hereinafter referred to as Party B)
  三、 承租区域:
  Premis:
  甲方为光华路SOHO单元(以下简称“房屋”)合法拥有者,建筑面积为平方米,甲方同意将房屋及内部设施在良好状态下租给乙方,只可作为办公用途。
  Party A hereby reprents that it is the legal owner of the Apartment, guang hua lu SOHO (hereinafter “the Premis”), which construction area is square meters, and agrees that it will lea the Premis and the facilities therein, which are in clendition to P
arty B for u as office(s) only.
  四、 租赁期:
  Lea Term:
  4.1 租赁期为年,自 年 月 日至 年 月 日。
  The term of this Lea Agreement shall be for a period of year(s) commencing from 。
  4.2 租期届满,甲方有权收回全部房屋,乙方应在租期届满日或之前,以甲方交付时状态或双方共同认可的状态将房屋完好交还甲方。
  Upon e*piry of this lea, Party A has the right to take back the entire Premis , and Party B shall return the Premis on or prior to the date of e*piry in the same condition as it is delivered or the other condition the parties agree to Party B by Party A .
  4.3 租期届满,乙方如要求续租,应在本合同期限届满前两个月提出书面申请,取得甲方同意后,甲、乙双方须另行签署租赁协议。
  If Party B wishes to renew the lea, party B shall submit a written application to Party A two months prior to the e*piry of this lea, and a lea agreement shall be concluded
between the parties parately subject to Party A‘s connt.
  五、 免租期(含装修期)
  Grace Period (including the decoration period )
  免租期为天,自 年 月 日起至 年 月 日止。乙方在免租期内免付租金。
  The Grace Period shall be for a period of days, commencing from During the Grace Period Party B need not pay the rent.
  六、 租金和其它费用:
  Rent and other charges:
  6.1 租金:房屋租金以每月每平方米(建筑面积)平方米,计每月租金为元人民币,租金包含物业管理费、供暖费,甲方按合同金额开具税务发票,相关税费由方承担。
  The rent is RMBper square meter(construction area) per month. The area of the Premis is square meter and the monthly rent of the Premis is RMB。
  The rent includes management fee and winter heating fee. Party A shall issue an official ta* receipt for the price hereunder. The ta*es shall be born by Party。
  6.2电话:范增书法
  Telephone Service:
  电话号码由乙方自行申请,电话费按电信局的收费标准, 每月按实际通话次数/时间结算,乙方按单缴付。
  The telephone number shall be applied by Party B and the call charge shall be paid in accordance with the rate unication authority. Party B shall pay the call charge actually incurred each month.
  6.3其它费用:
  Other charges:
  在租赁期内,乙方承租单元所用的电由大厦的物业管理机构每月按实际耗用量结算,乙方按单缴付。免租期内承租单元所用的电费由乙方支付。
  During the lea term, the electricity consumed in the Premis shall be paid by Party B to the Management Department in accordance winsumption appeared on the bill of the Management Department. Party B shall pay for the electricity consumed in the Premis during the Grace Period
  七、支付方式:
什么祛斑效果好  Payment:
  7.1 租金应按 预付,免租期届满后,乙方于应付款月的第号前向甲方支付下期租金。
  The rent shall be paid on basis. After e*piration of the Grace Period, Party B shall pay for the rent before the day of the current .
  7.2 其他各项费用:(包括但不限于)水费、电费由乙方按大厦物业管理机构每月提供的交费通知单按时交付。
  Miscellaneous charges: Party B shall pay for the water and electricity on time to the Management Department according to the bills issued by the Management Department each month.
  八、币种和帐户:
  Currency and Account:
  乙方应按甲方指定的帐户支付本合同项下所有的到期款项,所有付款以人民币计算,以人民币支付。
  Party B shall pay the rent and all other amounts due and payable in RMB to the account designated by Party A.
  九、保证金:
  Deposit:
  9.1 自本合同签订之日起 日内,乙方应向甲方缴付相当于元作为保证金及首期租金人民币元。
  Withindays after the e*ecution of this Lea Agreement, Party B shall pay to Party A a deposit in the amount of-month rent and the first rent RMB。
  9.2本合同期满,如本合同不续租,甲方应在期满后三十(30)天内返还保证金(不计利息)如乙方因违约而导致违约金、赔偿金、费用和/或乙方尚未支付任何应付款项,甲方可从保证金中扣除此类违约金、赔偿金、费用和/或未付款项。
  Upon e*piration of the Lea Agreement, if the Lea Agreement is not to be renewed, Party A shall refund the deposit without interest to Party B within thirty (30) days after the e*piration of this Lea Agreement. If there is any default penalty or compensation or e*pens incurred due to the breach of Party B and/or any due amount that Party B fails to pay, Party A may deduct such default penalty or compensation or e*pens or due amount from the deposit.
  9.3在本合同期限内,如有任何应由乙方支付的违约金、赔偿金、费用和/或其他应付款项,甲方可直接从保证金中予以扣除,乙方应在接到甲方书面通知后五(5)天内补足该部分保证金。
  During the lea term, if there is any dpensation or e*pen and/or any other due amount that shall be paid by Party B, Party A may deduct such amount from the deposit and Party B shall, within five (5) days after Party A so notifies.
  十、大厦及承租区域的交付状态:
  The state of the Premis when delivery :
  甲方按现状交楼,具备办公条件。
  Party A will deliver the Premis at as-it-is basis, which satisfies the conditions as office.
  十一、甲方的权利义务:
  Party A‘S RIGHTS AND RESPONSIBILITES:
  11.1甲方在本租赁合同规定的期限内将房屋交付乙方。
  Party A shall deliver the Premis to Party B within the term specified herein.
  11.2甲方保证是房屋的合法权利人,有充分的权利出租房屋。
  Party A shall ensure that it is legal owner of the Premis and have full right to lea the Premis.
  11.3甲方的权利保留Party A may rerve the following rights.
  11.3.1 使用公共设施;to u the public facilities;
  11.3.2 进入房屋内对公共设施进行检查和维修。甲方行使该项权利时,应提前通知乙方,紧急情况除外。
  to enter into the Premis for check and maintenance provided that Party A shall inform Party B in advance e*cept under emergency.
  11.3.3 在发出通知后(紧急情况除外),有权暂停大厦设施进行维修和维护,可能导致水电的中断。甲方无需为此承担责任。
  To repair and maintain the facilities of the building which may result in the suspension of water and electricity, upon a notice (e*cept under emergency) without any liability thereof.
  11.4 甲方应协助提供乙方提供办理工商营业执照所需相关证明文件。
  Party A shall assist Party B in registering with industrial and commercial administration by provide necessary documents.
  11.5甲方在承租期内促使物业管理机构提供水、电、空调、供暖及日常房屋维修。
  Party A shall procure the Management Department to provide water, electricity, air conditioning, heating and daily maintenance during the lea period.
  11.6 如在租赁期届满前两个月,乙方未提出续租请求,或者虽然提出续租请求,但双方在三十天内未就续租合同条款达成一致,甲方有权在工作时间带领其他租户进入房屋查看。
  If Party B does not submit an application for renewal two months prior to the e*piration of this Lea Agreement, or if Party B submits such application but the parties fail to reach agreement on the renewal, Party A shall have the right to enter the Premis with other tenant at work hours to review.
  十二、乙方的权利和义务
  Party B‘S RIGHTS AND RESPONSIBILITES:
  12.1 自行负责房屋的装修和设施。
  Party B shall be responsible for the decoration and facilities of the Premis.
  除非经消防局及甲方同意,乙方不得对房屋的主要结构及装置(包括烟感器及喷淋头)作任何变动、拆除或调整。如乙方擅自做任何变动,应负责将其恢复原状并承担一切费用和相关责任。
  Party B shall not alter, change, dismantle or adjust the main structure or facilities including the smoke nsor and spray without the connts of Party A and fire control authority. If Party B makes any alteration, dismantle or adjustment as aforesaid, it shall be responsible for restoration and bear all e*pens and related liabilities.
  12.2乙方应根据本合同第六、七、八条的规定按时缴纳租金及各项相关费用。
  Party B shall pay the rent and other fees pursuant to Claus 6, 7, and 8 on time.
  12.3乙方应按本合同的规定合理使用房屋,并保持房屋的清洁。
  Party B shall reasonably u the Premis as provided hereunder and keep it clean.
  12.4未得到甲方及大厦管理机构的事先同意,乙方不得在窗外、外墙、
  公共走廊墙面、电梯间及其它共用区域悬挂、张贴、附置或以其它方式放置任何广告、标识、招贴或其它资料。
  Party B shall not hang, affi*, or display any advertiment, signboard, poster or any other materials on outside window, outside wall, public aisle wall, elevator or other public area without the prior connts of Party A and Management Department.
  12.5 乙方在承租期内不得将全部或部分房屋转租、分租或借予第三方。
只是小白脸  During the lea term , Party B shall not sub-let or assign the lea to any third party.
  12.6 乙方在其经营活动中,不得宣称或令顾客误认为其与甲方关系属合作、合营、合伙、联营或关联企业关系。
我眼中的秋天手抄报  Party B shall not reprent or otherwi mislead the customers that it has any cooperation, joint operation, partnership or affiliation relation with Party A during its operation.
  12.7乙方应自行获取依据法律法规和政府有关部门规定应具备的所有许可、批准和证照,保证其营业活动的合法性。
  Party B shall be responsible for obtaining all approvals, connts and licens required by laws to ensure that its operation is legal.
  12.8乙方应自行承担由于乙方工商注册、税务登记、迁址等行为所产生的税、费。
  Party B shall be responsible for any and all ta*es, fees and e*pens incurred for its industrial and ta*ation registrations and moving into the Premis.
  12.9对于第三方因乙方对其造成或在房屋内发生的人身伤害或经济损失而提出的索赔,乙方应自行负责并保证甲方免于此类索赔。如甲方因此类索赔而遭受损失,乙方保证进行赔偿。
  Party B shall be responsible for and hold Party A harmless against any claims raid by the customers for any personal injury and economic loss caud to the customers by Party B or caud in the Premis. Party B hereby warranties that it shall indemnity Party A for any loss caud to Party A by such claims.
  12.10乙方不得在房屋内放置易燃、易爆的物品其他危险物品。
  Party B shall not keep or store in the Premis any flammable or e*plosive substances or other dangerous substances.
  12.11乙方应严格遵守甲方和/或大厦物业管理机构制定并不时修改的大厦所有管理规定。
  Party B shall strictly comply with all rules made and amended from time to time by Party and/or the Management Department.
幻想童话  12.12 乙方不得在房屋内从事任何违法活动。
  Party B shall not carry out any illegal activity in the Premis.
  12.13乙方不得将房屋用于除办公以外的用途。
  Party B shall not u the Premis for any purpo other than as office.
  12.14若乙方以租赁房屋作为其公司注册地址时,乙方应在租赁合同终止后15日内办理地址注销登记手续,乙方逾期办理的,应每日按月租金千分之三的标准向甲方支付滞纳金,造成甲方损失的,应予以赔偿。
  If the Premis is ud as company‘s registered address of Party B, Party B shall complete the procedures of writing off the registered address within 15 days after termination of the contract. If Party B is not able to complete the procedures on time , it shall pay Party A a penalty equal to 3‰ of the monthly rent per day of delay. Party B shall compensate for such loss.
  十三、违约责任与合同终止
  BREACH AND TERMINATION
  13.1违约
  任何一方违反合同给另一方造成损失的,应当进行赔偿。
  If a party is in breach of this Lea Agreement, it shall compensate the other party for any loss cau by its breach.
  13.2在下列任何情况下,本合同终止
  This Lea Agreement will be terminated under any of the following conditions:
  13.2.1租赁期限届满:
  The e*piration of this Lea Agreement
  13.2.2 当一方违反本合同中任何规定,并且另一方书面通知要求其予以纠正的三十(30)日内未能纠正违约行为或者如果该违约是无法纠正的,守约方有权立即终止本合同。
  by one of the Parties, with immediate effect, when the other Party is in breach of this Lea Agreement and such breach is not curable or is not remedied within thirty (30) days after the party not in breach nds a written notice requesting the cure of such breach;
  13.2.3甲方可以提前六十(60)天的书面通知提前终止本合同,但应双倍返还乙方保证金。

  Party A may terminate this Lea Agreement with a si*ty (60) day prior written notice provided that it shall refund the deposit in double amount.
  13.2.4如乙方延期支付租金和/或其他各项款项超过十(10)日,甲方有权解除合同,保证金不予退还。乙方除应支付延期款项外,还应支付逾期付款违约金,数额延期支付金额的**.*%/日,直至乙方全额付清为止。
  If Party B delays the payment of rent and/or other amounts for ten (10) days, Party A shall have the right to terminate this Lea Agreement and the deposit shall not be refunded. Party B shall pay a default penalty for the overdue amount at the rate of **.*% of the overdue amount per day until it pays in full amount, in addition to pay all the overdue amounts.瑾字取名
  13.2.5 如乙方不遵守大厦管理规定并严重影响其他租户正常经营,甲方可以书面通知乙方提前终止本合同,并且保证金不予返还。
  If Party B does not comply with the management rules of the building and therefore riously affects the normal operation of other tenants, Party A may terminate this Leas
e Agreement in advance with a written notice and the deposit shall not be refunded.
  13.2.6 如乙方在房屋内从事任何违法活动或未按照办公用途使用房屋,甲方有权立即书面通知乙方提前终止本合同,保证金不予返还。
  If Party B carries out any illegal activity in the Premis or u the Premis for other purpo than office, Party A shall have the right to immediately terminate this Lea Agreement with a written notice and the deposit shall not be refunded.
  13.2.7 如乙方将房屋分租或转租第三方,甲方有权以书面通知立即终止合同,并且保证金不返还。
  If Party B sublets or assigns the lea to a third party, Party A shall have the right to immediately terminate this Lea Agreement with a written notice and the deposit shall not be refunded.
  13.2.8 不可抗力Force Majeure
  一方因不可抗力事件连续六十天(60)不能履行义务,任何一方可以书面通知终止本合同,在不可抗力的影响范围内受影响的一方不承担违约责任。“不可抗力”包括自然灾害、爆炸、飞行物体坠落、政府行为(但专门针对受影响一方的行政行为除外)等受影响的一
方不能预见、不能控制并且不可避免的事件。双方在此明确但商业性风险不应作为不可抗力。受影响的一方应在不可抗力事件发生后的五(5)日内书面通知对方,并且应附有有权机构出具的不可抗力发生的证明。
  Either Party may terminate this Lea Agreement with a written notice if one party is not able to perform its obligations hereunder for concutive si*ty (60) days due to force majeure. The affected party shall not bear the liability of breach of contract to the e*tent of the effect of the force majeure. Force Majeure shall include such events that the affected party is not able to foree, control and avoid as natural disaster, e*plosive, falling of flying objects, government action (e*cept tho specially against the affected party) The parties hereby confirm that commercial risk shall not be deemed force majeure. The affected party shall notify the other party in writing of such force majeure event accompanying with the certification of the occurrence of the force majeure event issued by competent authority.
  13.2.9一方进入破产、清算、解散或任何类似程序,另一方可以终止本合同,但以善意管理费用或合并为目的的除外。
  One party may terminate this Lea Agreement if the other party launches the bankruptcy, liquidation, winding up or any similar procedure other than for the purpo of a bona fide reconstruction or amalgamation.
  13. 3 合同终止的后果 The result of the termination
  13.3.1 如本合同届满并且未由乙方续租,乙方须于届满之日的17点之前腾空房屋;如本合同因任何原因提前终止,乙方应于终止日后的三日内腾空房屋。如乙方未能在此期间腾空房屋,由乙方应按日支付房租,逾期十日以上(包括十日),乙方应按双倍房租支付。如因此给甲方造成经济损失(包括因未能向下一租户及时交付房屋而导致的违约金和租金收入),还应赔偿损失。
  If this Lea Agreement is e*pired without the renewal of Party B, Party B shall vacant the Premis by 5pm on the date of e*piration; if this Lea Agreement is terminated in advance for whatever reason, Party B shall vacant the Premis within three (3) days after the termination date. If Party B fails to vacant the Premis within the aforesaid period, it shall pay rent for each day of delay. If the delay is over ten (10) day (inclusive), Party B shall pay the rent in double amount. If there is any economic loss
caud to Party A including the penalty for not delivering the Premis to ne*t tenant on time and rent loss, Party B shall compensate such loss.
  13.3.2乙方还应拆除装修和清理房屋(甲方同意保留装修的除外),以甲方交付之时的状态或双方共同认可的状态将房屋交还甲方(正常损耗除外)归还房屋时留在房屋内的所有设施、装修及物品均视为乙方放弃所有权,甲方可随意处置。如乙方未将房屋恢复原状,甲方可自行恢复原状,乙方需支付全部费用,可由甲方从保证金中扣除。
  Party B shall also dismantle the decoration (E*cept for the decoration that Party A agrees to retain)and clean the Premis so that the Premis will be returned to Party A in the same condition as when delivered to Party B or (fair tear and wear is e*cepted) Party B shall be deemed waiving the title of all facilities, decoration and staff left the Premis when the Premis is returned to Party A and Party A may dispo them in any way. If Party B fails to restore the Premis to the condition of delivery, Party A may restore the Premis to the condition of delivery and Party B shall bear all e*pens thereof, which may be deducted from the deposit by Party A.
  13.3.3除因乙方违约造成合同终止的情况以及本合同有不同规定的情况以外,甲方应将保
证金返还乙方。
  Party A shall refund the deposit to Party B e*cept the termination is caud by the breach of Party B and otherwi provided hereunder.
  13.3.4 乙方应支付全部应付费用,包括房租、水电费、电话费等。
  Party B shall pay in full amount all the due payment including rent, water and electricity fee and telephone call charge.
  13.3.5 双方应按下列程序进行交接房屋。
  The parties shall take over the Premis in accordance with the following procedure.
  十四、附则
  14.1 争议的解决 Dispute Resolution
  因执行本合同或与本合同有关的一切争议,双方应通过友好协商解决。协商不成的,则任何一方有权将争议提交北京仲裁委员会仲裁裁决。仲裁程序应遵照仲裁委员会的现行仲裁规则进行。仲裁期间,双方应继续执行本合同不涉及争议的部分。
  Any disputes arising from the e*ecution of or in connection with this Lea Agreement shall be ttled throunsultations between the parties. In ca no ttlement can be reach
ed through consultations, such dispute shall be submitted to Beijing Arbitration Committee in accordance with its Rules. During the arbitration, the Parties shall continue to perform the part of this Lea Agreement not under dispute.
  14.2 合同的修改The amendment of this Lea Agreement
  对本合同只可通过双方书面修改。
  This Lea Agreement may be changed only by a written instrument signed by parties.
  14.3 可分性 Severability
  本合同任何条款无效,不影响其他条款的效力。
  The invalidity of any part of this Lea Agreement shall not affect the validity of other claus.
  14.4 文字
  本合同以中文签署。英文文本只做参考,不具有法律效力。
  This Lea Agreement shall be wrote in Chine. The English version is only for reference without legal effect.
  14.5 全部协议 Entire Agreement
  本合同有其附件构成双方之间就本合同所涉事项达成的全部协议,取代双方此前就合同事项达成的所有口头和书面协议。
  This Leanstitutes the entire contract between the Parties with respect to the subject matter of this Lea Agreement and superdes all prior understandings between them on such subject matter.
  14.6 通知 Notice
  任何一方根据本合同发出的通知或其他联系应以中文书写并应通过专人送递或挂号邮寄或以公认的快递服务或以传真(应当有发送成功的报告)发送至另一方的下述地址。通知视为有效送达的日期按以下方法予以确定:
  Any notice provided for in this Lea Agreement shall be in Chine and shall be delivered by person, or nt by prepaid registered mail or courier, or nt by facsimile with the confirmation of successful transmission by the fa* machine, transmitted or addresd to the appropriate party‘s following address. The notice shall be deemed rved on the following date:
  14.6.1专人投递的通知,视为于投递之日送达;
  On the date of delivery if nd by person;
  14.6.2 以挂号邮寄的通知,视为于投邮日(邮戳日期)后第十(10)天送达;
  On 10th day after stamp on the registered mail if nd by Registered mail;
  14.6.3快递送达的通知,视为公认的快递服务机构发出后第三(3)天送达;On third day after the pick up by the courier if nd by courier;
  14.6.4 传真发送的能知,应视作于发送日后下一(1)个营业日送达。
  If nd by facsimile, on the ne*t working day after the transmission date.
  14.6.5如任何一方更改以上地址,需提前三十(30) 天书面通知另一方,该更改方生效。
  If either party wishes to change the above address, it shall notify the other party of such change thirty (30) days in advance in order that such change will be effective.
