We confirm that we are aware that you have offered to grant banking facilities to (the “Borrower”) for RMB and approve the terms and conditions of such credit facilities.
我司确认知晓贵行已提出授予/继续授予 （“借款人”）总额为人民币 的银行授信额度，并已认可上述额度的条款和条件。
We also confirm that, so long as any amount is outstanding and owed to you under such credit facilities：
我司还确认，当上述贵行授予的授信额度项下仍有未还款项时：
1.We confirm that we intended to maintain the biggest shareholder of the Registered Capital in the Company during the term of the Facilities and hereby undertake to advi you forthwith in the event of any decision being taken to dispo of the whole or part of our shareholding in the Borrower,

2.We will cau the Borrower to be operated and maintained in such a way as to be in a f
inancial position to meet all its obligations from time to time to you . If the Borrower is unable for any reason to meet its obligations, we will, on demand, immediately either：
我司将使借款人继续运作并维持借款人的财务状况以使上述授信额度得以按时全数偿还，如借款人以任何理由未能按时偿还上述授信额度，我司将按贵行要求，马上：

（a）assist the borrower to make funds available to meet its obligationsior
协助借款人提供足够的资金以使上述授信额度得以按时全数偿还；或
（b）assist the borrower to find the sufficient fund to meet its boligations
协助借款人取得相当于上述融资金额的外部机构贷款以使上述授信额度得以按时全数偿还
3.We will not take any action which will result in the Borrower being unable to carry on its business or otherwi being unable to meet all its obligations from time to time to you and hereby undertake to advi you forthwith of any circumstances which may affect the continuing operation of the Borrower.
我司不会采取任何可能导致借款人无法经营或无法偿还其在任何时间对贵行之负债的行为，并承诺立即通知贵行任何可能影响借款人持续经营的情况。
4.We will, during the facilities period, as soon as the same become available, but in any event within 150 days after the end of each of financial year(s), furnish you with our consolidated annual audited financial statements and accounts and will procure that the Borrower will furnish you with annual audited financial statements and accounts together with such additional financial information as may be reasonably required.
我司将在财务年终后150天内向贵行提供经审计的年度合并财务报表，并将促使借款人向贵行提供经审计的年度财务报表以及贵行合理要求的其他财务信息。
