Should any of the provisions of this Agreement be held invalid, illegal or unenforceable under any law, then such provision shall be deemed vered from this Agreement, and the parties shall negotiate in good faith for the purpo of reaching agreement on an alternative provision for incorporation into the Agreement which gives effect to the parties’ mutual intention, provided that if such negotiations are not successful, the remaining provisions of this Agreement shall not in any way be affected or impaired by verance of such invalid, illegal or unenforceable provisions and shall continue in full force and effect.
