1. DEFINITION

In this contract, the following terms shall, unless otherwi specifically defined, have the following meanings:

• “Ore” means nickel ore of Indonesia origin.
• “Ore”指印度尼西亚产的镍矿
• “U.S. Currency” means the currency of the United States of America freely transferable from and payable to an external account.
• U.S. Currency”指可自由结算的美元货币
• “Metric Tonne or MT” means a 凉拌豆腐的做法lone equivalent to 1,000 kilogram.
• “公吨”指1000千克等值单位
• “Wet basis” means Ore in its natural wet state.
• “湿吨”指镍矿的自然重量
• Moisture: Means lost in 105 degree Celsius.
• “水分”指在摄氏105度时的蒸发量

50,000 wet metric tonnes +/- 10% at Seller’s option.

Seller guarantee loading rate of xxx mt per wwd, shinc. Seller agrees to pay demurrage or receive dispatch as per the vesl nomination contract signed between Buyer and vesl Owner, laytime commence as per GENCON 94.
卖方保证每晴天连续工作日装载xxx湿吨，卖方同意根据买方和船主签订的租船合同，支付滞期费或者收取速遣费，装卸时间根据租船合同。
The lay time at the loading port shall be counted from 12 hours after NOR tendered. If the loading could be commenced in advance, then the lay time shall be counted from the actual commence time.
装船期应于接到装运通知12小时之后开始计算，如果装船期提前，应按照实际装货日计算。
Any dem/des/detention should be ttled within 7 working days after vsl’s discharging is completed.
任何滞期费/速遣费/罚金都应在卸货完毕后7个工作日内结清。
6. PRICE
价格
Buyer shall pay FOB ABC Port, Indonesia USDXXX (USD XXX) per wet metric tons of the nickel ore with specification as stipulated in CLAUSE 2 IN PAGE 1.
买方应按照离岸价格XXX美元/湿吨支付ABC港口，以本合同第一页第二条所述之镍矿

NICKEL CONTENT:
镍矿含量
Seller guarantees nickel content to be between 0.90% up to 1.10%.
卖方保证镍矿含量在0.90%至1.10%之间。
IRON CONTENT:
含铁量：
Seller guarantees iron content to be at least 45.0% (including 45.0%).
卖方保证含铁量至少45.0%(包括45.0%)
If the iron content is higher than 46.0%, for each 1.00% of iron above 46.0%, the Buyer will pay the Seller a bonus of USD 1 per wet metric ton, fractions pro rata.
如果含铁量高于46.0%，每增加1.00%铁点，买方将按点数支付卖方1美元/湿吨
If iron content is below 45.0%, the buyer has the right to reject the cargoes, or at buyer’s option to be friendly renegotiated with the ller at prevailing market price.
如果含铁量低于45.0%，买方有权利拒绝收货或重新商议价格
MOISTURE:
水分
If the moisture is higher than 35.00%, for each 1.00% of moisture increa, the Seller shall pay the Buyer a compensation of USD0.50 per wet metric ton, fractions pro rata.
如果水分大于35.00%，每增加1.00%水分，卖方将按照点数补偿买方0.50美元/湿吨
If the moisture is lower than 30.00%, for each 1.00% of moisture decrea, the Buyer will pay the Seller a bonus of USD0.50 per wet metric ton, fractions pro rata.
如果水分低于30.00%，每减少1.00%水分，买方将按照点数额外支付卖方0.50美元/湿吨
7. INSURANCE
保险
The Buyer shall, at their expen, take marine insurance at least for 110% of the full invoi
ce value, blank endord , showing claims payable at China, in the same currency of the draft, covering all risks, war risks. Buyer is liable to pay the Seller full value as stipulated in Letter of Credit (L/C) within the scope of responsibility under above-mentioned insurance.
买方应购买不低于发票金额的110%，空白背书，在中国以美元支付，险种为一切风险包括战争险。
8. PAYMENT
付款
Buyer shall open Letter of Credit before Loading Commence, with a first class International Bank, an irrevocable and untransferable Letter of Credit at sight in favor of Seller for an amount in US Dollars sufficient to cover for payment of 100% of contract value with a 10% tolerance. Before Buyer’s opening L/C, the application of L/C should be nt to Seller for its confirmation.
