销售代理协议
SALES AGENCY AGREEMENT

此协议是双方在平等互利基础上建立的,共同遵守下列条款:
This Agreement is made among the parties concerned on the basis of equality and mutual benefits to develop business on terms and conditions mutually agreed upon as follows:
1. 协议相关各方当事人 The parties concerned
生产商:XX公司(以下简称“甲方”)
Manufacturer: XX Ltd. (hereinafter referred to as Party A)
代理商: XX (以下简称“乙方”)
努力壁纸Agent: 非同凡响的爱XX (hereinafter referred to as Party B)
2. 独家代理权的授予 Appointment of Exclusive Agent
甲方授权乙方为其 XX 产品在 XX (国家)区域特约总经销商,全权负责甲方生产的产品在 XX 市场的推广,销售和售后服务事宜。
Party A hereby appoints Party B as its sole agency in the XX market to engage in the promotion, sales and after sales rvice of its XX .
产品:由甲方生产的 XX 。
Commodity: 什么是债券XX produced by Party A.
代理区域:仅限中国区域内。
Territory: In China only.
3. 订单的确认 Confirmation on Orders
关于协议所规定的上述商品的每笔交易,其数量、价格及装运条件等以甲乙双方另行签定的销售合同为准。
The quantities, prices and shipment of the commodities stated in this Agreement shall be confirmed for each transaction, the particulars of which are to be specified in the Sales Contracts signed by the two parties hereto.
4. 付款 Payment Terms
订单确认后,乙方须通过T/T先向甲方支付30%定金,在出货前须将余款通过T/T的方式付清,或者按照有关销售合同所规定的时间开立以甲方为受益人的保兑的、不可撤消的即期信用证。乙方开出信用证后,应立即通知甲方,以便甲方准备交货。
After confirmation of the order, Party B should pay 30% for deposit by T/T to Party A, the balance should be paid before shipping by T/T, or the Party B shall arrange to open a confirmed, irrevocable L/C available by draft at sight in favor of Party A within the time stipulated in the relevant S/C. Party B shall also notify Party A immediately after L/C is opened, so that Party A can get prepared for delivery.
5. 价格条款 Price Terms
价格:为了保证长期的合作,促进共同的发展,甲方提供产品价格表给乙方,各款报价详见其他附件。
Price: Party A provide quotation list of products to Party B so as to ensure the long term cooperation and joint development. Detailed quotation is as additional attachment.
注1,如甲方推出新款产品,甲方将通过电邮通知乙方;
注2,甲方保证报给乙方的价格为在致爱情 XX 区域内最低的价格。
注3,乙方不得擅自将价格表内容透漏给任何第三方,乙方必须严格执行和遵守甲方的价格体系。
Remarks: 1, Once Party A promote new products, will inform Party B by email.
2, Party A make sure offered the lowest price for Party B within XX area.
3, Party B should not let out the quotations to any third parties but must execute strictly and adhere to the price system of Party A.
6. 甲乙双方责任Liability of Two Parties
产品质量 Quality of Product:
甲方保证向乙方提供优质产品(甲方生产的 XX 产品),保证供货稳定; 当产品出现重大的质量问题,引起相关的投诉和法律纠纷时,甲方需要承担相应的责任。
Party A guarantee all products (ries of XX ) provided with high quality and stable supply. If there occurs big problems on quality and caud complaints or legal disputes, Party A should afford the related responsibility.
舅妈吧产品配置 Product Configuration
如乙方没有特殊要求,则按照甲方公司提供的产品标准配置 (如有特殊要求需要重新报价)。
Without special request from Party B, all products are just as Party A offered, or will be needed to renew the quotation.
下巴长痘痘是什么原因产品包装及交货时间 Packaging and Delivery Time
甲方发货要保证货物的安全及包装适合长距离运输。产品的颜色,商标,包装由乙方指定或中性包装。一般货物的交货期为30个工作日,特殊机种双方另行约定交货时间。
Party A shall guarantee the curity and suitable package for long-distance of shipment. Party B could appoint the color, brand and package of products or neutral packing. Normally the delivery time is 30 working days except some special products which need to be agreed parately.
产品认证 Certification of Products
甲方现有产品及以后由甲方单独开发或者委托第三方生产的产品,由甲方提供出口 XX 所需的相关产品认证证书。
Party A should provide the necessary certification for all products(now available and developed lonely in the future or produced by the appointed third party ) exporting to XX .
乙方需严格保密甲方的产品报价,技术资料,合作方式等商业机密。经营活动不得损坏甲方的声誉。
Party B should keep the quotation, technical data, business information of Party A strictly confidential.
Operating activities cannot damage the reputation of Party A.
乙方应尽力在 XX 区域市场推广销售产品,未经甲方许可,严禁跨区域销售甲方产品。
Party B should do best promoting products in XX , cannot ll products in other area without permission of Party A.
乙方无论任何情况下,不得销售假冒伪劣或者未经授权许可产品,若因此引发第三方法律责任,则由乙方负责,一概与甲方无关,甲方将保留日后法律追究权利。
In any ca, Party B cannot ll counterfeit and shoddy products or other unauthorized products. If it caud loss for third party, Party B shall take all responsibility. No any matter with Party A but will rerve the rights to pursue legal action in future.
7. 业绩评估Performance Evaluation
在本协议期限内,乙方应当销售甲方的产品到达 XX 金额。如乙方在本协议期限内未完成前述销售
金额,则甲方可另行选择第三方作为 XX 区域的总代理商。
