CONSTRUCTION AGREEMENT

THIS AGREEMENT, made as of the of May, 2012 between X x (China) Investment Co., Ltd.a limited liability company organized under the laws of The People's Republic of China, hereinafter called "Owner", and , hereinafter called "Contractor";
本协议由根据中华人民共和国法律成立的有限责任公司 - xx（中国）投资有限公司，（下称“业主”）和（下称“承包商”）之间于2012年5月日订立。
WITNESS that the parties do mutually agree as follows:
双方同意共同遵守如下约定：
ARTICLE 1. SCOPE OF WORK AND PRICE
条款1：工作范围及价格
The Contractor shall furnish all the engineering, design, shop labor, transportation to jobsite, field labor, materials, tools, equipment, supervision and rvices (not specifically stated elwhere in this Contract to
be furnished by Owner or others), and perform the mechanical, electric & instrument construction work shown on Contract Drawings and Specifications as listed in Exhibit “F” and/or called for in the Exhibit “B”Scope of Work to this Agreement, for Mechanical, Electric & Instrument Work of Owner’s Tt project,
located in X x, X x China.
承包商需提供一切为了实施位于xx省xx市的、业主xx项目的的机械、电气和仪表工作所需的工程设计，设
计，生产人工，运输至现场，现场人工，材料，工具，设备，监督及服务（未在本合同内列出的由业主或其
他方提供），并履行附录“F”中所列的合同图纸及技术规范和/或附录“B”工作范围所要求的机械、电气和仪表施工工作。
The total firm and fixed price for this contract is RenMinBi ( in words.).

Payment Schedule:
付款计划：
1. 10% of Contract Price shall be paid after the signature of this Contract, as down payment.
合同签定后支付合同价的10%作为预付款。
2 . Monthly progress payment approved by Owner site reprentative before 25th of each month, the amount to be paid shall be 75% of the work finished in the specific month. The total progress payment should be 75% of Total Contract Price..
每个月25号前由业主代表批准的月进度款，应支付的额度为当月完成的工作的75%。进度款的总额应当为合
同价的75%。
3. Retention 10% of contract value upon all contract work completion and acceptance by Owner and appropriate governmental authorities and agencies..
扣留的合同价的10%应当在全部合同工作完成并由业主和政府机关及部门验收后支付。
4. Quality Warranty 5% payment in 12 months after all contract work completion and acceptance..
质保金5%应当在全部合同工作完成并验收后12个月支付。
The forgoing amount includes all taxes, fees, duties, or imposts (including but not limited to value added, business, and income taxes) impod by the Peoples’ Republic of China and political subdivi
sions thereof with respect to the Work. The payment of all such taxes, fees, duties, and imposts shall be the liability of the Contractor and if any such taxes, fees, duties, or imposts are paid by Owner, the Contractor shall reimbur Owner for such payment or Owner shall be entitled to deduct such payments from amounts owing to the Contractor under this contract. The Contractor shall furnish Owner with a statement of all such taxes, fees, duties, and imposts assumed in determining the Contract Price. If Owner is able to obtain an exception or reduction of any such tax, fee, duty, or impost, an appropriate adjustment shall be made to the Contract Price to eliminate the burden of such tax, fee, duty, or impost upon Owner.
以上金额含中华人民共和国境内关于此项工作的所有税收、费、征税或关税（包含但不限于增值税和所得税）。以上所有税收、费、征税或关税由承包商支付，如任何税收、费、征税或关税已由业主支付，则承包商应当向业主返回此类费用或业主有权从承包商的合同金额中扣除此项费用。承包商需向业主提供一份所有在合同价格中已考虑的税收、费、征税或关税的报告书。如业主能够取得任何税收、费、征税或关税的减免，合同金额应据此作相应调整。
Contractor reprents that it, or its affiliates who may be performing some portion of the work, has authority to do business in China, and in any specific location in which the Work is to be performed and that it and its affiliates are fully qualified to do the Work in accordance with the terms and provisi
ons of this Agreement.
承包商表示其或有可能实施该工作的某些部分的其分支机构已获得授权在中华人民共和国境内及本合同特定地点开展业务，且承包商及其分支机构完全具有根据本协议条款进行施工的资质。
ARTICLE 2. SCHEDULE OF WORK
条款2．工程进度
The work on site shall be commenced on the date of, 2012, and shall be completed on or before , 2012, subject to Article 8 of the General Conditions for Construction Agreement at which time all of the Contractor's equipment, paraphernalia, and materials shall have been entirely removed from the Owner's premis, and said premis shall have been left in a clean and prentable condition. Inasmuch as the provisions of this Agreement relating to the time for performance and completion of the work are for the purpo of enabling Owner to proceed with the construction of a production facility in accordance with a predetermined program, such provisions are of the esnce of the Agreement.
本合同施工期于2012年月日开始，于2012年月日结束，但要以本施工协议的通用条件的第8条为前提
条件。在完工时，承包商需从业主的场地上撤清承包方的所有设备，随身用具及原材料, 并保证施工场地的干净和整洁。如本协议有任何条款关系到施工的履行及完成是为了使业主能根据任何既定项目进行生产设施的建筑施工，则该类条款为本协议的基本条款。
ARTICLE 3. CHANGES
条款3. 变更
The unit prices, markups, labor rates, and equipment rental rates as listed in Exhibit “C” & “D” will be the basis for pricing authorized changes to this Agreement in accordance with the terms and conditions specified in Article 3 of the General Conditions of Construction Agreement.
附录”C” &“D”中所列的单价，上浮，人工单价及设备租借单价是根据施工协议之通用条款第3条所做的变更的定价基础。
Any other which are not covered by Exhibit “C” & “D” will be negotiated and agreed by both parties.
附录”C” &“D”中未包含的其它事项由双方另行商谈。
ARTICLE 4. SAFETY
条款4. 安全
The Contractor shall at its own expen comply with all State, Provincial and Local safety regulations and all regulations provided in the Owner’s specification, and the General Conditions for Construction Agreement in the performance of this Contract.
在履行本协议时，承包商应在自行承担费用的情况下遵守国家，省市及当地的安全法规和业主提供的所有规范以及施工协议之通用条款中的安全要求。廉洁从业若干规定

The Contractor shall at its own expen require all of its site personnel to attend safety review meetings conducted by the Owner.
承包商应要求其现场所有施工人员参加由业主召开的安全会议, 所发生的相关费用，由承包商负担。
Failure to comply with the safety rules and regulations shall be cau for immediate dismissal of the Contractor and termination of this Contract under the provisions of Articles 7 and 19 of the General Conditions for Construction Agreement.
据施工协议之通用条款的第7条和第19条，承包商未能履行安全条例及法规可导致承包商被立即解雇及本协议被终止。
Contractor acknowledges that it has received Owner’s scaffolding specification (01.05.40 Revision 1P1) and Contractor guarantees that all scaffold built on site can comply fully with the said specification. If, on site, Contractor’s scaffold does not meet (which is at the sole judgment of Owner’s site reprentative) the said specification, Owner is entitled to have other company building the required scaffold for Contractor. All incurred cost, including but not limited to the compensation paid to the company by Owner and Owner’s additional management cost, will be deducted fully, regardless of how much for scaffold was offered by Contractor in the Exhibit C – Bid Breakdown , from Contractor’s Contract price.
承包商承认已经收到业主的脚手架规格书(01.05.40 版本 1P1), 而且承包商保证所有在现场搭建的脚手架都能完全符合上述规格书的要求。如果，承包商在现场的脚手架没有满足（是否满足上述规格书的要求，由业主的现场代表单方面决定）上述规格书的要求，业主有权让其他公司给承包商搭建脚手架。而所有发生的费用（包含但不限于业主支付给该公司的费用和业主的额外管理费）都将从承包商的合同价中全额扣除，而不管承包商在附录C-价格分解中报了多少脚手架的费用。

All contract documents together constitute this Construction Contract, and they are as fully a part hereof as if hereto attached or herein repeated. Contractor hereby acknowledges receipt of a copy of the above documents.
所有协议文件组成本施工合同，并且是本合同不可或缺的一部分。承包商表示已收到上述文件一套。
It is hereby understood and agreed by and between Owner and Contractor that prior to the execution
of this Construction Contract, the Contractor was afforded full opportunity to negotiate the terms and conditions of each of the agreement documents, including without limitation the General Conditions for Construction Agreements.
业主和承包方双方理解并同意：在本协议签署前，承包商就各个协议文件（包含但不限于施工协议通用条件）的条款和条件同业主进行了充分的协商。
All Specifications and Drawings, listed in Exhibit “F”, have been pr ovided by Owner to Contractor in the form of electronic files.
附录”F”中所列的所有规范和图纸已经由业主以电子文件的形式提供给承包商。
