GENERAL CONDITIONS OF CONTRACT

TURNKEY CONTRACTS
1.0 DEFINITIONS
Where ud in this Contract the following expressions shall have the meanings herein assigned to them unless the context otherwi requires:-
1.1 “Adjustment Order” means a written adjustment to the Contract signed by both
parties pursuant to instruction issued by the Superintendent to the Contractor to execute a Variation.
1.2 “Contract Commencement Date” means the date on which the parties shall sign
the Contract and the Contractor must commence the Works.
1.3 “Company” means Kuwait Oil Company (K.S.C.) a company registered in the
State of Kuwait under Register No. 21835, its legal successors and assignees.
Any powers or discretions exercisable under the Contract by the Company shall, unless the context otherwi requires, be exercisable by the Chairman and Managing Director of the Company or by his appointed delegate. The Chairman and Managing Director or his appointed delegate shall be considered to have full authority to bind the Company in relation to any matter arising out of or in connection with this Contract.
1.4 “Contract” means the documents listed in clau 1.1 of the Contract Agreement.
1.5 “Contract Price” means the fixed lump sum price stated in clau
2.0 of the
Contract Agreement or as contractually adjusted.
1.6 “Contractor” means the person or persons, firm or company identified in the
Contract Agreement who undertakes the performance of the Works and includes the Contractor’s personal reprentatives, successors and permitted assignees.
诚信内容1.7 “days” means calendar days and “months” means a Gregorian calendar month.
1.8 “Defects Liability Period” means the period stated in clau 16.2 applicable to the
Facilities or any Portion.
1.9 “Facilities” means the facilities which the Company intends to reinstate,
construct, and/or install which the Contractor on having executed the Works reinstated, constructed or installed, all as more particularly described in the Contract.
1.10 “Final Acceptance Certificate” has the meaning ascribed to it in clau 17.
梦见月全食1.11 “KOC List of Approved Manufacturers and KOC List of Approved Contractors
for Categories of Works” mean the appropriate Appendices so designated in the list of documents specified in the Contract Agreement.
1.12 “Performance Acceptance Certificate” has the meaning ascribed to it in clau
15.8.
1.13 “Performance Bond” means the unconditional bank guarantee furnished by the
Contractor in the format approved by the Company as more particularly dealt with in clau 40.
1.14 "Performance Guarantees" has the meaning described in clau 15 and as further
detailed in Appendix B.
1.15 “Performance Test Procedures” means the test procedures stated in the Technical
Specification and the detailed test procedures to be developed by the Contractor and approved by the Superintendent, as further described in clau 15.
1.16 “Performance Test Report” means the written performance test report
demonstrating that the whole of the Facilities comply with the Performance Guarantees and as further defined in clau 15.5.
1.17 “Portion” has the meaning ascribed to it under the Scheduled Turnover Date
clau of the Particular Conditions.
1.18 "Programme" means the approved engineering, design, construction and
procurement schedules referred to in clau 6.2.6.
