SERVICE AGREEMENT 服务合同
THIS AGREEMENT was made and entered into the 20th day of March, 2005 by Pepper India Corporation, a corporation duly organized and existing under the laws of India, with its principal office at Vellapally Lane, K. K. Road, Kottayam - 686 001 Kerala State, South India (hereinafter called "Pepper"), and Ro Kica International Corporation (hereinafter called "ROSE").
本合同由印度百佩公司（在印度合法注册，公司总部设在南印度喀拉拉邦戈德亚姆市卡卡路维拉帕胡同，邮编：686 001，以下简称百佩公司）与罗斯奇卡国际公司（以下简称罗斯公司）于2005年3月20日共同签署。
WITNESSETH: 兹证明：
WHEREAS, PEPPER wishes to employ the rvices of ROSE as an advisor and consultant with respect to Accounting System; and

NOW, THEREFORE, in consideration of the foregoing premis and the mutual covenants hereinafter t forth, the parties hereto hereby agree as follows:
为此，为了维护双方共同利益，双方签订下列合同条款:
ARTICLE 1. SERVICES 服务
1.1. PEPPER hereby requests and ROSE hereby agrees to perform the following rvices for PEPPER, during the term of this AGREEMENT:

ARTICLE 2. COMPENSATION 支付方式
2.1. As full compensation for the rvices to be rendered by ROSE to PEPPER hereunder during the term of this AGREEMENT, PEPPER shall pay ROSE the sum of United States Dollars three million (U.S.$3,000,000.00) per year, payable in equal two installments of United States Dollars one million five hundred thousand (U.S.$1,500,000.00) within ven (7) days after the last day of each half year by telegraphic transfer remittance to ROSE's designated bank account. The compensation shall be reviewed yearly by the parties hereto prior to each anniversary of the date hereof.
2.1在此协议期间，百佩公司每年向罗斯公司支付全额咨询经费，总额为叁百万美元 (U.S$3,000,000.00)，该款项可平均分成两份，即每份一百五十万美元 (U.S.$1,500,000.00)，在每半年后七日内，以电汇的形式将该款项汇至罗斯公司指定银行账户内。在本协议中的每一年结束时本协议双方应核对其往来款项。

2.2. All costs and expens incurred by ROSE in connection with the performance of its obligations hereunder shall be solely borne and paid by ROSE and PEPPER shall in no event be responsible therefor.
2.2罗斯公司履行本合同期间发生的所有费用由罗斯公司自行承担，百佩公司不承担支付责任。

2.2. PEPPER shall, promptly upon receipt of a suitable accounting of such expens, reimbur ROSE for all transportation, hotel, entertainment and other expens actually incurred by ROSE in connection with the performance of its obligations hereunder; provided, however, that if the total amount of the expens expected to be incurred during any one (l) year, other than expens to be incurred in connection with the performance of ROSE's obligations at the specific request of PEPPER, will exceed United States Dollars one million (U.S.$1,000,000.00), ROSE shall obtain advance approval from PEPPER with regard to such expenditure. Means and methods of accounti
ng for such expens shall be advid to ROSE by PEPPER.
2.2 百佩公司收到罗斯公司履行合同期间所发生的符合财务规定的交通、住宿费、招待费及其他相关消费单据后应立即给予报销。如果一年发生的费用总额超过百佩公司同意预付壹百万美元的额度，罗斯公司应预先争得百佩公司同意方可报销。百佩公司将这些费用的处理方式通知通报给罗斯公司。
ARTICLE 3. RELATIONSHIP 关系确定3.1. ROSE is an independent contractor and not an employee or agent of or partner or joint venturer with PEPPER 大头儿子小头爸爸真人版by virtue of this AGREEMENT and nothing contained in this AGREEMENT shall be deemed or construed as constituting ROSE as an agent or legal reprentative of PEPPER for any purpo whatsoever, or as conferring upon ROSE any right or authority to assume or create any obligation or responsibility, express or implied, orally or in writing, on behalf of or in the name of PEPPER, or to accept legal process, or to make any warranty or reprentation on behalf of PEPPER, or to bind or render PEPPER or any of its property liable in any manner whatsoever without PEPPER's express authorization in writing therefor. 根据本
合同规定，罗斯公司是百佩公司的独立承包商，并非隶属于百佩公司，更不是百佩公司雇员、法定代理人、合伙人或合资人，没有百佩公司书面授权，无论出于任何目的，罗斯公司不得以口头或书面形式明示或暗示代表百佩公司，接受法律程序，做出保证或放弃百佩公司资产所有权。
