化学教案鉴于甲、乙双方拟合作，甲方需要提供一些商业机密、技术信息等敏感信息供乙方使用，为保护甲方的合法权益，特订立本协议，经双方友好协商，达成如下协议：

2. Rights and Obligations of the Parties
2.1 甲方权利和义务
2.1.1 甲方是信息的所有者，拥有对该等信息的完全所有权及使用权。甲方应遵守中国现行的法律法规，在向乙方提供信息前必须对有关信息的真实性和准确性进行核实和确认，并提供相应的法律保障。
2.1.2 甲方应在本协议限定范围内向乙方提供保密信息。对于因甲方过错、疏忽或者其他行为导致的信息泄露，甲方应承担全部责任。
2.1.3 甲方有权随时要求乙方删除与甲方有关的保密信息，乙方应及时执行。
2.2 乙方权利和义务
2.2.1 乙方应保证在获得甲方提供的信息之后，进行规范的处理和保管，防止信息泄露。
2.2.2 乙方不得披露、使用、复制甲方提供的保密信息，不得转让或出售给第三方，否则应承担相应的违约责任。
2.2.3 乙方应根据甲方的要求限制有关保密信息的使用范围和时限，不得超出甲方的许可范

2.2.4 乙方需承担保密信息的保管义务，应采取合理的技术和组织措施进行保护，防止信息被盗用、泄露等安全事件发生。
2.2.5 如乙方发现其员工或其他合作方违反本协议规定，泄露甲方保密信息的，乙方应立即采取一切必要措施阻止持续的泄露，并承担相应的违约责任。
2.2.6 乙方有权在甲方同意的范围内使用保密信息，但不得用于任何其他目的，否则应承担相应违约责任。电脑基本操作
2.2.7 乙方对于违反本协议规定的行为，应承担相应的违约赔偿责任，包括但不限于甲方因此造成的损失、经济赔偿、其他直接或间接损失等。
2.1 Rights and Obligations of Party A
2.1.1 Party A owns the information and has full ownership and usage rights to such information. Party A shall comply with the current laws and regulations of China, and mus
t verify and confirm the authenticity and accuracy of the relevant information before providing it to Party B, and provide corresponding legal protection.
2.1.2 Party A shall provide confidential information to Party B within the scope of this Agreement. Party A shall be responsible for all information leakage caud by its negligence or other acts.
2.1.3 Party A has the right to require Party B to delete confidential information related to Party A at any time and Party B shall promptly comply.
2.2 Rights and Obligations of Party B
2.2.1 Party B shall ensure that after obtaining the information provided by Party A, it will be regulated and safeguarded, to prevent information leakage.
2.2.2 Party B shall not disclo, u, copy, transfer, or ll the confidential information provided by Party A to any third party. Otherwi, it shall bear corresponding breach of contract liability.
2.2.3 Party B shall limit the scope and time limit of the usage of confidential information in accordance with the requirements of Party A, and shall not u or disclo confidential information beyond the authorized scope of Party A.
2.2.4 Party B shall have the obligation of keeping confidential information and take reasonable technical and organizational measures to protect it, to prevent curity incidents such as theft and leakage of information.
2.2.5 If Party B finds that its employees or other partners violate the provisions of this Agreement and disclo Party A's confidential information, it shall take all necessary measures to prevent continuous leakage and bear corresponding breach of contract liability.
2.2.6 Party B has the right to u confidential information within the scope agreed by Party A, but must not u it for any other purpos. Otherwi, it shall bear corresponding breach of contract liability.
2.2.7 For any behavior that violates the provisions of this Agreement, Party B shall bear corresponding breach of contract compensation liability, including but not limited to loss, economic compensation, other direct or indirect loss caud by Party A as a result.
