NON-DISCLOSUREAGREEMENT
ThisNon-DisclosureAgreement(the"Agreement")ismadeandenteredintoasofthelaterofthetwosignaturedatesbelowbyandbetweenxxxxxxx.,aDelwarecorporation,and_________________.
INCONSIDERATIONOFTHEMUTUALPROMISESANDCOVENANTSCONTAINEDINTHISAGREEMENTANDTHEMUTUALDISCLOSUREOFCONFIDENTIALINFORMATION,THEPARTIESHERETOAGREEASFOLLOWS:
1. DefinitionofConfidentialInformationandExclusions.
(a) "ConfidentialInformation"meansnonpublicinformationthatapartytothisAgreement(“DisclosingParty”)designatesasbeingconfidentialtothepartythatreceivessuchinformation(“ReceivingParty”)orwhich,underthecircumstancessurroundingdisclosureoughttobetreatedasconfidentialbytheReceivingParty."ConfidentialInformation"includes,withoutlimitation,informationintangibleorintangibleformrelatingtoand/orincludingallbusiness,technical,andfinancialinformation(including,withoutlimitation,specificcustomerrequirements,customerandpotentialcustomerlists,marketingandpromotionalinformation,tradecret,copyright,andtrademarkinformation,andinformationconcerningaparty’mployees,agents,divisions,practices,policies,operations,andpricinginformation),aswellasinformationreceivedfromothersthatDisclosingPartyisobligatedtotreatasconfidential.ExceptasotherwiindicatedinthisAgreement,theterm“DisclosingParty”alsoincludesallAffiliatesoftheDisclosingPartyand,exceptasotherwiindicated,theterm“ReceivingParty”alsoincludesallAffiliatesoftheReceivingParty.An“Affiliate”meansanyperson,partnership,jointventure,corporationorotherformofenterpri,domesticorforeign,includingbutnotlimitedtosubsidiaries,thatdirectlyorindirectly,control,arecontrolledby,orareundercommoncontrolwithaparty.
(b) ConfidentialInformationshallnotincludeanyinformation,howeverdesignated,that:(i)?isorsubquentlybecomespubliclyavailablewithoutReceivingParty'sbreachofanyobligationowedDisclosingParty;(ii)?becameknowntoReceivingPartypriortoDisclosingParty’sdisclosureofsuchinformationtoR
eceivingPartypursuanttothetermsofthisAgreement;(iii)?becameknowntoReceivingPartyfromasourceotherthanDisclosingPartyotherthanbythebreachofanobligationofconfidentialityowedtoDisclosingParty;or(iv)?isindependentlydevelopedbyReceivingParty.
2. ObligationsRegardingConfidentialInformation.

(i) RefrainfromdisclosinganyConfidentialInformationoftheDisclosingPartytothirdpartiesforfive(5)yearsfollowingthedatethatDisclosingPartyfirstdisclossuchConfidentialInformationtoReceivingParty,exceptaxpresslyprovidedinSections2(b)and2(c)ofthisAgreement;
(ii) Takereasonablecurityprecautions,atleastasgreatastheprecautionsittakestoprotectitsownconfidentialinformation,butnolessthanreasonablecare,tokeepconfidentialtheConfidentialInformationoftheDisclosingParty;
青少年体能训练营(iii) Refrainfromdisclosing,reproducing,summarizingand/ordistributingConfidentialInformationoftheDisclosingPartyexceptinpursuanceofReceivingParty'sbusinessrelationshipwithDisclosingParty,andonlyasotherwiprovidedhereunder;and

e-releahardwaredevicesdisclodbyDisclosingPartytoReceivingPartyunderthetermsofthisAgreement.
(b) ReceivingPartymaydiscloConfidentialInformationofDisclosingPartyinaccordancewithajudicialorothergovernmentalorder,providedthatReceivingPartyeither(i)givestheundersignedDisclosingPartyreasonablewrittennoticepriortosuchdisclosuretoallowDisclosingPartyareasonableopportunitytoekaprotectiveorderorequivalent,or(ii)obtainswrittenassurancefromtheapplicablejudicialorgovernmentalentitythatitwillaffordtheConfidentialInformationthehighestlevelofprotectionaffordedunderapplicablelaworregulation.
(c) TheundersignedReceivingPartymaydiscloConfidentialInformationonlytoReceivingParty'mployeesandconsultants(includinglegal,accounting,orotherprofessionaladvisors)onaneed-to-knowbasis.TheundersignedReceivingPartywillhaveexecutedorshallexecuteappropriatewrittenagreementswithitmployeesandsuchconsultantssufficienttoenableittocomplywithalltheprovisionsofthisAgreement,andshallberesponsibleforanybreachoftheconfidentialityrestrictionshereinbysuchemployeesandconsultants.
算术运算(d) ReceivingPartyshallnotifytheundersignedDisclosingPartyimmediatelyupondiscoveryofanyunauthorizeduordisclosureofConfidentialInformationoranyotherbreachofthisAgreementbyReceivingPartyanditmployeesandconsultants,andwillcooperatewithDisclosingPartyineveryreasonablewaytohelpDisclosingPartyregainposssionoftheConfidentialInformationandpreventitsfurtherunauthorizeduordisclosure.
(e) ReceivingPartyshall,atDisclosingParty’srequest,returnalloriginals,copies,reproductionsandsummariesofConfidentialInformationandallothertangiblematerialsanddevicesprovidedtotheReceivingPartyasConfidentialInformation,oratDisclosingParty'soption,certifydestructionofthesame.

dyforunauthorizeddisclosureofConfidentialInformationandthatDisclosingPartyshallbeentitled,withoutwaivinganyotherrightsorremedies,tosuchinjunctiveorequitablereliefasmaybedeemedproperbyacourtofcompetentjurisdiction.

(a) AllConfidentialInformationisandshallremainthepropertyofDisclosingParty.BydisclosingConfidentialInformationtoReceivingParty,DisclosingPartydoesnotgrantanyexpressorimpliedrighttoReceivingPartytoorunderanypatents,copyrights,trademarks,ortradecretinformationexceptasotherwiprovidedherein.DisclosingPartyrerveswithoutprejudicetheabilitytoprotectitsrightsunderanysuchpatents,copyrights,trademarks,ortradecretxceptasotherwiprovidedherein.
