鉴于乙方到甲方进行业务联系涉及甲方商业秘密的有关事项，经双方友好协商订定下列条款共同遵守：
The Parties wish to pursue a possible business relationship in connection with which party a has disclod and/or may disclo its Confidential Information (什么是家庭暴力as defined below) to Party b. This Agreement is intended to allow the Parties to conduct business while protecting party a’s Confidential Information on the terms and conditions t forth herein.

第二条 乙方在办理委托事项时必须遵守甲方规定的任何成文或不成文的保密规章、制度，履行与其工作相应的保密职责。
甲方的保密规章、制度没有规定或者规定不明确之处，乙方亦应本着谨慎、诚实的态度，采取任何必要、合理的措施，维护其于工作期间知悉或者持有的任何属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密或其他商业秘密信息，以保持其机密性。
乙方承诺本次相关资料及报告仅限于在和甲方的商务合作中使用、披露。
2、 During the period of the confidentiality, Recipient agrees to comply with all Confidentiality Rules and Regulations of Disclor’s, written or unwritten, and also 丙肝的症状及危害agrees to maintain the Confidential Information received from Disclor in confidence.
Recipient shall immediately give notice to Disclor of any deficiency or uncertainty of Disclor’s Confidential Rules and Regulations which has come into Recipient’s knowledge and agree to assist Disclor in remedying any such deficiency or uncertainty with discretion and honesty in order to maintain the Confidential Information in confidence, whether from Disclor or from a third party to which Disclor has duty of confidentiality.
Recipient shall agree that Confidential Information only be ud during conducting business cooperation with Disclor..Recipient shall not disclo or make u of Confidential Information in other cas without the written approval of the Disclor.
第三条 除了履行委托事务的需要之外，乙方承诺，未经甲方书面同意，不得以泄露、公布、发布、出版、传授、转让或者其他任何方式使任何第三方（包括按照保密制度的规定
不得知悉该项秘密的乙方的其他职员）知悉属于甲方或者虽属于他人但甲方承诺有保密义务的技术秘密或其他商业秘密信息，也不得在履行委托事务之外使用这些秘密信息。
3、 During the period of the confidentiality, R台风眼ecipient shall agree to maintain the Confidential Information received from Disclor in confidence and shall agree not to disclo、make public、relea、publish、impart、assign such information of Disclor or of a third party to which Disclor has duty of confidentiality other than for the purpos of its business with Disclor to a third party, including employees of Recipient who should not be aware of Confidential Information according to the Agreement.学前班拼音字母表
第四条乙方办理委托事项接触、知悉的属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密和其他商业秘密信息，承担如同任职期间一样的保密义务和不擅自使用有关秘密信息的义务
乙方承担保密义务的期限为协议签署后三年。
4、Recipient shall maintain in confidence and not make u of any Confidential Informati
on received from Disclor or from any third party to which Disclor has duty of confidentiality after the termination of this Agreement and/or the termination of the business relationship between parties.
This Agreement shall remain effective for three years, and shall come into force as from the date when both parties sign and stamp the company chop on this Agreement.
第五条 甲方按照乙方的明确要求或者为了完成乙方明确交付的具体任务必然导致侵犯他人知识产权的，若乙方遭受第三方的侵权指控，应诉费用和侵权赔偿不得由甲方承担或部分承担。
5、Disclor shall not undertake any or part of the litigation expen and intellectual property infringement claims in the ca that Disclor acts according to Recipient’s explicit requirements or to fulfill specific tasks assigned by Recipient which results in the infringement act.
第六条 乙方及乙方工作人员因职务上的需要所持有或保管的一切记录着甲方秘密信息的文
件、资料、图表、笔记、报告、信件、传真、磁带、磁盘、仪器以及其他任何形式的载体，均归甲方所有，而无论这些秘密信息有无商业上的价值。
但当记录着秘密信息的载体是乙方自备的，且秘密信息可以从载体上消除或复制出来时，可以由乙方将秘密信息复制到甲方享有所有权的其他载体上，并把原载体上的秘密信息消除。此种情况乙方无须将载体返还，甲方也无须给予乙方经济补偿。
6、Disclor owns all documents、materials、diagrams、notes、reports、letters、faxes、tapes、disks、instruments and any other forms of carrier that include Disclor’s Confidential Information that held or kept by Recipient and its employees with a specific need to know, whether such information is of commercial value or not.
Recipient shall not return the carrier and Disclor shall not economically compensate Recipient on the condition that Recipient owns the carrier which contains Confidential Information and such information can be copied to other carriers owned by Disclor and be erad from the original carrier.
