乙方因参与甲方关于 **樱桃花工程 项目的有关工作，已经（或将要）知悉甲方关于该项目的商业秘密。为了明确乙方的保密义务，甲、乙双方本着平等自愿、公平诚信的原则，依据《中华人民共和国劳动法》、《中华人民共和国反不正当竞争法》订立本保密协议。
In participation in Party A’s trade on ***Project projects, Party B has been (or will be) aware
of Party A's trade crets. In order to clarify the confidentiality obligations of Party B, in spirit of equality, voluntariness, fairness and principle of good faith, both parties herein conclude this confidentiality agreement in accordance with People's Republic of China Labor Law and People's Republic of China Anti-Unfair Competition Law.
第一条 保密的内容和范围Scope of Confidentiality
甲、乙双方确认，乙方应承担保密义务的甲方关于该项目的商业秘密范围包括：
Under confirmation from Party A and Party B, Party B should bear the obligation of confidentiality of trade crets including:
1、技术信息 Technical Information：
包括技术方案、设计要求、服务内容、实现方法、运作流程、技术指标、软件系统、数据库、运行环境、作业平台、测试结果、图纸、样本、模型、使用手册、技术文档、涉及技术秘密的业务函电等等；

Including technical solutions, design requirements, rvices, implementation, operational process, technical specifications, software systems, databas, operating environment, operating platforms, test results, drawings, samples, models, manuals, technical documentation, technical cret operations involving correspondence, etc.
2、经营信息 Operating Information：
包括客户名称、客户地址及联系方式、需求信息、营销计划、采购资料、定价政策、进货渠道、产销策略、招投标中的标底及标书内容、项目组人员构成、费用预算、利润情况及不公开的财务资料等等；
Including customer name, customer address and contact information, demand information, marketing plans, purchasing information, pricing policies, purchasing channels, marketing strategy, the ba price and bidding tenders, team structure, budget, profit and non-disclosure financial information, etc.
3、其他事项 Others：
宁波南塘老街
甲方依照法律规定（如通过与项目对方当事人缔约）和有关协议（如技术合同等）的约定要求乙方承担保密义务的其他事项。
Party in accordance with the law (for example, by the other party contracting with the project) and related protocols (such as technical contracts, etc.) requires the agreement of the other Party obligation of confidentiality issues.

第二条 乙方的保密义务 Confidentiality Obligations of Party B
对第一条所称的该项目商业秘密，乙方承担以下保密义务：
As per Business Secret in Item 1, Party B shall undertake the following confidentiality obligations:
1、 主动采取加密措施对上述所列及之商业秘密进行保护，防止不承担同等保密义务的任何第三者知悉及使用；
Take initiative and encryption measures to protect commercial cret listed above, to forbi
d any information to any third party who is not under the same obligation of confidentiality.
2、 不得刺探或者以其他不正当手段（包括利用计算机进行检索、浏览、复制等）获取与本职工作或本身业务无关的甲方关于该项目的商业秘密；
Shall not spying or through other improper means (including the u of computers to retrieve, view, copy, etc.) to get to their members’ jobs or the Project’s trade crets unrelated to Party B.
3、 不得向不承担同等保密义务的任何第三人披露甲方关于该项目的商业秘密；
Party B shall not disclo trade crets of the Project to any third party who does not bear the same obligations of confidentiality.
4、 不得允许（包括出借、赠与、出租、转让等行为）或协助不承担同等保密义务的任何第三人使用甲方关于该项目的商业秘密；
Not allow (including loan, donation, lea, transfer and other acts) or assistant any third parties who does not assume the same obligations of confidentiality regarding utility of the Project's commercial crets.
5、 不论因何种原因终止参与甲方关于该项目的工作后，都不得利用该项目之商业秘密为其他与甲方有竞争关系的企业（包括自办企业）服务；
After the termination for whatever reason to work on the Project, Party B shall not to pay the trade crets of the Project as rvice towards other party’s business (including their own business).
6、 该项目的商业秘密所有权始终全部归属甲方，乙方不得利用自身对项目不同程度的了解申请对于该项目的商业秘密所有权，在本协议签订前乙方已依法具有某些所有权者除外；
Ownership of the project's commercial crets is always fully vested by Party A, Party B shall not u their different levels of understanding of the project as application for an ow
nership of the Project’s trade cret, except that Party B posss some ownership in accordance with law prior to the signing of this Agreement.
7、 如发现甲方关于该项目的商业秘密被泄露或者自己过失泄露秘密，应当采取有效措施防止泄密进一步扩大，并及时向甲方公司报告。
Party A in any occasion found trade crets on the Project was leaked or their own negligence in divulging crets, shall take effective measures to prevent the further expansion of disclosure, and promptly report to Party A.
第三条 保密期限Confidentiality Period鬼怪下载
甲、乙双方确认，乙方的保密义务自本协议签订时开始，到甲方关于该项目的商业秘密公开时止，且三年内不得参加迪士尼相关国际工程项目。乙方是否继续参与甲方关于该项目的工作，不影响保密义务的承担。

Party A and B hereby agree that Party B's confidentiality obligations commence from the signing date of the agreement, and terminate till Party A opens on the commercial crets
of the Project. In the meantime Party B shall not participate in the Disney-related international projects within three years. Whether Party B continue to participate in the project does not affect the obligation of confidentiality commitment.
