This Agreement may not be modified, supplemented or amended except by a written agreement executed by both Parties.
2.All the appendices to this Agreement shall be an integral part of this Agreement.

Rervation of right

1.Shortfall
NCIC has the right to deduct any and all damages and loss due to Supplier’s delay, excess, or shortage in delivery, or defects of the Parts, from the Price as t forth in Article 11.1 above. If the amount of such damages and loss are more than the Price as t forth in Article 11.1, Suppler shall pay the shortfall to NCIC within 30 days from the claim by NCIC.

任何一方在权利或补救措施产生的时候，就行使本协议规定的权利或补救措施而出现的迟延、遗漏或未行使不能视为弃权或默许。但是，只要行使权利或补救措施的当事人认为是有利的，便可以随时行使此种权利或补救措施。
