不竞争及竞业限制协议本协议为劳动合同补充内容，为明确告知事项，与劳动合同同样有效，签署劳动合同时一并签署。

第一条保密及保密协议
Article1Confidentiality and Confidentiality Agreement
1.乙方掌握的甲方的秘密信息，不得泄露或不正当使用。甲方可要求乙方另行签
署保密协议。保密协议本合同不可分割的部分。
Party B shall not disclo or unduly u Party A's confidential information acquired
by Party B.Party A may request Party B to enter into parate confidentiality
agreement.such confidentiality agreement shall be an integral part to this contract.
2.本合同所称秘密信息，是指甲方所有的、不为公众或甲方公司内不相关人员所
知悉、具有实用性的技术信息和经营管理信息。乙方理解并同意，这些秘密信
息能为甲方带来经济利益，甲方已经通过签署本合同、保密协议、制订相关的规
章制度等对这些秘密信息采取保密措施。乙方理解并同意，其在工作本身会不可
避免地导致其接触并掌握甲方的秘密信息。
Confidential information specified herein means practical information of technology,
operation and management which is owns by Party A and unknown to the public or
irrelevant personnel of Party A.Party B understands and acknowledges that such
confidential information is profitable to Party A which takes such measures as signing
this contract,entering into confidential agreement and adopting relevant regulations
to protect the said confidential information.Party B understands and adopting
relevant regulations to protect the said confidential information.Party B understands

exposure to and acquisition of Party A's confidential information.
金牛天秤3.本合同解除或终止后，乙方保守甲方秘密信息的义务，以及不得不正当使用甲
方的秘密信息的义务，继续有效。
Party B's obligation of maintaining confidentiality and non-unduly usage of Party
A's Confidential information shall survive upon the termination or expiration of this
contract and thereafter.
第二条不竞争及竞业限制协议
Article2Non-competition and Non-competition Agreement
1.本合同期内，乙方不得与第三方建立劳动关系或在其他盈利性组织任职，不得
自营或为他人经营与甲方有竞争或有关联的业务，不得使用甲方的物质条件、秘
密信息、工作成果或人力资源等为自己活他人谋利或从事其他与履行工作职责无
关的事务等。
Party B shall not establish labor relation with a third party,or have a position in a
profit-making organization,or operate business which is in competition with Party A
for his/her own or other Party during the term of this contract.Party B shall not make
profit for his/her own or others or engages in other affairs which is irrelevant to Party
B's performance of his/her rvice by using Party A's physical conditions,confidential
information,achievement of work or human resource.
2.无论在本合同期内，还是在本合同解除或终止后，乙方不得恶意促使甲方的员
工与甲方解除或终止劳动或劳务关系，不得恶意促使甲方的现在或潜在的客户停
止或减少与甲方进行商业合作，不得恶意促使甲方的现在和潜在的客户与商业对哺乳期可以喝饮料吗

Party B shall not,during the term of this contract and after its termination,
maliciously induce Party A's employee to terminate employment or rvice relation
with party a,maliciously induce Party A's current or potential customer to terminate
or decrea business cooperation with party a and maliciously induce Party A's
current or potential customer to cooperation in business with Party A's business
competitor.
3.甲方要求乙方在本合同解除或终止后若干时间内（最短2年内）不得自营或者
为他人经营与甲方有竞争的业务，并将支付一定数额的经济补偿的，乙方应该同
意。甲方对乙方承担的竞业限制义务有新的规定或要求的，甲方可要求乙方另行
签署竞业限制协议。
Party B shall agree so if party a requests him/her not to operate business which is in
competition with party a for this contract in the condition of being paid certain among
Of economic compensation by party A.in the event where party A requests party B to
assume new obligation or requirement of non-competition,party B shall enter into a
parate non-competition agreement.
4.乙方违反相关竞业限制协议，在本合同解除或终止后自营或他人经营与甲方有
中学生发型竞争的业务的，应当向甲方出示充分的证据证明他没有掌握甲方的商业秘密，或

者出示充分的证据证明他已经遵守与甲方的竞业限制协议并且其承担竞业限制
义务的期限已经届满。
In the event where Party B breaches the relevant non-competition agreement and
operates business which is in competition with Party A for his/her own or other Party
after the termination of this contract,it shall prent sufficient evidence to prove
his/her non-acquisition of Party A's business cret or his/her fully obrvance of the
non-competition agreement and that the term during which he/she shall assume the
obligation of non-competition has expired.
5.甲方与乙方在签订本劳动合同时，甲方没有要求乙方签订竞业限制协议，但是，
随着乙方为甲方提供劳动时间的增长，或者乙方的岗位、职位或指责发生变动，

方认为乙方应当签署竞业限制协议的，乙方应当签署。
In the event where Party A does not request Party B to enter into non-competition无双剑姬
agreement when entering into this contract,Party B shall agree to enter into
non-competition agreement when Party A deems it necessary sue to the expansion of
its performed rvice term,the change of Party B's position,post or duties or his/her
involvement or acquisition of Party A's confidential information of technology,
operation and management in performing his/her work.
