1. Identity, Rights and Obligations

2.1 Party A agrees to ll and Party B agrees to purcha the clothing as described the in the invoice issued by Party A.2.2 Party A is responsible for the quality of the clothing.2.3 The total purcha price of the clothing shall be paid by Party B to Party A within __ days of signing this Contract, by wire transfer or other agreed means of payment.
3. Delivery and Acceptance
3.1 The delivery of the clothing shall be made by Party A to Party B at a mutually agreed date and time.3.2 Upon delivery, Party B shall inspect the clothing within __ days to ensure that they are free from defects.3.3 If Party B finds that the clothing have defects within the inspection period, Party B shall notify Party A in writing immediately and provide evidence of the defects.3.4 If Party A agrees that the clothing have defects, Party A shall replace or repair the clothing within __ days, and bear the related costs.

4.1 Both parties shall comply with the laws and regulations of China and other countries r
elated to the sale of clothing.4.2 If either Party violates any laws or regulations related to the sale of clothing, it shall bear the legal liability arising therefrom.
5. Rights and Obligations
5.1 Both parties shall ensure the confidentiality of any business crets revealed in the performance of this Contract.5.2 Both parties shall cooperate and provide necessary assistance to each other in the performance of this Contract.5.3 Either Party shall not assign or transfer its rights and obligations under this Contract without the other party's prior written connt.
6. Validity and Enforceability
6.1 This Contract shall be valid and enforceable under the laws of China.6.2 Any disputes arising from this Contract shall be resolved through friendly negotiation. If no resolution can be reached, either party may file a lawsuit in the court with jurisdiction.6.3 This Contract shall not be modified, supplemented or terminated unless written connt has been obtained from both parties.
7. Liability for Breach of Contract
7.1 If either Party breaches any provision of this Contract, the other Party shall have the right to terminate this Contract and claim compensation for the loss arising therefrom.7.2 The loss to either Party shall be calculated bad on the amount of the contract price.
8. Miscellaneous
