Each party shall sign the contract bad on the agreement for the project to be verified. The contract is concluded in two copies of equal legal standing, one for each Party. 双方就核查项目协商一致，签订本合同。本合同一式两份，每方各一份，法律效力同等。
1. Subject of the contract
合同主体
Bad on the information provided by Party A and relevant CDM regulations, Party B shall conduct independent review and periodic verification and certification of GHG emission reduction during one verified period of the CDM project (hereafter referred as “the project”).
根据甲方提供的资料和CDM的相关规定，乙方对CDM项目在一次特定核查期间产生的温室气体（GHGs）减排量进行定期核查和核证。
2. Scope of Work
工作范围
2.1 The verification of the CDM project will be performed bad on modalities and procedures for a clean development mechanism as defined in Article12 of the Kyoto Protocol; relevant UNFCCC requirements and associated interpretations and host country (China) requirements; Validation and Verification Manual; applied baline & monitoring methodology; registered project design document (PDD); monitoring plan; validation report; monitoring report of emissions and emission reduction of GHGs during specified time period.

对CDM项目活动的核查工作根据京都议定书第12条、CDM模式与程序、EB的相关要求、批准的方法学、东道国法律法规和注册的项目设计文件（PDD）、审定报告、项目活动温室气体源人为排放量和减少排放量的监测报告等。

2.3 Should any incompliance found against the registered monitoring plan during the verification period, bad on agreement of both parties, Party A shall employ Party B to apply the deviation of monitoring plan according to EB’s guidance. Should any difference found against the monitoring plan,
bad on agreement of both parties, Party A shall employ Party B to apply the revision monitoring plan according to EB’s guidance. Should any incompliance found against the registered PDD, bad on agreement of both parties, Party A shall employ Party B to apply the notification or approval application of the changes to the registered PDD. The kinds of rvices are not included in the quotation of this contract.
如果核查期间发现项目偏离了注册的监测计划，经双方达成共识，甲方应聘请乙方在EB 的指导下申请监测计划的偏离。如果核查期间发现项目与注册的监测计划不一致，经双方达成共识，甲方应聘请乙方在EB的指导下申请监测计划的修订。如果核查期间发现项目偏离了注册的PDD，经双方达成共识，甲方应聘请乙方在EB的指导下申请对注册PDD 的变化的通知或申请批准。这些服务的费用不包括在本合同费用之中。
3. Rights and Responsibilities of Party A
甲方的权利和义务
打工的日子3. 1 Gathering of necessary data according to the monitoring plan (MP) as defined in the registered PDD in a complete, transparent and accurate manner.油炸螃蟹
按照注册的PDD中的监测计划（MP），以完整、透明和准确的方式搜集必要数据。
3. 2 Preparation of monitoring report (MR) in compliance with the rules t by the UNFCCC. In ca of changes to the UNFCCC rules and requirements during execution of this agreement Party A shall adapt the MR to the new rules.
根据UNFCCC的要求准备监测报告（MR）。如果在执行本合同期间UNFCCC的规则和规定发生改变，甲方应根据新规则修改MR。
3. 3 Providing Party B with all necessary and required information, documentation, data and confirm the access to client books, records, information systems and facilities such that Party B may verify the data and assumptions prented in the MP and MR.
根据乙方要求提供必要的和符合要求的信息、文件、数据等材料，及确认能够接触到获得用户手册、记录、信息系统和装置，以便乙方核查MP和MR中的数据和假设。
3.4 Making arrangement for on–site auditing, cure the dates, personnel and departments to be int
erviewed and accompany personnel before the on-site auditing, such that Party B may verify the data and assumptions prented in the MP and MR, according to Party B’s request.
根据乙方现场访问人员要求，在乙方进入现场前做好访问安排，包括日期、人员、部门和陪同人员，以便乙方能够按照计划时间完成所有必要人员、部门的访问。
3.4 Conduct corrective actions of CARs and FARs according to Party B’s requests.
根据乙方的要求完成整改行动。
3.5 Providing help of on-site auditing and adequate safety measures for the audit team at audit site(s).
协助审核组完成现场审核，为进入现场的审核人员提供足够的安全保障措施。
3.6 If there are deadlines t by EB concerning documents to be provided or
measures to be taken by Party A, Party A shall provide Party B with the relevant material at least 5 working days before the deadline.
如果CDM EB对甲方提供文件或采取措施设置了截止日期，甲方应在截止日期之前至少5个工作日将材料提供给乙方。
3.7 All obligations of Party A provided for in this agreement shall be performed according to the UNFCCC in force when performing the obligations. In ca of changes to the UNFCCC affecting performances already rendered under this contract Party A shall amend or render anew its performances accordingly.
甲方在本合同中的义务应根据CDM EB的规定执行，如果EB规定的变化影响到本合同中已经采取的行动，甲方应做出修正或采取相应的新行动。
3.8 To accept the asssment arranged by EB and its Panels and corporate with Party
B (if necessary);
接受EB及其委员会安排的评审，并配合乙方的工作（需要时）。
4. Rights and Responsibilities of Party B
乙方的权利和义务
4.1Conduct verification rvices according to CEM EB rules and requirements.
根据CDM EB的相关要求开展核查。
4.2 Issue verification report and statement according to the Validation and Verification Manual.
按照审定核查手册的要求出具核查报告。
4.3 Party B shall be entitled to consult with attorneys, engineers, analysts, accountants, or any other parties deemed by Party B to have the qualifications necessary to assist with the rvices. Party B may lect and engage such persons without Party A’s prior approval except where conflict of interest exists, should Party A advi Party B that a conflict of interest exists, Party B will take all necessary measures to engage alternate advisors. Party B may also consult with stakeholders to assist in the performance of the rvices. Stakeholders shall include the public,
including individuals, groups or communities affected, or likely to be affected, by the activity in question.
羊和鼠相配婚姻如何乙方有权利咨询律师、工程师、分析师、会计师或其它信任的机构，以便进行更好地行动。乙方可以无需甲方的同意选择和任命这些人员，除非甲方向乙方指出存在利益冲突，乙方将采取必要措施更换咨询方。乙方可以向利益相关方咨询以辅助乙方服务。利益相关方包括公众，包括受到项目活动影响或可能受到影响的个人和社会团体。
4.4 Party B shall perform the rvices in an efficient, prompt and rious manner in accordance with the current industry standards, practices and accredited procedures. In performing the rvices, Party B shall obey all applicable laws, regulations, rules and standards impod by any government or other duly constituted authority having jurisdiction in the host country.
乙方应以迅速、有效、认真的方式提供服务，符合相关行业标准、管理和公认的程序。服务期间乙方应遵守所有东道国政府或权威机构实行的适用法律、规章、规则和标准。
4.5 Party B shall ensure adequate communication with Party A during the process of composing verification/certification report.
乙方在出具核查/核证报告过程中应始终保持与甲方的沟通联系。
4.6 Confidential information shall include any and all oral and written information provided to Party B by Party A (Party A’s information) as well as the terms of the contract. Without written permission from Party A or information provider, Party B could not disclo the information to any organization or any person through any way excluding following situations:
保密信息指甲方向乙方提供的所有口头和书面信息（甲方的信息）和本合同中的条款。未经甲方或信息提供者的书面同意，不得以任何方式向任何组织或个人透露保密信息，以下几种情况除外：
Information gained by Party B before the signature of the Contract;
此合同签署前乙方已获得的信息；
Information disclod to public by Party A;
