Party A posss the Chine patent right from the patent holder for a safe building system and has cured the immediate application of patent in China. Party B posss the experience in construction and environment project in China. In order to make full u of advantages from both sides, the parties concerned are willing to discuss about the possibility of establishing a joint venture in China so as to develop the Chine business with mutual efforts.

甲方从专利持有人处拥有安全建筑系统技术的中国专利权。乙方拥有在中国从事建筑和环保项目的能力。为了充分利用各自的优势，相关各方愿意就在中国成立合资企业，共同发展中国的业务的可能性进行磋商。
Both parties had a friendly meeting in Shanghai on May 1, 2011 and are willing to establish a joint venture in developing the safe building system in China. The following issues were discusd and agreed during the meeting. The Joint Venture we are considering would have as its ultimate objective the conversion of safe building system to a commercialized system.
双方于2011年5月1日在上海进行了友好的磋商，并且愿意建立一家合资企业，共同在中国发展安全建筑系统。会上讨论并达成如下事宜。我们考虑建立合资企业的终极目标是将安全建筑系统转换成一个商业化的系统。
1. Party A would cooperate with Party B to establish a new joint venture in Xuzhou, China in order to commercialize safe building system in China by making u of Party B’s capacity in China. The joint venture name would be Jiangsu ScanBan Safe Building Syst
em Co., Ltd.
甲方愿意同乙方合作，在中国徐州建立一家合资企业，利用乙方的能力在中国发展安全建筑系统。合资企业的名称为：江苏斯堪班安全建筑系统有限公司。
2. The total investment shall be RMB 10 million. The share distribution shall be in 50%-50% between Party A and B. Both parties need to contribute the investment in cash in 2 installments (50% each time).
总投资为1,000万元人民币。股份分配为甲乙双方各占50%。双方需以现金的形式分两次出资（每次各为50%）。6410
3. In recognition of Party A’s ongoing value of existing business, both parties agree that the joint venture shall pay Party A RMB 1.80 million after the establishment of joint venture. The payment for the Party A’s ongoing value shall be made in connection with Party A’s contribution to the investment. That is to say, Party A shall invest RMB 2.5 million in cash for the 1st installment. The joint venture shall pay RMB 1.80 million as the

董事会共有6个董事席位。甲乙双方各占2个席位。另有一个董事席位由外部人员担任，还有一个无投票权的董事席位为专利持有人代表持有。甲方将提名董事长的人选，乙方将提名总经理的人选，任期至专利事宜结束或公司上市之前，以时间短者为准。
5. Party A shall be responsible for the communication with patent holder as well as the technical issues relating to the patent application in China. Party B shall be responsible for the communication with Chine government as well as other organizations and clients in order to get the joint venture approved in China. Both parties shall contribute to the preparation of joint venture establishment while there is above arrangement. All relevant costs shall be booked into the joint venture after both parties confirming this LOI.
甲方负责同专利持有人的交流，涉及同专利在中国应用方面的技术问题。乙方负责同中国政府以及其它机构和客户的交流，以使合资企业在中国得到批准。尽管有上述的安排，双
方都需要对合资企业的建立的准备工作尽力。在双方确认本意向书以后，所有的相关费用将计入合资企业的帐上。
6. Party A shall have the right to make other arrangement if the joint venture could not be established before June 30, 2011. The extension could also be made if both parties believe that there is need to prolong the process. The extension shall be valid until both parties confirming to that in written.
如果合资企业无法在2011年6月30日前建立，甲方有权作其它安排。加入双方都认为需要延长时限，则可将此顺延。在双方书面确认后顺延生效。
hammers7. Party A shall be responsible for the negotiation with the patent holder on the better patent arrangement. The details shall be agreed upon parately.
甲方将负责同专利持有人谈判，以得到更好的专利安排。详情另外约定。
8. Party B shall drive the business and make sure that the business target could be achieved in China through its candidate as General Manager. The revenue target for the
1st year shall be RMB 100 million with 40% annual increa in the coming years.
乙方将推动业务，并保证通过其推选的总经理达到在中国的业务目标。第一年的收入目标为1亿元人民币，此后每年以40%的比例增加。
