This contract is made by and between the Buyer and the Seller, whereby the Buyer agrees to buy and the Seller agrees to ll the under mentioned goods to the Buyer on the terms and conditions stated as below:
本合同由生意两边一路拟定。依据如下条件与条款，买方同意购买，卖方同意出售下列货物:

1.“Ore” means Iron Ore of Malaysia Origin “矿”指原产于马来西亚的铁矿石
2.“USD”, “. Currency” means the currency of the United States of America freely
transferable from and payable to an external account
美金，美国货币指的是美国可以流通的和对外账户利用的货币
3.“MT” means Metric Ton
“MT”指公吨
4.“Wet Basis” means ore in its natural wet state. WMT means Wet Metric Ton
“湿公吨”指的是矿自然状态的重量。“WMT”指湿公吨blaspheme
5.“Dry Basis” means ore dried at 105 degrees Centigrade. “DMT” means Dry Metric
Ton and calculated as “WMT MULTIPLY (X) (1-Moisture Content %)”
“干公吨”指的是矿在105摄氏度干燥后的重量。“DMT”指干公吨，并依照“湿公吨X (1－水分含量%)”计算
6.“VESSEL” means vesl, which is suitable for entering and leaving (when loaded) the
discharging port always safely afloat and for discharging port
VESSEL指在装货情况下适合驶入与驶离卸货港的可在海上安全航行的船
7.“CIQ” means Entry-Exit Inspection & Quarantin e of People’s Republic of China
8.CIQ指中华人民共和国进出口查验检疫局
9.“C FR FO CQD” means Cost and Freight as per INCOTERMS 2000 and applicable
revisions thereof
“CFR FO CQD”指本钱加运费价, 船方不负担卸货, 按口岸习惯速度严格参照《INCOTERMS 2000》中的解释

Port of Destination: Longkou Port, China. (目的港：中国龙口港)
CLAUSE 2 (条款二):
DELIVERY PERIOD AND QUANTITY (交货期和数量)
Delivery Period: On or Before , 2014（2014年4月30日或之前）
Quantity (数量): 30,000 (+/-10%) WMT （30,000(+/- 10%)湿公吨）
The total shipment quantity is 30,000 (+/-10%) WMT, and partial shipment is not allowed.
10% more or less delivery at Seller’s option on vesl is allowed. Seller shall notify Buyer such more or less delivery.
货物总量10,000湿公吨，不允许分批出货.
卖方装载的重量加或减10%是被允许的, 对此数量的增减卖方应通知买方.

PRICE ADJUSTMENT (价钱调整)
A)For Fe Content (铁含量)
In respect of iron ore which does not meet the Fe specifications as t forth in Clau 3 of this Contract, the Ba Price (referred to Clau 4) of this Contract, shall be adjusted in accordance with Fe content as determined pursuant to the provisions of Clau 9 as follows:
若是铁矿砂不符合此合同第三条铁矿性的规定，大体价钱(此合同第四条)要依照合同第九条检查的结果调整如下：
PRICE INCREASE / DECREASE (价钱增加/ 扣减)
The Ba Price shall be incread by DMT for every % Fe content above %, fractions pro-rata.
当含铁量高于%但低于51%时, 每增加%铁时, 基础价格将增加美元/干公吨，按比例调整。
The Ba Price shall be decread by DMT for every % Fe content below % but above 46%Fe content, fractions pro-rata. If Fe below %,The buyer has the right to reject the cargo.
