The DLMS Ur Association (referred to hereafter as the DLMS UA) is a not-for-gain Association registered in Geneva, Switzerland. Its objective is the promotion of communication protocols bad on DLMS (Device Language Message Specification) through collaboration with international, regional and national standardisation bodies, by analysing possible applications of the protocol, promoting it to interested urs, distributing information, sharing experience, defining criteria for the u of a conformance label. The DLMS UA has developed the DLMS/COSEM specification (referred to hereafter as the “Specification”) for utility meter data exchange and has published them in the form of t
he “Coloured Books” (See Annex 1). Bad on this specification, the International Electrotechnical Commission (IEC) and the European Committee for Standardisation (CEN) have published international standards (See Annex 2). The DLMS UA is formally liad with IEC TC 13 WG 14, being responsible for developing international standards for data exchange for meter reading, tariff and load control. It provides maintenance rvices for the standards and it is recognid by the IEC as a Registration Authority for standard elements of the standards. The DLMS UA has developed a conformance testing scheme for implementations using the DLMS/COSEM specification. It is the sole authority to issue conformance certificates for such implementations.
DLMS用户协会（以下简称DLMS UA ）是一个在瑞士日内瓦注册的非赢利性组织。旨在通过与国际性，区域性和各国家标准化机构的协作，促进基于DLMS（器件语言报文规范）通信协议的使用，包括：分析协议应用的可能性，向感兴趣的用户宣贯本协议，发布信息，经验共享，为符合性标志认证的使用制定规则。DLMS UA已开发了针对公用事业表计数据交换的DLMS/COSEM
规范（以下简称“规范”）并且以“彩色书籍”（“Colored Books”）的形式出版（参见附件1）。基于本规范，国际电工委员会（IEC）和欧洲标准化委员会（CEN）已经出版了国际标准（参见附件2）。DLMS UA与（负责制定“读表，费率，负荷控制的数据交换”方面的国际标准）IEC TC 13 WG 14建立了正式的协作关系。并为这些标准提供维护服务，并且被IEC认可为针对上述标准中的某些技术要素

The China Productivity Promotion Center for Electrical Measuring Instruments (referred to hereafter as the CPPCEM )is a not-for-gain organization registered in Harbin, China. Which was authorized by the Ministry of Science and Technology of P.R.China in 1999. It is an important part of national technological innovation system; a bridge linking science and technology circle to business circle; an important role assisting government to promote technology progress; a cradle cultivating innovating personnel for enterpri and a brainpower and technological backing for enterpri development. Its elementary function is integrating social resource and offering whole rvice for enterpri. It has responsibilities to encourage the enterpris to participate the international standardization activities and to implement related standards.
中国电工仪器仪表生产力促进中心(以下简称CPPCEM)是一个在中国哈尔滨注册的非赢利性组织，于1999年经中国国家科学技术部批准组建。中国电工仪器仪表生产力促进中心是中国技术创新体系中的一个重要组成部分，是一座科技与商业有机结合的桥梁，在协助政府加速科技进步的进程中扮演着重要角色，更是为企业培养科技创新人才的摇篮。中国电工仪器仪表生产力促进中心的主要功能是整合社会资源，为企业提供系统的服务。同时，中国电工仪器仪表生产力促进中心更有责任鼓励中国企业
参与国际标准化活动，贯彻相关标准。
CPPCEM has identified a market need for the u of the Specification in China and the DLMS UA and the CPPCEM have mutual interest to promote the u of the Specification in this country, the parties therefore enter to an agreement as follows:
CPPCEM 已了解到中国应用此规范的市场需求状况，并且DLMS UA与CPPCEM在中国宣贯此规范的用途方面有共同利益，因此双方达成如下协议：
1)CPPCEM creates a legal entity (referred to hereafter as DLMS China UA) according
to the prevalent Chine laws, to become a local partner of the DLMS UA, with the same objectives as that of the DLMS UA.
CPPCEM依照中国法律创立一个法人实体（以下简称为DLMS 中国用户协会-- DLMS China UA），作为DLMS 用户协会的一个地方性合作伙伴并与DLMS 用户协会有相同的目标。
2)The rights and tasks of the DLMS China UA will be, for the duration of the
agreement, among others, the following:
其中，在协议期间， DLMS 中国用户协会将拥有如下的权利和任务：
a.Using the “DLMS China Ur Association” name;
使用“ DLMS中国用户协会”名称；
b.preparation of Chine versions of the Specification and other DLMS UA
documents, under the copyright of the DLMS UA;
准备规范和其他DLMS用户协会文件的中文版本，版权归DLMS 用户协会所有；
NOTE: The copyright over the International Standards belongs to the IEC and CEN respectively.
注：国际标准的版权分别归IEC 和 CEN所有。
c.assigning country specific OBIS codes;
分配国家目标识别系统（OBIS）识别码；
e.providing local training;
提供地方性培训；
f.providing local support;
提供地方性支持；
g.the DLMS UA CPPCEM may become a Third Party Test Center to perform
Conformance tests.
DLMS 用户协会中国电工仪器仪表生产力促进中心可以成为符合性测试的第三方性测试中心。
3)The DLMS UA supports DLMS China UA, among others, by:
其中，DLMS用户协会为 DLMS 中国用户协会提供一系列支持，内容如下：
“DLMS Ur Association” name is protected.
准予“DLMS中国用户协会”名称的使用权。“DLMS用户协会”名称是受保护的。
b.making available the Specification (e Annex 1) and its latest
amendments end editions;
维护可利用的规范（参见附件1）和最近修改单的最终版本；
c.making available the contents of the DLMS UA website for the preparation
of its Chine sub-page;
准备DLMS 用户协会门户网站的中文网页的内容；
d.providing an initial, and as necessary, ongoing training to experts
designated by the DLMS China UA;
如果需要，为DLMS中国用户协会指定的专家提供初期的，过程中的培训；
e.providing local training to members, upon the request of the DLMS China
UA;
根据DLMS中国用户协会的要求为成员提供本地培训；
f.providing support to experts of the DLMS China UA.
为 DLMS中国用户协会专家提供支持。
4)The relationship of the DLMS UA and the DLMS China UA is fully bad on and
governed by the Statutes of the DLMS UA (attached to this Agreement).
DLMS 用户协会与DLMS中国用户协会的关系由DLMS 用户协会的章程而定。
5)The DLMS UA grants the Status of an Associated member to the DLMS China UA.
DLMS 用户协会批准DLMS中国用户协会的联系成员身份。
6)To enjoy full rights as t out in the Statutes of the DLMS UA - for example
to enjoy voting rights, to be eligible for election to the Management Committee, or to purcha the Conformance Test Tool - DLMS China UA has to become a full member.
为了完全享受DLMS 用户协会章程中规定的所有权利—比如：享受投票权、入选管理委员会的选举权或购买符合性测试工具-- DLMS中国用户协会必须成为完全会员。
7)Legal or natural persons resident in China wishing to become a member, have to
apply for membership with the DLMS UA. Upon approval of their membership, they will automatically become members of both the DLMS UA and DLMS China UA and will enjoy the right of full members. DLMS China UA will not have the right to accept members on its own.
如果中国居民中的法人和自然人意愿成为会员，必须向DLMS 用户协会申请会员资格。会员资格得到批准之后，他们将自动拥有DLMS UA和 DLMS中国用户协会的双重会员身份，可以享受完全会员的权利。DLMS中国用户协会没有权利自己接受会员申请。
8)The joining and membership fees are payable to the DLMS UA.
入会费和会员费应付给DLMS 用户协会。
9)In consideration of the local activities of DLMS China UA, the DLMS UA will return
50% of the joining fee and membership fee of such members to the DLMS China UA.
This will take place twice in each calendar year.
考虑到DLMS中国用户协会将开展一些本地活动，DLMS UA将返回这些会员上缴的入会费和会员费的50%给 DLMS中国用户协会。一年返两次。
10)To become a third part test hou, the DLMS China UA has to become a full member
and has to purcha the Conformance Test tool. The rules for Third party testin g apply.
为成为第三方性测试机构，DLMS中国用户协会必须成为完全成员并购买符合性测试工具。按规则申请第三方性测试。
11)The right to issue DLMS/COSEM Conformance Certificates remains with the DLMS
UA.
签发DLMS/COSEM符合性测试证书的权利归属于DLMS 用户协会。
12)Any costs of experts of the DLMS UA providing training or cons ultancy to the
experts of the DLMS China UA or, when requested, to local members, held in China or elwhere wil
l be covered by the DLMS China UA.
DLMS用户协会专家应邀为DLMS中国用户协会专家在中国或其他地方提供的培训和咨询服务所发生的一切费用将由DLMS中国用户协会支付。
