WHEREAS:SellerhasavailableforsaleofGoldDust,hereinaftercollectivelyreferredtoas“Gold”.
doggone 鉴于：卖方能提供黄金的销售，在下文中全部称为：黄金
WHEREAS:BuyerwishestopurchaSeller'sGoldoveranagreedupontimeperiod.
鉴于：买方同意在有效时期内按协议采购卖方的黄金
NOWTHEREFORE:ThePartiesagreetotheTermsandConditionsasfollows:
在此：双方同意以下的合同条款
SCOPEOFTHECONTRACT:合同适用范围：
a)TheSeller,underfullauthorityandresponsibility,declaresthathehasthecapabilityandunrestrictedrighttolltheGoldandguaranteesthatheiscapabletolegallyexporttheGoldDust.
卖方在完全权利和责任下，声明其有能力和自由权利去销售黄金及保证是合法出售。
Sellermustpaythefulloflocaltaxes,duties,insurance,smelting/assay,governmentfees,shippingcostfromlocationofgoldtoloadingairport,shippingcostfromdepartureoforigintobuyerdesignatedairport.
卖方必须全额支付当地税费，关税，保险，检验，政府费用，从当地到机场运费，机场到最终买方目的地机场运费。
Afterthegoldisdeliveredtobuyerdesignatedairport,SellerReprentativeorShippingAgentmustallowthebuyertoeandinspectthewholequantityoftheproductinperson.SellerReprentativeorShippingAgentisnotallowedtoaskforrandomsamplefeeordiplomatfeeorcuritystoragefeeorreleachargeorwarehoufee,etc.Paymentismade100%atagobyswifttransferaftersatisfactoryfinalassayreportforthewholequantityinbuyerlectedrefinery.
当黄金运送到达买方目的地机场，卖方代表人或运输代理必须同意让买方亲自看和检测全部的数量。卖方代表人或运输代理不能收取随机抽样费或者外交费或者安全保管费或者仓库发放费等等，100%的货款必须在买方的精炼厂对全部数量做出最终的满意报告后进行电汇。
b)TheBuyer,underfullcorporateauthorityandresponsibilitydeclaresthatheandhisassociateshavethefullcapabilitytopurchatheun-refinedgoldandsuchpurchawillbeincreadwithoptionsofannualextensions.
买方在完全法人权利和责任下声明其和其合作伙伴完全由能力去采购未提炼的黄金及今后将会增加年度采购量。
AnyexcuofdelayedorpartialpaymentisnotaeptedafterfinalassayandthevalueaeptedbybothBuyerandSeller.

卖方同意按照本协议的现货500KG销售和交货，100KG可以作为一部分交货，如果基于精炼厂每日产能，数量可由买方决定。

b)TheSellerwillpayalltaxes,duties,insurance,etc,inthecountryoforigin.
卖方将在原产国支付全部的税费，关税，保险等
