1. Definitions:定义

“Confidential Information” means non-public, confidential and/or proprietary information disclod by a Party to another Party, including, but not limited to, business, marketing and technical plans, strategies and information, financial information, analys, forecasts, intellectual property and/or the subject matter thereof and information concerning a Party's existing and future products and rvices.

“Disclor” means a Party disclosing Confidential Information pursuant to this Agreement.

“Party” means either SiXtron or the Company.

“Recipient” means a Party receiving Confidential Information pursuant to this Agreement.

2. Disclosure Period: This Agreement pertains to Confidential Information that is disclod by a Party from the Effective Date through one (1) year thereafter, or the termination date of this Agreement if earlier terminated as provided herein (“Disclosure Period”).
披露期限：本保密协议自生效日期起一年内有效，或按本协议规定终止协议的日期早于规定的一年之前，则有效期限截至协议终止日期。（披露期限）
3. U of Confidential Information: Recipient shall have the right to make u of Confidential Information during the Disclosure Period for the sole purpo of evaluating p

4. Confidentiality Period: Recipient shall not disclo, and shall protect against disclosure of, Confidential Information for a period of three (3) years from the date of such disclosure. Either Party may terminate this Agreement at any time without cau upon written notice to the other Party; however, all obligations of confidentiality shall survive termination and expiration of this Agreement. In the event this Agreement is terminated or expires, each Recipient shall promptly return all Confidential Information received from each Disclor, together with all copies, or, if requested by Disclor, certify that all such Confidential Information, together with all copies, has been destroyed.保密期限：接收方应保证自身在收到披露方保密信息后的三年内对保密信息进行保密并采取措施防止他人披露。协议任一方任何时候均可提出终止本协议，且无须事先向另一方签发书面通知，但是，其保密义务必须并不因本协议终止而消失，而应延续至本协议失效之

5. Care of Confidential Information: Recipient shall protect Confidential Information by using the same degree of care to prevent the unauthorized u, dismination or publication of such Confidential Information as Recipient us to protect its own confidential information of a like nature, but no less than a reasonable degree of care. Recipient further agrees that it will not disclo Confidential Information to any person, except to its employees, contractors or agents who need to know such Confidential Information for purpos authorized under this Agreement and who are advid of this Agreement and agree to be bound by this Agreement to the same extent as if they were parties hereto, it being understood that Recipient shall be responsible for any breach of this Agreement by its employees, contractors or agents. 保密信息的保管：接收方应妥善

保管保密信息，杜绝非授权擅自使用、传播或公布保密信息的情况，一如接收方保护自身的保密信息一样，最低限度，接收方也必须尽心尽责的履行保密信息的保管保护责任。另外，接收方还保证：除了那些有必要了解保密信息、用于本协议认可的用途、明了本协议保密要求、同意遵守本协议同等约制的接收方员工、承包商和代理商之外，接收方不会擅自将保密信息披露给其他无关人士。双方确认，接收方必须对其员工、承包商或代理商的违约责任负责。
6. Information That Is Covered: Recipient shall have an obligation to protect only that Confidential Information which (a) when disclod in writing or other tangible form, is labeled or identified as confidential, proprietary or the like, or (b) when disclod orally or visually, is identified as confidential, proprietary or the like when disclod. The Disclor must confirm by written notice to the Receiver within fifteen (15) calendar days of disclosure that Confidential Information disclod orally, visually or in any other non-documentary forms is “Confidential Information”. Copies of Confidential Information shall only be made by Recipient as necessary for the purpos of this Agreement, and any copies made by Recipient of any Confidential Information shall be labeled or identified as
confidential, proprietary or the like and shall be subject to all terms and provisions of this Agreement.
