SALESCONTRACT

经双方确认订立本合同，具体条款如下：

卖方交货的义务以在上述交货日期前天收到买方按

第九条的规定开出的信用证或预付款为条件.如按本合同

条款运输工具由买方选订，卖方将在上述交货日期将货

物备好.

(9)付款条件：凭以卖方为受益人的、100％保兑的、

不可撤销的、无追索权的、可以转运及分批发运的即期

信用证，议付期延至装运日期后第15天在中国到期.买

方在信用证上请填注本合同号码，货物名称要按照本合

同规定.

(10)保险：

按照中国人民保险公司的保险条款，按发票金额的

110％投保但不包括罢工险，保至目的口岸为止.如买方

要增加保额或保险范围，应于装运前经卖方同意，因此

而增加的保险费由买方负责.

(12)包装：所有在本合同项下出售的货物将以卖方

认为适合于第五条规定的运输方式的包装材料包装.如果

对包装有其它要求，买方应征得卖方同意并承担由此而

增加的一切额外费用.

(13)单据：卖方只向买方提供下列单据：

a)海运时，海运提单；空运时，空运提单；铁路运

输时，货物承运收据.

b)商业发票.

c)装箱单.

d)当支付条款为CIF时，保险单或保险凭证.

倘若需要的其它单据，如产地证、领事发票等，卖

方可以根据要求提供，但费用由买方承担.

(14)风险：货物的风险在以下时候转移至买方：

a)海运时在其超过船舷，摘下挂钩时；

b)空运时在其已交空运承运人或代理人保管时：

c)铁路运输时在其已交铁路保管时.

RiskofLoss：Theriskofthecommodityshall

(15)品质／数量异议：如买方提出异议，凡属品质

异议应于货到目的口岸之日起90天内提出，凡属数量异

议应于货到目的口岸之日起15天内提出，过期不予受理.

对所装货物所提任何异议属于保险公司、轮船公司、其

它有关运输机构或邮递机构所负责者，卖方不负任何责

任.理赔只限于卖方在收到买方所在地声誉良好的商检机

构或商会出具的商品抽样检查报告，证明货物与合同不

符后，对品质不符的货物按一比一更换或按照货物的疵

劣程度和损坏的范围将货物降价，对数量不符的货物给

予补足.无论哪种情况下，卖方均不对货物的可销售性或

适用性负责，也不对任何损失赔偿负责，包括但不仅限

于直接的、间接的、附带的损失.如买方不能在合同规定

的期限内将信用证开到或将预付款汇到，或者开来的信

用证不符合会同规定，而且在接到卖方通知后，不能按

期办妥改证，卖方有权撤消或延期交货，并有权提出索

赔.

one-to-onebasisordevaluationofthecommodity

accordingtothedegreetoinferiorityandextentof

damageincaofqualitydiscrepancyorsupplyfor

theshortageincaofquantitydiscrepancyafter

theSellerhasreceivedaninspectionreportonthe

commoditybysamplingissuedbyareputable

commodityinspectionorganizationorchamberof

commerceattheplacewheretheBuyerislocated，

certifyingthenon-conformitythereof．Innoevent

shalltheSellerbeheldliableforthe

merchantabilityorfitnessforanypurpo，nor

shallithaveanyliabilityorresponsibilityfor

damagesofanykindWhatsoever，includingbutnot

limitedtoanydirect，indirectorcollateral

damages，IncatheL／Cortheadvancepayment

doesnotreachthellerwithinthetimestipulated

intheContractordoesnotcorrespondtothe

contracttermsandtheBuyerfailstoamenditsterms

withinthetimelimitafterbeingnotifiedbythe

Seller，theSellerhastherighttocancelthe

contractortodelaythedeliveryofthecommodity

aswellastolodgeclaimsfordamages？

(16)不可抗力：本合同内所述全部或部分货物，如

因不可抗力的原因，以致不能履约或不得不延期交货，

卖方概不负责.

ForceMajeure：TheSellershallnotbeheld

liableforfailuredelaydeliveryoftheentirelot

oraportionofthecommodityunderthisContractin

conquenceofanyforcemajeureincidents.

(17)仲裁：在执行本合同中所发生的或者与合同有

关的一切争执，由双方协商解决.如果协商后仍不能解决

时，得提请仲裁.仲裁在中国进行，由中国国际经济贸易

仲裁委员会，根据该委员会的仲裁程序规则进行仲裁.仲

裁裁决为最终决定，买卖双方都应服从.除仲裁委员会

另有决定外，仲裁费用由败诉一方负担.

Arbitration：Anyoralldisputesarisingfrom

shallbettledthroughnegotiationbyboth
