GeneralPrinciples/总则

THISAGREEMENTdatedthe_____dayof_____ismadeBETWEEN:

havingitsregisteredaddressat_____(hereinaftercalledthe“Principal”);

andFLORISTCOMPANYLIMITED,acompanyincorporatedunderthelawsof

_____,andhavingitsregisteredofficeat_____(hereinaftercalledthe

“GeneralAgent”).

公司，注册地址在_____（此后称为“委托人”）；和FLORIST有限公司，一个在____法

WHEREAS:

ThePincipalisdesirousofacquiringfromCAN-ADVANCECO.,LTD.,

(hereinaftercalledthe“Seller”)theIFTtechnology(hereinaftercalledthe“IFT

Technology”).

ThePrincipalandtheGeneralAgenthaveagreedthattheGeneralAgentshall

beappointedasthePrincipal’ssoleexclusiveAgenttonegotiate,onbehalfof

thePrincipal,withtheSellerthepriceandothertermsandconditionsfor,and

allothermattersconnectedwith,theacquisitionofthetechnologybythe

Principal,subjecttothetermsandupontheconditionshereinaftertforth.

NOWITISHEREBYAGREEDasfollows:

而

委托人想要从CAN-ADVANCE有限公司（此后称为“卖方”）那里获得IFT技术（此后称

为“IFT技术”）。委托人和总代理已经同意总代理将被任命为委托人的独家代理，代表委

托人，来和卖方协商价格和其它条款，及其它委托人在获得技术方面的事宜，以以下所约

定的条款为准。

现在双方约定如下：

Article2/第2章

Definitions/定义

2.1InthisAgreement,thefollowingwordsorexpressionsshallhavethe

meaningsgiventothemrespectivelybelow:

在此协议中，以下词汇或短语应分别有以下的意义：

“Commission”meansthecommissionpayablebythePrincipaltotheGeneral

AgentpursuanttoArticle6.1subjecttothetermsandconditionsofthis

Agreeemnt.

“佣金”意思是根据此协议的第6.1章，委托人给总代理所支付的佣金。

“LicenceAgreement”meanstheTechnologyTransferorLicenceAgreementto

beenteredintobetweenthePrincipalandtheSeller,togetherwithall

addenda,amendmentsandsupplementsmadetheretofromtimetotimeand

atanytime,ttingoutthePriceandothertermsandconditionsforthesale

andtransferbytheSelleroftheTechnologyto,andtheacquisitionofthe

sameby,thePrincipal.

“许可协议”意思是在委托人和卖方之间所达成的技术转让或许可协议，包括为了设定销售

价格和其它条款，和卖方的技术转让，和由委托人获得同样的技术所进行的不时的、在任

何时候所有的补遗，补充和增加。

“Piece”meanstheaggregateamountofthepurchapricepayablebythe

PrincipaltotheSellerfortheacquisitionoftheTechnology,whichamount

shallalsoincludealllicencefeesandroyaltiesandotherpaymentsof

whatsoevernaturepayabletotheSellerbythePrincipalinconsiderationofor

inconnectionwiththetransferoftheTechnologytothePrincipal.

“价格”意味着委托人为获得技术所付给卖方的总的购买价格，此价格还应包括所有委托方

考虑到或和转让给委托方的技术有关的的所有许可费用和版税以及其它性质的付给卖方的

费用。

2.2Clauheadingsareinrtedforconvenienceofreferenceonlyandshall

beignoredintheinterpretationofthisAgreement.

条款的标题的插入只是为了参考需要，在解释此协议时应被忽略。

Article3/第3章

GeneralAgency/总代理

3.1ThePrincipalherebyappointstheGeneralAgent,andtheGeneralAgent

herebyacceptsappointment,asthePrincipal’ssoleexclusiveGeneralAgent

tonegotiate,onbehalfofthePrincipal,withtheSeller,thePriceandallother

termsandconditionsoftheLicenceAgreementandotherwitoact

generalllyonbehalfofthePrincipalinallrespectsrelatingto,andtoattendto

allmaterswhatsoeverconnectedwith,theacquistiionoftheTechnologyby

thePrincipal.

委托方在此任命总代理，并且总代理在此接受任命，作为委托方的独家总代理，代表

委托方和卖方进行许可协议的价格和所有其它条款的谈判，并且也总体作为委托方在所有

委托方所要获得的技术方面处理和关注所有的有关事宜。

3.2ThePrincipalshallnot,duringtheperiodofthisagreement,appointany

otherpersonorpersonsasAgentofthePrincipaltonegotiatethePriceorthe

termsandconditionsoftheLicenceAgreementorotherwitoactinany

respectonbehalfofthePrincipalrelatingto,ortoattendtoanymatter

whatsoeverconnectedwith,theacquisitionoftheTechnologybythePrincipal.

委托方在此协议期间，不得任命任何其它人或人们作为委托方的代理来代表委托方协

商有关许可协议的条款或以任何方式来关注和委托方获得技术的任何事宜有关的事情。

3.3TheappointmentoftheGeneralAgenthereunderasthesoleexclusive

AgentofthePrincipalforthenegotiationoftheLicenceAgreeementandthe

acquisitionbythePrincipaloftheTechnologyshallbedeemed,forall

purpos,tohavebecomeeffectiveasfromthedateofthisAgreement,and

shallremaineffectiveuntilthedatewhenthePriceandallothertermsand

conditionsfortheacquisitionoftheTechnologybythePrincipalfromthe

Sellerhavebeenagreedandsatisfactorilyconcluded,andLicenceAgreement

executedanddeliveryconcluded,andLicenceAgreementexecutedand

deliveredbyallrelevantPartiesthereto,andtheCommissionpaidtoand

receivedbytheGeneralAgent.

此下任命总代理作为委托方为获得技术的独家代理来协商许可协议，应被认为从此协

议今日起生效，并应一直生效到委托方所获技术的价格和所有其它条款得到卖方同意并满

意地完成，许可协议执行并完成装运，并且许可协议由所有相关方面执行和装运，佣金付

给并由总代理接受为止。

3.4TheappointmentbythePrincipaloftheGeneralAgentasthePrincipal’s

soleexclusiveAgentforthenegotiationoftheLicenceAgreeementand

acquisitionbythePrincipaloftheTechnologyshallinnowayconstitute,orbe

deemedtoconstitute,apartnershipbetweenthePartiesheretooraGeneral

Agencyotherthanforthepurposstatedherein.

委托方对总代理作为委托方独家代理来协商许可协议和委托方获得技术的任命并不意

味着构成，或被认为构成，在此各方之间或除了在此所叙述的目的的总代理之间形成了伙

伴关系。

Article4/第4章

DutiesoftheGeneralAgent/总代理的职责

4.1DuringthecontinuanceofthisAgreementoftheGeneralAgentshall:

在此协议持续时期，总代理应做到：

(1)uitsbestendeavorstonegotiateforandobtainfromtheSellerthebest

availablePriceandthemostfavorabletermsandconditionsforthetrasnferto

andacquisitionbythePrincipaloftheTechnology,andtoconcludetheterms

andconditionsoftheLicenceAgreementassoonaspracticable;

尽其最大努力来协商并从卖方那里为委托方获得此技术转让得到最有利的条款，并且

尽快地完成许可协议的条款。

(2)intheeventofanydisagreement,differenceordeadlockarisingbetween

theGeneralAgentandtheSellerinthecourofnegotiationsforthetransfer

andacquisitionoftheTechnology,promptlysupplytothePrincipaldetailsof

suchdisagreement,differenceordeadlock,andconsultwiththePrincipal

regardingthesame;

假如在总代理和卖方之间在协商技术的转让和获得产生了任何异议，区别或僵局，应

尽快向委托方通报此异议，区别或僵局的细节，并就此和委托方协商；

(3)generallydoallsuchotheractsasmaybeinthebestinterestsofthe

PrincipalandconductivetotheconclusionoftheLicenceAgreementandthe

acquisitionbythePrincipaloftheTechnology.

总体来说做其它类似的事宜来最大满足委托方的利益并有助于许可协议的达成和委托

方对技术转让的获得。

4.2DuringthecontinuanceofthisAgreement,theGeneralAgentshallnot

withouttheexpresspriorwrittenconntofthePrincipal:

在此协议执行期间，在没有提前得到委托方的明确的书面同意之前，总代理不得：

(1)describeitlforholditlfoutasGeneralAgentforthePrincipalexcept

inrespectoforinconnectionwiththepurposandmattersforwhichthe

AgentisappointedthesoleexclusiveAgentofthePrincipalhereunder;or

除了和委托方所代理的目的和事宜有关的独家代理的事宜之外，不得把自己描述成或

作为委托方的总代理；或者

(2)makeanyadmissionorttleanyclaimbyoragainstthePrincipal,or

pledgethecreditofthePrincipal,orgiveanywarrantyormakeany

reprentationonbehalfofthePrincipal,orcommitthePrincipaltoany

obligationorliabilityofanykind;or

为了或反对委托方作出任何承诺或解决任何争议，或承诺委托方的信用，或代表委托

方给予任何保证或作任何介绍，或使委托方肩负任何责任或职责；或者

(3)agreewiththeSellerthePriceandanyofthetermsandconditionsforthe

transferandacquisitionoftheTechnology;or

同意卖方对于技术转让和获得的价格和任何条款；或者

(4)uforitsownpurposordivulgeorcommunicatetoanypersonany

confidentialorotherinformationwhichtheAgentmayhowsoeverobtainin

relationtothebusinessorotheraffairsofthePrincipal.

为了自身目的或泄露或向其它任何人传递任何和代理可能从业务中或委托方那里所获

得的任何秘密或其它信息；

DuitiesofthePrincipal/委托方责任

5.1ThePrincipalshall,ifandwheneverrequestedbytheGeneralAgent,

promptlygiveinstructionstotheGeneralAgentregardingthePriceandother

termsandconditionstobeagreedbetweentheGeneralAgent,onbehalfof

thePrincipal,withtheSeller,ortobeincludedintheLicenceAgreement,or

otherwiregardinganyothermatterconcerningthetransferofthe

TechnologytothePrincipal.

委托方如果和无论何时应总代理要求，快速给总代理以指示，关于总代理代表委托方

和卖方达成的关于价格和其它条款，或者在许可协议中包括的，或者关于任何其它牵涉到

给委托方的技术转让的事宜。

5.2ThePrincipalshallfurnishtheGeneralAgentwithallinformation

concerningthebusinessandotheraffairsofthePrincipal,whichmay

reasonablyberequiredbytheGeneralAgentfromtimetotime,forthe

purpoofnegotiatingandconcludingwiththeSellerthetermsand

conditionsforthetransferandacquisitionoftheTechnology.

委托方应给总代理提供关于委托方的商务和其它事宜的所有信息。此信息也许总代理

不时地合理需要，为了和卖方谈判和达成交易的转让和获得信息的有关条款。

Article6/第6章

Commission/佣金

总代理协议(中英文对照)

6.1ThePrincipalherebyagreestopaytotheGeneralAgentaCommission

equalto_____percent(_____%)ofthePrice,whichCommissionistobe

paidtotheGeneralAgentinUnitedStatesDolloarsonthedateofexecution

oftheLicenceAgreement.

委托方在此同意付给总代理相当于价格的_____百分比（_____%）的佣金，佣金

将在执行此许可协议的日期以美金支付。

6.2ThePartiesheretoherebyagreethat,notwithstandinganythingtothe

contraryhereincontained,theobligationonthePartofthePrincipaltopay

theCommissioninaccordancewiththisArticle6.1shallari,andtherightof

theGeneralAgenttoreceivetheCommissioninaccordancewiththisArticle

6.1shallaccrue,assoonastheLicenceAgreeementixecutedbythe

relevantPartiesthereto,orassoonasthepriceandallothertermsand

conditionsforthetransferoftheTechnologybytheSellertothePrincipal

havebeenagreedbetweentheSellerandthePrincipal.

在此双方同意，一旦许可协议由相应方执行，或者一旦卖方和委托方之间已经达成了

卖方向委托方的技术转让的价格和所有其它条款，根据6.1章，委托方的佣金支付责任业

已形成，而根据6.1章，总代理接受佣金的权利也已形成。

Article7/第7章

Termination/终止

7.1ThePrincipalshallbeentitledtoterminateforthwiththeappointmentof

theGeneralAgentunderthisAgreement,bygivingnoticeinwiritingtothe

GeneralAgent,ifanyofthefollowingeventorcircumstancesoccurs:

如果有以下事件或情况发生的话，委托方将以书面形式通知总代理，有权终止在此协

议下与总代理的约定：

TheGeneralAgentfailstoperformorobrveanyofitsdutiesor

obligationsunderthisAgreementandsuchnon-performanceornon-

fulfillmentisnotrectifiedwithinaperiodofthirty(30)daysafterreceiptby

theGenerallAgentofthenoticefromthePrincipal,notifyingtheGeneral

Agentofsuchnon-performanceornon-fulfillment.

总代理没有能够执行或遵守在此协议下的任何其它职责或责任，并且此不执行或不作

为在收到委托方给总代理的通知后30天内依然没有得到纠正，来通知总代理此不执行或

不作为。

7.2TheexpirationorterminationoftheGeneralAgent’sappointmentunder

thisAgreementforwhateverreasonshallbewithoutprejedicetoanypre-

existingrightsandobligationsofeitherPartyhereunder.

无论什么理由，此协议下总代理的约定的到期或终止应对以下的任何一方的以前存在

的权利和责任都没有偏见。

7.3UponexpirationorterminationoftheAgent’sappointmenthereunderfor

whatevercau:

无论什么原因，在代理的约定到期或终止时：

(1)theGeneralAgentshallimmediatelyreturntothePrincipalallnotes,

memoranda,recordsorotherdocumentsheldintheposssionofthe

GeneralAgentrelatingtothebusinessofthePrincipal.

总代理应立刻归还给委托方所有总代理持有的，和委托方业务有关的笔记，备忘录，

记录或其它文件。

(2)thePrincipalshallpaytheCommissiontotheGeneralAgent(if

Commissionhasalreadyaccruedbutnotyetpaidinaccordancewithand

undertheprovisionsofArticle6.1)withinfive(5)daysafterthetermination

oftheGeneralAgent’sappointmentunderthisAgreement.

委托方应此协议下总代理的约定终止后的五（5）天之内，支付给总代理佣金（根据

6.1章条款，如果佣金已经确认但未支付的情况下）。

7.4NotwithstandingtheexpirationorterminationoftheGeneralAgent’s

appointmentunderthisAgreementforwhatevercau,anytermsor

provisionofthisAgreementwhichiscapableofbeingperformedorobrved

afterthedateofsuchexpirationorterminationoftheGeneralAgent’s

appointmentunderthisAgreementshallsurvivethesameandshallcontinue

tobebindingonthePartiesheretoandremaininfullforceandeffect.

无论什么原因，尽管在此协议下对总代理的任命已到期或终止，在此协议下总代理的

任命到期或终止之后，任何协议下的能够执行或遵守的条款或条件，应依然存在，并将对

双方均有约束力且完全有效。

Article8/第8章

Sub-AgencyorAssignment/分代理或任务

8.1TheGeneralAgentshallnot,withouttheexpresspriorwrittenconntof

thePrincipal,assignortransferanyofitsobligationsorduiteshereunderand

r,iftheprincipalapprovesthe

appointmentofsub-agentsbytheGeneralAgent,anysuchappointmentofa

sub-agentshallnotrelievetheGeneralAgentofanyofitsobligationsand

dutieshereunder.

在没有委托方的明确书面同意之前，总代理不应把分配或转让在此项下的责任或职责

并不应任命分代理。然而，如果委托方批准总代理对分代理的任命，任何对分代理的任命

不应解除总代理的以下的任何责任和职责。

8.2ThePrincipalshallnotassignortransferanyofitsrights,obligationsor

liabilitieshereunderwithouttheexpresspriorwirttenconntoftheGeneral

Agent.

在没有总代理的明确书面通知下，委托方不应布置或转让其以下的任何权利，责任或

法律责任。

8.3ThisAgreementshallbebindingupon,andensuretothebenefitof,the

PrincipalandtheGeneralAgent,andtheirrepctivesuccessors.

此协议应对委托方和总代理，和它们的相应继任者均有约束力并保证其利益。

Amendments/修改

ThisAgreementcontianstheentireagreementandunderstandingbetween

thePrincipalandtheGeneralAgentrelatingtotheacquisitionofthe

TechnologybythePrincipal,andsuperdesallpreviousagreementsor

arrangementsbetweenthePrincipalandtheGeneralAgentrelatingtothe

acquisitionoftheTechnologybytheP:rincipalwhichshallhenceforthcea

amendedormodifiedexceptbywritteninstrumentsignedbyeachofthe

Partieshereto.

此协议包含关于委托方对技术的获取在委托方和总代理之间的整个协议和理解，并取代所

有先前的在委托方和总代理之间的关于委托方对技术的获取的应在此签署日停止和终止的

协议或安排。除非有任何一方所签署的书面文件，此协议不得补充或修改。

Article10/第10章

GoverningLaw/适用法律

Itisunderstoodthatalltheprovisionshereofareinaccordancewithrelevant

laws,decreesandregualtionsof__________existingatthetimeofthe

r,ifamaterialchangeoccurstoeitherPrincipalorGeneral

Agent’conomicbenefitsaftertheeffectivedatehereofduetothe

promulgationofnewlaws,rulesandregulationsoranyamendmenttothe

applicablelaws,rulesandregulationsmadebythe__________,thePrincipal

andGeneralAgnetshallconsultpromptlyandmakenecessaryamendments

oradjustmentstothearticlesconcernedhereininordertomaintainthe

Parties’normaleconomicbenefitshereunder.

双方理解，在签署之日，在此所有条款都基于__________的相关法律，法令和法则。然

而，在有效之日后，由于颁布了新的法律，规则和规定或由___________对适用法律，

规则和规定进行了修补，而造成对委托方或总代理的经济利益有了实际变化，委托方和总

代理应快速协商，为了保持双方的正常经济利益对所牵涉的条款进行必要的修补或调整。

DisputeResolution/争议解决

11.1Alldisputesarisingfromtheimplementationforrelatedhereto

preferablyshallbettledthroughfriendlyconsultationbetweenthePrincipal

andGeneralAgent.

所有由于执行此协议所造成的争议应最好通过友好协商在委托方和总代理之间解决。

11.2Ifconsultationfailstottlethedisputes,mediationmaybeheldat

_____.Alldisputesshallbefinallyttledbyarbitrationat________in

accrodancewithitsrulesofInternationalArbitration.

如果解决争议的协商失败，可以在_____进行调解。所有的争议应在_____根据其

国际仲裁规则由仲裁最终解决。

11.3Whenanydisputeoccursandwhensuchdipsuteisunderarbitration,

exceptforthepartunderdisputethatissubjecttoarbitration,thePrincipal

andGneneralAgentmustcontinuetoexercitheirrespectiverightsand

performtheirrespectiveobligationsinaccordancewiththeprovisionhereof.

当任何争议出现，并且此争议在仲裁之下，除了争议的部分需要仲裁，委托方和总代

理应该继续享有其在此项下的各自权利并履行各自的职责。

11.4ThearbitrationawardshallbefinalandbindingonthePrincipaland

tofarbitration(excludingthefeesfortherespective

appointmentoflawyersbyeitheroftheParties)shallbebornebythelosing

Partyorinaccordancewiththerulingofthearbitrator(s).

仲裁结果对委托方和总代理应是终局并有约束力的。仲裁的费用（除了任何一方所任

命的各自的律师的费用）应由败诉方承当或根据仲裁者的判决。

Article13/第13章

Notices/通知

13.1Everynotice,request,orothercommunicationunderthisAgreement

shallbeinwriting,butmaybegivenormadebyletter,telegram.

此协议下的每个通知，请求或其它通讯应由书面形式进行，但可以由信件，电报发送

或进行。

13.2Everynotice,request,orothercommunicationshallbent,intheca

ofaletter,telegram,totheotherPartyatitsaddresshereinbeforestated,or

suchotheraddresssasthatPartymayhavepreviouslynotifiedtheother.

在信件，电报的形式下，每件通知，请求或其它函电应根据此前叙述的地址发给另一

方，或根据一方可能已事先通知的地址发送。

INWITNESSWHEREOFthePartiesheretohaveexecutedthisAgreementthe

dayandyearfirstabovewritten.

作为见证人，双方在上述日期年月日执行此协议。
