2、PartyBlawfullyholds100%oftheequityandinterestsof

PartyC.

3、PartyCisacompanyincorporatedandvalidlyexistingunder

thelawofthePRC.

4、Uponthetermsandsubjecttotheconditionscontainedin

thisAgreement,PartyBandPartyCdesirestoobtainexclusive

managementandconsultingrvicesincludingclientmanagement,

marketingpromotioncounling,corporatemanagementand

counling,financecounlingandpersonneltrainingfromPartyA

andPartyAdesirestoperformsuchrvicesforPartyBandPartyC.

5、PartyAagreeaxclusivemanagementandadvisory

rvicestoprovidervicesforPartyC.

6、InaccordancewiththeCompanyLawandContractLawof

People’sRepublicofChina,andtherelevantlawsandregulations

inforceinPeople’tieshaveagreedto

executethisAgreementwithprovisionsasfollow:
