ThisisanAgreementbetweenAAAU.S.A.,Inc.(the

Company)andBBB(theExecutive).

WHEREAS,theExecutiveintendstoresignfromtheCompany;

and,

WHEREAS,theCompanyandtheExecutiveintendthetermsand

conditionsofthisAgreementtogovernallissuesrelatedtothe

ExecutivemploymentandresignationfromtheCompany;and,

WHEREAS,theExecutiveacknowledgesthathehasbeengivena

reasonableperiodoftime,uptoandincludingtwenty-one(21)days,

toconsiderthetermsofthisAgreement;and,

WHEREAS,theCompanyadvidtheExecutiveinwritingto

consultwithalawyerbeforesigningthisAgreement;and,

WHEREAS,theExecutivehasreprentedandherebyreaffirms

thathehasdisclodtotheCompanyanyinformationinhis

posssionconcerninganyconductinvolvingtheCompanyorits

affiliatesthathehasanyreasontobelieveinvolvesanyfalclaims

totheUnitedStatesorisormaybeunlawfulorviolatesCompany

policyinanymaterialrespect;and,

WHEREAS,theExecutiveacknowledgesthattheconsideration

providedhimunderthisAgreementissufficienttosupportthe

releasprovidedbyhimunderthisAgreement;and,

WHEREAS,theExecutivereprentsthathehasnotfiledany

charges,claimsorlawsuitsagainsttheCompanyinvolvingany

aspectofhimploymentwhichhavenotbeenterminatedasofthe

dateofthisAgreement;and,

WHEREAS,theExecutiveunderstandsthattheCompanyregards

thereprentationsbyhimasmaterialandthattheCompanyis

relyingonthereprentationsinenteringintothisAgreement,

NOW,THEREFORE,theCompanyandtheExecutiveagreeas

(a)Theforegoingreleaincludes,butisnotlimitedto,anyclaim

ofdiscriminationonthebasisofrace,x,religion,maritalstatus,

xualorientation,nationalorigin,handicapordisability,age,

veteranstatus,specialdisabledveteranstatus,orcitizenshipstatus;

anyotherclaimbadonastatutoryprohibition;anyclaimarising

outoforrelatedtoanexpressorimpliedemploymentcontract,any

othercontractaffectingtermsandconditionsofemployment,ora

covenantofgoodfaithandfairdealing.

(b)TheExecutivereprentsthatheunderstandstheforegoing

relea,thatrightsandclaimsundertheAgeDiscriminationin

EmploymentActof1967,asamended,areamongtherightsand

claimsagainsttheCompanyheisreleasing,andthatheunderstands

thatheisnotprentlyreleasinganyrightsorclaimsarisingafterthe

EffectiveDate.

(c)TheExecutivefurtheragreesnevertosuetheCompanyor

cautheCompanytobesuedregardinganymatterwithinthescope

xecutiveviolatesthisreleabysuing

theCompanyorcausingtheCompanytobesued,theCompanymay

recoveralldamagesasallowedbylaw,includingallcostsand

expensofdefendingagainstthesuitincurredbytheCompanyand

reasonableattorneysfees.

TheCompanyreleas,waives,anddischargesExecutivefrom

eachandeveryclaim,actionorrightofanysort,arisingonorbefore

theEffectiveDateandbaduponfactsprentlyknowntothe

ExecutiveVicePresident,HumanResources.

cutiveacknowledgesthat,in

connectionwithhimploymentattheCompany,heobtained

knowledgeaboutconfidentialandproprietaryinformation,ortrade

cretsoftheCompany,includingbutnotlimitedtolistsof

customersandvendors,technicalinformationaboutCompany

products,strategicplansofcompanybusinessandprice

information(hereinaftertheInformation).Executiveagrees,either

priortoorfollowingtheEffectiveDate,nottou,publishor

otherwidiscloanyInformationtoothers,includingbutnot

theExecutivehasanyquestionregardingwhatdataorinformation

wouldbeconsideredbytheCompanytobeinformationsubjectto

thisprovision,theExecutiveagreestocontacttheExecutiveVice

President,HumanResourcesforwrittenclarification.

-CompetitionandNon-Solicitation.

(a)TheExecutiveagreesthathewillnot,priorto

contractualrelationship,eitherdirectlyorindirectly,toprovide

rvicestoanycompanyorentityengagedinanywayinabusiness

thatcompetesdirectlyorindirectlywiththeCompanywithoutthe

followingentitiesandeachoftheirsubsidiariesaffiliates,assigns,or

successorsininterest:CCC,Inc.(including,butnotlimitedto,DDD

andEEE);FFF,Inc.(including,butnotlimitedto,GGG,HHH,and

III);JJJ,Inc.;KKK;LLL(including,butnotlimitedto,MMM

Company);NNN;OOO,Inc;andPPP,Inc.

(b)Totheextentthatanyrelationshiporemploymentpriorto

_________(M,D,Y)iscoveredbytheabovenon-competeprovision,

ExecutiveagreestorequestpermissionfromtheExecutiveVice

President,HumanResourcesoftheCompanypriortoenteringany

panymayapproveornot

approveoftherelationshiporemploymentatitsabsolutediscretion.

notlimitedtothemedia,publicinterestgroupsandpublishing

companies,itwillbeconsideredamaterialbreachofthetermsof

thisAgreementandtheExecutivewillberequiredtoreimburthe

Companyforanyandallcompensationandbenefitspaidunderthe

termsofthisAgreementandallcommitmentstomakeadditional

paymentstotheExecutivewillbenullandvoid.

Agreement,andtheremainingtermsoftheAgreementandits

enforceabilityshallremainunaffected.

andshallnotdisclothemtoanypersonotherthantheExecutives

spou,theExecutiveslegalorfinancialadvisor,orU.S.

governmentalofficialswhoeksuchinformationinthecourof

theirofficialduties,sonnot

apartytothisAgreementrequestsordemands,bysubpoenaor

otherwi,thattheExecutivediscloorproducethisAgreementor

anytermsorconditionsthereof,theExecutiveshallimmediately

notifytheCompanyandshallgivetheCompanyanopportunityto

respondtosuchnoticebeforetakinganyactionormakingany

decisioninconnectionwithsuchrequestorsubpoena.
