2.1Inperiodofcreditawarding,PartyAshallhavetherighttoprovide
PartyB(orCreditApplicant)loanorothercreditawardingbyveraltimes;
PartyB(orCreditApplicant)shallhavetherighttoreutherevolvinglineof
creditbycategoryofline,
amount,durationandconcreteusofperloanorothercreditawardingcan
bestipulatedbyspecificcontracts.
Bothpartieshavenoobjectiontothatduedateofspecificbusinesslater
thantheduedateofcreditawardingperiod.
2.2ThusPartyBshallbearthewarrantyliabilitywithinthestipulatedrange
ofmortgagecurityguaranteeinarticle3ofthiscontract;IfPartyAclaimsfor
therecourinaccordingwiththeprovisionsunderCreditAwarding
(or
CreditApplicant)shallbearthewarrantyliabilitywithmortgagepropertyas
well.
2.3BankcreditbusinessprovidedbyPartyAtoPartyB(orCredit
Applicant)duringtheperiodofcreditawarding,suchastradeacceptance,
establishmentofaletterofcredit(Includingoverridingletterofcredit,thesame
below),L/G,letterofshippingguaranteeetc..Eventhoughexternaladvances
ofPartyAmaynotoccurredbefore,butindeedhappenedafterthematurityof
shallbearthewarrantyliabilitywithinthestipulatedrangeof
mortgagecurityguaranteeinArticle3ofthiscontract.
2.4Fortherenewalagreementoralterationofvalidprovisionuponthe
duration,interestandamountofspecificbusinessduringtheperformanceof
specificbusinessunderCreditAwardingAgreement,ortheadjustmentof
interestrateonthebasisofCreditAwardingAgreementand/orspecific
shallacceptallthis
withnonecessarytoobtaintheapprovalofPartyBornotifyPartB,andno
effecttothemortgageguaranteeresponsibilityofPartyBstipulatedbythe
contractaswell.
2.5IfPartyA’sreceiveddocumentsinletterofcreditoperationundercredit
awardingagreementbefoundtohavediscrepancythroughPartyA’saudit,
butcreditapplicantacceptedwiththediscrepancy,PartyBshallalsoassume
themortgageguaranteeresponsibilitywithmortgagepropertyforprincipleand
interestofcreditinPartyA’shallnot
propothedefen,notbecauofacceptingwiththediscrepancybut
withouttheapprovalofPartyBornotifyPartyB.
2.6ThemodificationofL/C,L/G(orstandbyletterofcredit),acceptanceof
usanceletterofcreditandextensionoftimeforpromidpaymentatmaturity
shallacceptallthiswithnonecessarytoobtaintheapprovalof
PartyBornotifyPartB,andnoeffecttothemortgageguaranteeresponsibility
ofPartyBstipulatedbythecontractaswell.
Art.3RangeofMortgageSecurityGuarantee
3.1Thecurityguaranteerangeofthiscontractissumofloanwithinthe
lineofcreditprovidedtoPartyBaccordingtostipulationofCreditAwarding
Agreementandprincipalbalanceofothercredit(maximumlimitis
(currency)intheamountof).Andinterest,defaultinterest,compound
interest,penalty,feestorealizemortgagerightandotherinvolvedexpens
ingbutnotlimitedto:
3.1.1Thereleadbalanceofloanamountandcorrespondinginterest,
defaultinterest,compoundinterest,penalty,feestorealizemortgagerightand
otherinvolvedexpensbyPartyAonthebasisofspecificcontractsunder
CreditAwardingAgreement;
3.1.2Thebalanceofadvanceprinciple,interest,defaultinterest,
compoundinterest,penalty,feestorealizemortgagerightandotherinvolved
expens,whichhasbeenpayadvancedforPartyBinthecauofthe
performanceofPartyA’sobligationofpaymentofCommercialDraft,L/C,L/G
andletterofshippingguaranteeunderCreditAwardingAgreement;
3.1.3Thebalanceofprincipleofbankingexternalpayments,interest,
defaultinterest,compoundinterest,penalty,feestorealizemortgagerightand
otherinvolvedexpenntrustedbyPartyAwithinthebusinessoftrade
financingunderCreditAwardingAgreement;
3.1.4PartyA’saccountreceivablecreditor'srightstransferredfromPartB
(orCreditApplicant),andcorrespondingoverduepenalty(latefee)under
/orthebasicpaymentforpurcha(basicpurchasing
funds)andrelevantexpensoffactoringpaidbyPartyAtoPartyB(orCredit
Applicant);
3.1.5Aftertheestablishmentofaletterofcreditinterestrequestedby
PartyB(orCreditApplicant),PartyAauthorizesthebranchofCMBbankto
openthecoveringL/eofdebtprincipleofimportbill
advanceandshippingguaranteeandexpensofdefaultinterest,compound
interest,penaltyandotherinvolvedfortheopeningofL/C,butalsoadvancefor
theperformanceoftheissuingbank’srightsunderthisL/C;

3.1.8ExpensfortheenforcementofPartyA’srightofmortgageand
recoveryofthePartyB’s(orCreditApplicant)debt(includingbutnolimitedto
attorneys'fees,legalfees,advertisingfees,deliveryfeeandtravelexpens
etc.).
3.2Asforrevolvinglineofcredit,iftheprovidedloanorotherbalanceof
creditexceedstheamount,PartyB(orCreditApplicant)shallnotbearthe
warrantyliabilityforthepartinexcessoftheamount,butliabilityfortheloan
notyetexceedscreditamountorotherbalanceofcreditandinterest,default
interest,compoundinterest,penaltyandotherinvolvedexpens.
Notwithstandingtheforegoing,bothpartiesclearanddefinitethat:
Eventhoughtheloanorotherbalanceofcreditexceedsthecredit
amountatapointintimeduringthecreditawarding,butallkindsof
balanceofcreditnoyetexceedthesumofcreditamountwhenPartyA
shallnotto
propothedefenwithaforesaidprovisions,butbearthewarranty
liabilityforallbalanceofcreditandinterest,defaultinterest,compound
interest,penaltyandotherrelevantexpentc.(subjecttotheclau
ofArt.3.1)
Art.4IndependenceoftheContract
Thecontractisimpendentandunconditionalwithouttheinfluenceof
CreditAwardingAgreement;noranyagreement/documentsigned
betweenPartyB(orCreditApplicant)andanyperson/organization;nor
changeduetocheat,reorganization,closingdown,dismission,
bankruptcy,audit,consolidation,paration,reformofacompanyof
PartyB(orCreditApplicant);northetolerance,graceorpostponementin
performanceofthecreditor’srightsandinterestsPartyAshallenjoyon
thepartofPartyB(orCreditApplicant)underCreditAwarding
imortgageorguarantoratthesametime,thus
PartyAwaivesthequenceofmortgages,waives,altersorannuls
othermortgage,alters,annulstheliabilityofguarantor,orPartyA
shall
assumetheliabilitywarrantyforPartyAinaccordingwiththeprovisions
ofthismortgagecontract.
Art.5MortgagePeriod
Mortgageperiodmeanstheperiodfromthedateofexecutionofthis
contracttoexpirationtimeoflawsuitofcreditdebtunderCreditAwarding
Agreement.
Art.6Custodyandliabilityofmortgagedpropertyandownershipcertificate
6.1Withintheperiodofmortgage,themortgagedpropertyshallbetaken
goodcareofbyPartyBortheagententrustedbyPartyB,whoisresponsible
fortherepairandmaintenance,andmakesurethatthemortgagedpropertyis
allprervedwell,andsubjecthimlftothesupervisionandinspectionfrom
PartyBatanytime.
6.2Withintheperiodofmortgage,shouldanydecreashappenowingto
theactionofPartyB,PartyAhastherighttorequestPartyBtostoptheaction
andrestorethevalueorprovideanothermortgagedpropertywiththeapproval
ensofrestorationortofanothermortgagedproperty
willbeundertakenbypartyB.
6.3PartyBshallprovidetoPartyAtheevidencedocumentsandrelevant
materialsofownershipofthemortgagedpropertyonthedateofthecontract,
andtheoriginalofMortgageRegistrationCertificateshallbekeptbyPartyB
oimproperstoragethecertificateof
mortgagedpropertyownershipsuppliedbyPartyBislost,PartyAshallbe
liablefortheexpensofpost-register.
Art.7RegistrationofMortgagedProperty
7.1PartyBshouldcooperatereadilywithPartyAtoconductmortgage
registrationatmortgageregistrationadministrationwiththiscontractand
relevantdocumentsduringtheperiodofrequestofPartyA.
7.2PartyBshallcorporatereadilywithPartyAIngoodfaithtocarryout
tocompletetherelevant
proceduresbecauofPartyB,PartyBshalldealwithpartyAsosuffered
lossassumeliabilitytopaycompensation.
Art.8Insurance
8.1AspertherequestedrisksofPartyA,PartyBshallgiveafullinsurance
uponhismortgagedproperty,
urancetermshall
belongerthanthestipulatedcredittermundertheCreditAwardingAgreement.
Iftermofcreditundertheagreementixtendedorcreditdebthasnotpaidoff
atthematurityofcreditperiod,PartyBshallagreeontherenewalinsurance
nsuredpropertyturnsintoaloss,PartyA
shallhavepriorityrightinwithdrawingtheprincipalandinterestandallother
relevantexpensfrominsurancecompensationunderCreditAwarding
Agreement,orconsultwithPartyBtoplacetheinsurancecompensationon
themarginaccount(theaccountnumberofmarginistherealopenedaccount
byPartyBinPartyA,orautomaticallygeneratednumberwhendepositthe
insurancecompensationintosystemofPartyA,thesamebelow).For

acceptancebillorL/CandL/GunderCreditAwardingAgreementmeettothe
maturitydate.
8.2IfPartyBfailstoconductaninsuranceorinsurancetermextendingas
art.8.1stipulated,PartyAshallhavetherighttodealwithinsuranceterm
extendinginsteadPartyB,andthecostshallbetakenonbypartyB.
8.3IfPartyB(orCreditApplicant)failstorepayalltheloanpayableunder
CreditAwardingAgreementaxpirationofpolicy,PartyBshallconduct
yBfailstoconduct
this,PartyAshallhavetherighttodealwithinsurancetermextendinginstead
PartyB,andthecostshallbetakenonbypartyB.
Art.9LimitsofDispositionofMortgagedProperty
9.1PartyAshallhavenorighttotransferthemortgagedpropertyinthe
mannerofsale,exchange,mortgagetermunderthis
yBindeedneedstotransferthemortgagedpropertyunderthis
contractwithcompensation,itshallfulfillthefollowingconditions:
9.1.1ShallthroughthewrittenapprovalofPartyAandinformthe
transfereethatthetransferredpropertyismortgaged;ifPartyBfailstoinform
thetransfereeofthefactorwithoutthewrittenapprovalofPartyA,thetransfer
shallbenullandvoid.
9.1.2Iftheproceedxpectedfromthetransferofthemortgagedproperty
areevidentlylessthanitsvalue,whichcannotcompensateforcreditamount
andallotherrelevantexpens,PartyAmaydemandthatPartyBprovidean
yBfailstoprovidetoadditionalguaranty,thenmay
nottransferthemortgagedproperty;
9.1.3PartyBshalladdtheproceedxpectedfromthetransferofthe
mortgagedpropertytotheaccountdesignatedbyPartyAdirectly,forthe
prepaymentofprincipleandinterestofcreditdebtandallotherrelevant
expens,ordepositrelevantfundsintothemarginaccountofPartyBopened
ndsshallbedeemedtobespecializedandPartyA’s
posssion,proceedastheguarantyofpledgeofPartyB(orCreditApplicant)
‘sdebtunderCreditAwardingAgreementsincethedateofenteringintothe
shallhavenoobjectiontothisandwillingtocooperate
toconductrelevantproceduresincoordinatewithPartyA’srequirement.
Afterthefullproceedxpectedfromthetransferofthemortgaged
propertyhasbeenaddedtotheaccountdesignatedbyPartyA,PartyAmay
providePartyBhelptoconductthecancellationofregistrationofmortgaged
propertyandreturnthecertificateofownershipbacktoPartyB.
9.2PartyBshallnottotransfer,rentout,remortgage,orotherimproper
waystodispothemortgagedpropertywithoutthewrittenapprovalofPartyA
underthecontract.
Art.10Expens
Becauofmatterinvolvingnotarization(Exceptcompulsorynotarization)
orrvicesreliedonthird-party,hparties
shallbearhalfoffeesifbothasconsigners.
ivedocumentsstipulatedthat
themortgageeshallundertakethemortgageregistrationfee,itshallbe
otherwiprovisionsin
normativedocumentsorduetocompetentdepartmentofregistrationmustbe
undertakenbymortgagor.
MortgagedpropertyunderthiscontractshallbeestimatedbyPartyB’s
ent,
PartyBshallbeartheasssmentfee.
Art.11AlterationsandAnnulment
Eitherpartyshallnotmodify,changeorcancelthecontractunilaterally
tractmaybemodifiedorcancelledoncethetwo
tractshall
stillbevalidbeforethewrittenagreementisconcluded.
Art.12CommitmentforthedivisionandmergerofPartyB
yBwithinperiodofthis
contract,theorganizationafterchangeshallwhollyorrespectivelyassumethe
obligationunderthiscontract.
Art.13Ifanyofthefollowingoccurs,PartyAshallhavetherighttodispo
themortgagedpropertyaccordingtolaw:
13.1OneofthedefaultsstipulatedinArticle10.1CreditAwarding
AgreementoccurstoPartyB(orCreditApplicant),ortheoccurrenceof
defaultsstipulatedinspecificcontractsunderCreditAwardingAgreement;
13.2OneofthedefaultsstipulatedinArticle10.2and10.3ofCredit
AwardingAgreementoccurstoPartyBorotherpledgor/guarantor,orPartyB
defaultsonstipulatedliabilitiesinthiscontract;
13.3Theoccurrenceofdeadwithoutalegalheirordonee,asPartyBisa
naturalperson;
13.4Heir/devieabandoninheritance/legacy,refutoimplementthe
obligationsofrepaymentofdebt,asPartyBisanaturalperson;
13.5Theoccurrenceofclosingdown,deregistrationorrevocationof
businesslicen,fileforbankruptcyordissolutionetc.,asPartyBisalegal
personorotherorganization;
13.6Othermattersthatendangerenoughtotheimplementationof
creditor’srightsunderCreditAwardingAgreement.
Art.14ResponsibilitiesforBreachofContract
14.1ViolatethestipulationofArticle6ofthiscontract,decreashappen
owingtotheactionsofneglectfulinmanagementandrepairofPartyB,or
PartyB’hasthe
righttorequestPartyBtostoptheactionandrestorethevalueorprovide
yBrefusto
restoreorprovide,PartyAshallhavetherighttodispothemortgaged
propertyinaccordancewithlawaheadoftime.
14.2ViolatethestipulationofArticle9ofthiscontract,unauthorized
dispositionofmortgagedpropertyshallbenullandvoid;PartyAhastheright
torequestPartyBtostoptheinjuriousacttothemortgagerightsofPartyA
andrestorethevalueorprovideanothermortgagedpropertywiththeapproval
ofPartyA,ordispothemortgagedpropertyinaccordancewithlawaheadof
time.
14.3Theconcealmentofcondominium,dispute,letting,aledoff,
detained,configuredmortgagerights,regulatedorpriorlegalpriorityexisting
ofguarantee(includingbutnotlimitedtoConstructionprojectpriorityupon
mortgagedproperty,orPartyBhasnoownershiporrightofdispositionupon
mortgagedproperty,shallprovide
anothermortgagedpropertyasPartyA’srequirements.
14.4IfanyofaforesaiddefaultclauoccursandPartyBfailstoprovide
anothermortgagedpropertyasPartyA’srequirements,thenPartyBshallbear
penaltyof__%
causingalosstoaPartyA,PartyBshallalsocompensateforthewhole
economicloss.
Art.15ThecollectionofFruits
IfPartyBfailstorepaytheloan,advances,otherprincipleandinterestof
creditdebtandallotherinvolvedexpensatthematurityofcredit,dueto
PartyA’sclaimforrightofmortgagecauthemortgagedpropertybealed
offordetainedbythePeople’shallbeentitled
tocollectthenaturalfruitsveredfromthemortgagedpropertyandthelegal
fruitswhichPartyBmaycollectfromthemortgagedpropertysincethedateof
beingaledoffordetained.
Art.16EnforcementofMortgageRight
16.1IftheoccurrenceofanysingleormultipleclausinArticle13or
Article14.1,14.2ofthiscontract,PartyAshallhavetherighttochoooneof
thefollowingwaysfortheenforcementofmortgageright:
16.1.1Twopartiesreachanagreementontheconversionofthe
mortgagedpropertyortheauctionorsaleofthemortgagedpropertydirectly,if
failtoreachanagreementwithin15dayssincetheoccurrenceofanysingleor
multipleclausinart.13orart.14.1,14.2ofthiscontract,PartyAshallhave
therighttopetitionaPeople'sCourtfortheauctionorsaleofthemortgaged
propertydirectly;
16.1.2Dispothemortgagedpropertywithstipulatedmethodofdispute
resolutionunderCreditAwardingAgreementaccordingtolegalprocedure;
16.1.3PartyAshallapplytoacompetentPeople'scourtforcompulsory
executiondirectlyunderthecontractafterthenotarizationofcompulsory
executioneffectwascompletedbytwoparties;
16.2PartyAshallhavepriorityrightinsatisfyingclaimfromtheproceeds
roceeds
fromtheconversionofthemortgagedpropertyortheproceedsfromthe
auctionorsalethereofexceedthesumofeveryloan,advancesorprinciple
andinterestofothercreditdebtandallotherrelevantexpensofPartyB(or
CreditApplicant)underCreditAwardingAgreement,thebalanceshallbe
returnedtoPartyB;iftheproceedsdonotcovertheclaim,thedifferenceshall
berecourbyPartyA.
Art.17LapofMortgageRight
AfterPartyBhasclearoffalltheprincipleandinterestofcreditdebtunder
CreditAwardingAgreementinfullandontimeatthematurityofcreditperiod,

ShallreturntoPartyB.
Art.18Notdeemedtobewaiveroftheright
Thetolerance,graceorpostponementinperformanceoftherightsand
interestsPartyAshallenjoyduringCreditAwardingAgreementtowardany
breachofagreementordelayonthepartofPartyB(orCreditApplicant)during
thevalidityperiodofthecontractshallnotdamage,influenceorrestrictallthe
rightsandinterestsPartyAshallenjoyasthecreditoraccordingtotherelevant
legalprovisions,andshallnotdeemedtobewaiveroftherighttotakeaction
againsttheexistingorfuturebreachofcontract.
Art.19Notice
dtotheagreementbetweenPartyA
andPartyBshallbentinwriting.
Ifdeliveredbyhand,therelevantdocumentsshallbedeemedtohave
beenrvedontheaddreseuponsigningforreceipt(Incatheaddrese
refustoreceivethedocuments,suchdocumentsshallbedeemedtohave
rvedonthedateofrefusal);Ifdeliveredbymail,shallbedeemedtohave
beenrvedvendayafterntout;fdeliveredbyfax,shallbedeemedto
havebeenrvedonthefaxmachinereceivingforreceipt.

Art.20Transferofcreditor'srightsormortgage
20.1WhenPartyAtransfersallthecreditor’srightstothirdpartyunder
creditawardingagreement,therightofmaximummortgageshallalso
transferredtotheassignee,nomatterwhetherthecreditor’srightstothe
maximummortgageareconfirmed.
20.2WhenPartyAtransferspartofthecreditor’srights,therightof
mortgagetransferspartlywithit,asthecreditor'srightstomortgageinthis
shallsharetherightofmortgagewiththe
assignee(whohasbeentransferredpartofthecreditor’srights)bythe
creditor’srightsthathavenotyettobetransferred,accordingtothe
percentageofamountofthecreditor’rtyAtransferspartof
thecreditor’srights,thePartyA’srightofmortgagetransferspartlywithitand
themaximumamountofPartyA’sprincipalclaimcuredbyoriginal
maximummortgageincreascorrespondingly(meanthemaximumamount
ofPartyA’sprincipalclaimcuredbyoriginalmaximummortgagedeductthe
amountoftransferredpartyofcreditor’srights)beforethecreditor'srightsto
hepartoftheprinciplecreditor’s
shallsharethe
rightofmortgagewiththeassignee(whohasbeentransferredpartofthe
creditor’srights)bythecreditor’srightsthathavenotyettobetransferred,
accordingtothepercentageofamountofthecreditor’srights.
Art.21Terms
Thetermsinthiscontracthavethesamemeaningswiththestipulationin
CreditAwardingAgreement,excepttheclearlydictatesotherwi.
Art.22ApplicableLawandDisputeResolution
22.1Theconclusion,interpretationofthecontractanddisputettlement
shallbesubjecttothelawsofthePRC.
22.2Thedisputesarisingfromtheperformanceofthecontractshallbe
ttledaccordingtotheagreedresolutionrulesinCreditAwardingAgreement.
Art.23Effectiveness
Thecontractshalltakeeffectsincethelegalreprentatives/major
personnelinchargeofthetwopartiesortheirauthorizedagentssign(oraffix
al)andaffixthecommonal/contractal(ifPartyBisanaturalperson,
thusthecontractshalltakeeffectsincethelegalreprentative/major
personnelinchargeorauthorizedagentofPartyA/signoralandaffixthe
commonal/contractalandPartyB’ssign)thereof,andshallbecome
invalidautomaticallyonthedateofexpiryofmortgageorthedateonwhich
PartyB(orCreditApplicant)paysoffallthedebtsitowestoPartyAandallthe
otherrelevantexpensunderCreditAwardingAgreement(thelaterofwhich
shallapply).

Thecontractcomesin(copies),thetwopartiesandhold
