time,theSTOCKPURCHASEAGREEMENT),withSeller,
pursuanttowhichSellerwilllltoBBB,andBBBwillpurcha
fromSeller,alloftheissuedandoutstandingsharesofcapitalstock
ofTHInternational.
NOW,THEREFORE,inconsiderationofthepremisherein
andtoinducetheBuyerPartiestoenterintotheStockPurcha
Agreement,theGuarantorherebyagreeswiththeBuyerPartiesas
follows:

BuyerPartiesinenforcinganyoftheirrightsunderthisGuarantee.
NopaymentorpaymentsmadebytheSelleroranyother
personorreceivedorcollectedbyanyBuyerPartyfromtheSelleror
anyotherPersonbyvirtueofanyactionorproceedingoranyt-off
orappropriationorapplication,atanytimeorfromtimetotime,in
reductionoforinpaymentoftheobligationsguaranteedhereunder
shallbedeemedtomodify,reduce,releaorotherwiaffectthe
liabilityoftheGuarantorhereunderwhichshall,notwithstanding
anysuchpaymentorpayments,remainliablehereunder.
OGATION,CONTRIBUTION,

tothecontraryinthisGuarantee,theGuarantorherebyirrevocably
waivesallrightswhichmayhavearininconnectionwiththis
GuaranteetobesubrogatedtoanyoftherightsofanyBuyerParty
againsttheSellerforthepaymentoftheobligationsguaranteed
rantorherebyfurtherirrevocablywaivesall
contractual,commonlaw,statutoryorotherrightsofreimburment,
contribution,exonerationorindemnity(oranysimilarright)fromor
againsttheSelleroranyotherPersonwhichmayhavearinin
connectionwiththisGuarantee.

obligationsguaranteedhereundercontinued,andtheobligations
guaranteedhereunder,ortheliabilityofanyotherpartyuponorfor
anypartthereof,orguaranteetherefororrightofofftwithrespect
thereto,may,fromtimetotime,inwholeorinpart,berenewed,
extended,amended,modified,accelerated,compromid,waived,
surrenderedorreleadbytheBuyerParties,andtheStockPurcha
Agreementmaybeamended,modified,supplementedorterminated,
inwholeorinpart,astheBuyerPartiesmaydeemadvisablefrom
timetotime,andanyguaranteeorrightofofftatanytimeheldby
theBuyerPartiesforthepaymentoftheobligationsguaranteed
hereundermaybesold,exchanged,waived,surrenderedorrelead.
Guarantorwaivesanyandallnoticeofthecreation,renewal,
extensionoraccrualofanyoftheobligationsguaranteedhereunder
andnoticeoforproofofreliancebyanyBuyerPartyuponthis
GuaranteeoracceptanceofthisGuarantee;theobligations
guaranteedhereunder,andanyofthem,shallconclusivelybe
deemedtohavebeencreated,contractedorincurredinrelianceupon
thisGuarantee;andalldealingsbetweentheSellerortheGuarantor,
ontheonehand,andtheBuyerParties,ontheother,shalllikewi
beconclusivelypresumedtohavebeenhadorconsummatedin
rantorwaivesdiligence,
prentment,protest,demandforpaymentandnoticeofnonpayment
toorupontheSellerortheGuarantorwithrespecttotheobligations
aranteeshallbeconstruedasa
continuing,absoluteandunconditionalguaranteeofpayment
withoutregardto(a)thevalidityorenforceabilityoftheStock
PurchaAgreementoranydocumentsdeliveredpursuantthereto,
anyoftheobligationsguaranteedhereunderoranyguaranteeor
rightofofftwithrespecttheretoatanytimeorfromtimetotime
heldbytheBuyerParties,(b)anydefen,t-offorcounterclaim
(otherthanadefenofpaymentorperformance)whichmayatany
timebeavailabletoorbeasrtedbytheSelleragainstanyofthe
BuyerParties,or(c)anyothercircumstancewhatsoever(withor
withoutnoticetoorknowledgeoftheSellerortheGuarantor)which
constitutes,ormightbeconstruedtoconstitute,anequitableorlegal
dischargeoftheSellerfortheobligationsguaranteedhereunder,or
oftheGuarantorunderthisGuarantee,inbankruptcyorinanyother
rsuingtheirrightsandremedieshereunderagainst
theGuarantor,theBuyerPartiesmay,butshallbeunderno
obligationto,pursuesuchrightsandremediesastheymayhave
againsttheSelleroranyotherPersonoragainstanyguaranteefor
theobligationsguaranteedhereunderoranyrighttoofftwith
respectthereto,andanyfailurebytheBuyerPartiestopursuesuch
otherrightsorremediesortocollectanypaymentsfromtheSelleror
anysuchotherPersonortorealizeuponanysuchguaranteeorto
exercianysuchrightofofft,oranyreleaoftheSellerorany
suchotherPersonoranysuchguaranteeorrightofofft,shallnot
relievetheGuarantorofanyliabilityhereunder,andshallnotimpair
oraffecttherightsandremedies,whetherexpress,impliedor
availableasamatteroflaw,ofanyBuyerPartyagainstthe
Guarantor.

orresultinthebreachorterminationofanyprovisionof,or
constituteadefaultunder,orresultintheaccelerationofthe

thecreationofalien,pledge,curityinterest,chargeor
encumbranceuponanyofthepropertiesorastsoftheGuarantor

andGuarantorshallremainobligatedunderthisGuarantyasifno
suchimpairment,stay,modification,change,releaorlimitation
torwaivesanydefenarisingbyreasonofany
disabilityorotherdefenofTenant,orbyreasonofthecessation
fromanycauwhatsoeveroftheliability,eitherinwholeorinpart,
ofTenanttoLandlord,except,andtotheextent,thatsuchcessation
shallbetheresultofpaymentorperformanceoftheobligationasto
torherebyacknowledgesthatthe
obligationsofGuarantorhereunderareindependentof,andmay
exceed,theobligationsofTenantundertheLea.

applicabletoanycircumstanceotherthanthespecificinstancefor
entshallawaiverofanyprovisionofthis

validityorenforceabilityofthisGuarantythathasnotalreadybeen
arantyhasbeendulyexecutedand
deliveredbyGuarantorandconstitutesalegal,validandbinding
obligationofGuarantor,enforceableagainstGuarantorin
accordancewithitsterms.

beboundbyanyfinaljudgmentrenderedtherebyinconnectionwith
thisGuaranty,and(d)waives(i)anyobjectionGuarantormaynow
orhereafterhavetothelayingofvenueinanyofsuchcourtsand(ii)
anyclaimthatanyactionorproceedingbroughtinanysuchcourt
hasbeenbroughtinaninconvenientforum.

theeventGuarantormakesapaymenttoLandlordunderthis
Guarantyandsubquentlyrecoversalloraportionofsuchpayment
fromTenant,theamountrecoveredshallberestoredtotheamounts
availabletobepaidbyGuarantortoLandlordpursuanttothis
hstandinganythingtothecontraryherein,including
butnotlimitedtotheprovisionsofParagraph24below,nopayment
madebyGuarantortoLandlordorinrespectofanyobligationof
TenantundertheLeashallreducetheamountofGuarantor’s
maximumobligationshereunderunlessLandlordshallhavemadea
writtendemanduponGuarantorspecificallyrequiringGuarantorto
makepaymentandspecifyingthatsuchpaymentwillapplytothe
maximumofGuarantor’sobligationspursuanttothisParagraph
22(a).
arantyshallnotapplytoanyUnapprovedIncread
mUnapprovedIncreadTenant
Obligationsshallmeananyoneofthefollowingobligationstothe
extentthatitincreasTenant’sobligationundertheLeaandisnot
approvedinwritingbyGuarantor:
(i)Anyincreaintheamountofspaceleadasapartofthe
PremisundertheLeapursuanttoParagraph45thereof.
(ii)AnyamendmentormodificationoftheLeawhichhasthe
effectofincreasingtheRent,Termorotherfinancialobligationsof
TenantundertheLea,ordecreasingtheTenantImprovement
AllowancemadeavailablebyLandlordwithoutadjustmenttothe
Rent.
Landlordmayrelyuponanyapprovalorconntgivenby
GuarantorwhichixecutedbyanycorporateofficerofGuarantor
specifiedinParagraph45oftheLea.
arantyshallnotapplytoadefaultbyasubleseor
assigneeofTenantwhereallofthefollowingcircumstancesare
prent:
(i)Landlordhasapprovedthesubleaorassignmentinwriting
(exceptwheresuchapprovalfollowedanywrittenthreatbyTenant
thatfailuretodosowouldbeabreachoftheLeabyLandlordor
anyorderofanycourt);and
(ii)Guarantorhasnotapprovedsuchsubleaorassignment.
LandlordmayrelyonanyapprovalorconntgivenbyGuarantor
whichixecutedbyanycorporateofficerofGuarantorspecifiedin
Paragraph45oftheLea.
arantyshallterminateand
shallbeofnofurtherforceoreffectandLandlordshallexecutean
agreementacknowledgingtheterminationofthisGuarantywhen
eitherofthefollowingconditionsdescribedinclaus(i)or(ii)have
beensatisfied:
a.
(i)(i)Tenantcompletesaninitialpublicoffering(orariesof
publicofferingswithinatwentyfourmonthperiod)whichresultsin
Tenantraisingaminimumof$,_________(netavailabletoTenant
afterpaymentofallcostsassociatedwithsuchpublicofferings);
(ii)GuarantorhasdeliveredtoLandlordacertificate
reprentingandwarrantingtoLandlordthat(badonthe
informationsuppliedbyTenantconsistingofoneormoreeffective
registrationstatementsfiledbyTenantwiththeSecuritiesand
ExchangeCommissionoracertificationbyTenant’sunderwriter)the
conditionsspecifiedinclau(i)abovehasbeensatisfied,executed
byanycorporateofficerofGuarantorspecifiedinParagraph45of
theLea;and
(iii)TenantdepositswithLandlordtheLetterofCredit
specifiedinParagraph32oftheLeaatatimeTenantisnotin
default(andnoeventhasoccurredwhich,withthepassageoftime
orgivingofnoticeorboth,wouldconstituteadefault)underthe
Lea;or
rddeterminesafterreceiptofawrittenrequestby
GuarantorandTenanttogetherwithsuchinformationasLandlord
shallreasonablyrequest,thatallofthecircumstancesandconditions
specifiedinParagraph32(c)oftheLeahaveoccurredentitling
TenanttoareturnoftheLetterofCreditandatsuchtime,neither
TenantnorGuarantor,respectively,isindefaultundertheLeaor
Guaranty(andnodefaulthasoccurredwhich,withthepassage,of
timeorgivingofnoticeorboth,wouldconstituteadefault)
thereunder.

covenants,conditionsandagreementsthereoftopreventthe
mentssomadeandallthingsso
doneandperformedbyGuarantorshallbeaffectivetopreventa
terminationoftheLeaasthesamewouldhavebeenifmade,done
andperformedbyTenantinsteadofbyGuarantor.

havethirty(30)daysafterreceiptofnoticefromLandlordtting
forththenatureofsuchdefaultwithinwhichtoremedysuchdefault.

theLeainabankruptcyproceedingorbyLandlordfollowing
Tenant’sdefault,Landlordshall,subjecttothetermsandconditions
ofthissubction(e),uponwrittenrequestbyGuarantortoLandlord
madewithinthirty(30)daysaftersuchtermination,executeand
deliveranewleaofthePremistoGuarantorfortheremainderof
thetermoftheLeawiththesamecovenants,conditionsand
agreementsasarecontainedtherein;provided,however,that
Landlord’xecutionanddeliveryofsuchnewleaofthePremis
shallbemadewithoutreprentationorwarrantyofanykindor
naturewhatsoever,eitherexpressorimplied,includingwithout
limitation,anyreprentationorwarrantyregardingtitletothe
Premisorthepriorityofsuchnewlea;andLandlord’s
obligationsandliabilityundersuchnewleashallnotbegreater
thaniftheLeahadnotterminatedandGuarantorhadbecomethe
torshalltakethePremisasisintheir
ecutionanddeliveryofsuchnew
lea,Guarantor,atitssolecostandexpen,shallberesponsiblefor
takingsuchactionasshallbenecessarytocancelanddischargethe
LeaandtoremovetheTenantnamedthereinandanyother
rd’sobligationtoenterintosuch
newleaofthePremiswithGuarantorshallbeconditionedas
follows:(i)Guarantorshallhavecompliedwiththeprovisionsof
thisAgreementapplicablepriortothegainingofposssion;and(ii)
GuarantorshallpayallcostsandexpensofLandlord,including
withoutlimitation,reasonableattorneys’fees,realpropertytransfer
taxesandanyescrowfeesandrecordingcharges,incurredin
connectionwiththepreparationandexecutionofsuchnewleaand
ventLandlordentersinto
suchnewleaofthePremiswithGuarantor,Guarantorshallbe
fullyresponsiblefortheobligationsundertheLeaandthe
limitationsontheobligationsofGuarantorinParagraph22above
shallnotbeapplicabletotheobligationsofGuarantorundersuch
newlea.
INWITNESSWHEREOF,eachGuarantorhaxecutedthis
Guarantyasofthedayandyearfirstwrittenabove.
