OnXXX,yougaveapurchaorder(orderNo.:)toXXCompany,topurchafrom

XXCompany5,000piecesofthegoodsXXXattheunitpriceofXXX

(inclusive/exclusiveofVAT)andthetotalpriceofXXX(inclusive/exclusiveofVAT),

hesaid

purchaorderwasaledbyXXCompanyforconfirmation,acontractforpurcha

andsaleofgoodsbetweenyouandXXCompanywasconcluded.

Subquently,XXCompany,pursuanttothepurchaorder,deliveredtoyouallgoods

withgoodqualityunderthepurchaorder,andfurthermore,onXXXdate,issuedto

r,afteryour

receiptofthegoods,youfailedtomakepaymenttimelypursuanttothepurcha

ghXXCompanyurgedyoutomakefullpaymentformanytimes,you

onlypaidpartoftheamounts,i.e.,XXXX,andhasbeenrefusingtopayoffthe

balanceofXXXsofar.

Itismyopinionthat,yourfailureinpaymenthasconstitutedamaterialbreachunder

,antrustedbyXXCompany,Iherebyrequireyouto,within

10daysuponyourreceiptofthisLawyer’sLetter,payoffthesaidbalanceofXXXin

alumpsumtoXXCompany.

If,withinthesaidtimeperioduponyourreceiptofthisLawyer’sLetter,youfailto

payoffthesaidbalanceoractivelyeksolutionsthroughconsultationwithXX

Company,Iwill,asdirectedbyXXCompany,bringacivillawsuitagainstyou,soas

torecoverfromyoutheprincipalofthesaidamountandtheinterestsand

damagesresultingfromyourfailureofpayment,andapplytothecourtforizing

orfreezingyourrelevantproperties.

Foravoidanceofburdensomelitigationandinconsiderationofyourgoodwill,itis

advisableforyoutoattachmuchimportancetothiscaandpromptlymakerespon

tousafteryourreceiptofthisLawyer’sLetter.
