Inconsiderationofyourcomplyingwithouraboverequest,weherebyagreeas

follows:-

mnifyyou,yourrvantsandagentsandtoholdallofyouharmlessin

respectofanyliability,loss,damageorexpenofwhatsoevernaturewhichyou

maysustainbyreasonofdeliveringthecargoinaccordancewithourrequest.

ventofanyproceedingsbeingcommencedagainstyouoranyofyour

[rvantsoragentsinconnectionwiththedeliveryofthecargoasaforesaid,to

provideyouorthemondemandwithsufficientfundstodefendthesame.

propertyortoremovesuchinterferenceandtoindemnifyyouinrespectofany

liability,loss,damageorexpencaudbysucharrestordetentionor

threatenedarrestordetentionorsuchinterference,whetherornotsucharrestor

detentionorthreatenedarrestordetentionorsuchinterferencemaybejustified.

youinrespectofthefailurebytheRequestortofulfilitsobligationstoyou

(a)suchcompensationshallinclude,butnotbelimitedto,paymentofany

amountuptotheamountstatedinproviso3belowinordertoenable

youtoarrangetheprovisionofcuritytoreleatheship(orany

othershipinthesameorassociatedownership,managementor

control)fromarrestortopreventanysucharrestortopreventany

interferenceintheuortradingoftheship,orothershipasaforesaid,

and

(b)intheeventthattheamountofcompensationsopaidislessthanthe

amountstatedinproviso3below,theliabilityoftheBankhereunder

shallcontinuebutshallbereducedbytheamountofcompensation

paid.

calendaryearsatatimeprovidedthat:-

(a)theBankshallreceiveawrittennoticesignedbyyouandstatingthatthe

Indemnityisrequiredbyyoutoremaininforceforafurtherperiodoftwo

years,and

(b)suchnoticeisreceivedbytheBankattheaddressindicatedbelowonor

beforethethencurrentTerminationDate.

Anysuchextensionshallbeforaperiodoftwoyearsfromthethencurrent

TerminationDateand,shouldtheBankforanyreasonbeunwillingtoextend

theTerminationDate,theBankshalldischargeitsliabilitybythepaymentto

youofthemaximumsumpayablehereunder(orsuchlesrsumasyoumay

require).

However,intheeventoftheBankreceivingawrittennoticesignedbyyou,on

orbeforethethencurrentTerminationDate,statingthatlegalproceedings

havebeencommencedagainstyouasaresultofyourhavingdeliveredthe

saidcargoasspecifiedintheIndemnity,theBankagreesthatitsliability

hereunderwillnotterminateuntilreceiptbytheBankofyoursignedwritten

noticestatingthatalllegalproceedingshavebeenconcludedandthatany

sumorsumspayabletoyoubytheRequestorand/ortheBankinconnection

therewithhavebeenpaidandreceivedinfullandfinalttlementofall

liabilitiesarisingundertheIndemnity.

egovernedbyandconstruedinaccordancewiththelawgoverningthe

IndemnityandtheBankagreestosubmittothejurisdictionofthecourtstated

withintheIndemnity.

Itshouldbeunderstoodthat,whereappropriate,theBankwillonlyproduceand

delivertoyoualloriginalbillsofladingshouldthesamecomeintotheBank’s

posssion,buttheBankagreesthat,inthatevent,itshalldoso.

TheBankagreestopromptlynotifyyouintheeventofanychangeinthefulldetails

oftheofficetowhichanydemandornoticeistobeaddresdandwhichisstated

belowanditisagreedthatyoushallalsopromptlynotifytheBankintheeventofany

changeinyouraddressasstatedabove.
