根据律师法，律师事务所从事证券法律实务管理办法，律师事务所从事证券法律事务

规则（试行），证券投资基金法，私募投资基金的监督管理暂行办法，私募投资基金

经营者和基金的登记办法（试行），关于进一步规范私募投资基金管理者的注册特定

事项的公告，我所被授权为***基金管理（北京）有限公司（以下简称“公司”）出具

下述法律意见书，本法律意见书基于对公司的尽职调查和与公司相关材料，我所承诺，
