如果一方重大地未能履行其本合同项下的任何义务或一方在合同项下的陈述或

保证有重大的不实或不准确，则应视为违反本合同。违约方应在接收到另一方违

约通知的30天内改正该违约行为（若该违约行为可改正）。无论如何，违约方

应对违约所造成的损失负责。如果守约方根据X终止本合同，则违约方人仍应

对违约损失负责。本合同提供的以及法律规定的所有的救济应可以积累的。

上述任何事情，被许可方无权采取任何诉讼或要求许可方采取任何诉讼，但是许

可方有权自行决定且自行承担费用，以双方名义或任一方的名义提起控诉或其他

方式阻止此类实际性的或将要发生的侵权的行为。无论采取上述何种方式，被许

可方应提供许可方要求的所有的合理援助。

一旦被许可方知道其他任何人，商行或公司使用或拟使用商品名称，商标，商品

装饰或促销或广告手段相当于或可能相当于侵犯许可方的受许可商标的权力或

违反不正当竞争法，应以书面的形式将详细情况告知许可方。

b)IftheLicenseebecomesawarethatanyotherperson,firmorcompany

alleges宣称，断言；提出…作为理由thatanyoftheLicensedTrademarksis

invalid无效的orthatuseoftheLicensedTrademarksinfringesanyrightsof

anotherparty,theLicenseeshallimmediatelygivetheLicensorinwritingfull

particularsthereof（oftheallegation）andmaymakenodisclosureof

informationoradmission承认toanythirdpartyinrespectthereof（ofthe

allegation）.

如果被许可方知悉其他任何人，商行或公司宣称，任何被许可的商标无效或使用

被许可的商标侵犯其另一方的任何权利，则被许可方应就上述事项的详细情况立

即书面通知许可方，以及不得向任何第三方披露上述信息或承诺。

c)TheLicensorshallconduct实施,处理,进行alllegalproceedingsinrespect

就任何受许可商标的侵权行为或所谓的侵权行为，和就受许可商标的使用或注册

提出的或将要提出的索赔或反索赔，许可方应进行一切的法律诉讼，以及许可方

应自行决定如何选择。如果被许可方自行决定就被许可的商标提出诉讼或进行抗

辩，则许可方无义务对此提出诉讼或进行抗辩。

d)TheLicenseewill,attherequestoftheLicensorandattheLicensor's

expense,givefullcooperationtotheLicensorinanyactionorclaimbroughtor

threatenedtobebroughtinrespectoftheLicensedTrademarks,including

joiningin参加加入asapartytoanyproceedings.

就被许可的商标提出或将要提出的一切诉讼或索赔，可在许可方的要求以及自付

费用的情况下，给予其充分的合作，包括作为当事人进行任何诉讼。
